Corpus Software Pvt Ltd
 EXECUTIVE CAR RENTAL - SERVICE AGREEMENT

This Transport Service Agreement (“Agreement”) is made by and between:

Corpus Software Pvt Ltd, a company incorporated under the Companies Act, 1956 having its
registered office at

(hereinafter referred to as “Corpus Software Pvt Ltd .” which term and expression shall mean and
include its subsidiaries, affiliates, and assigns).

FIRST Cars Private Limited, a firm incorporated under the laws of Companies act 1956 and
having its principal or registered office at 302 Balaji Business Centre,Ram Milan Premises CHS
Limited,Subhash Road,Vile Parle East,Mumbai 400057.(hereinafter referred to as “Contractor”
which term and expression shall mean and include its permitted assigns).

Each of Corpus Software Pvt Ltd and the Contractor may be referred to as a “Party” or
collectively as “the Parties”.

WHEREAS

Corpus Software Pvt Ltd, requires transportation services; and,

The Contractor, being a professional transport service provider of repute, is willing to provide the
employee transportation services to Corpus Software Pvt Ltd,

AND THE PARTIES HAVE CONSIDERED IT DESIRABLE TO RECORD THE TERMS

AND CONDITIONS MUTUALLY AGREED UPON BETWEEN THEM.

1. Scope of Agreement:

a. The Contractor shall deploy vehicles for employee transportation only after they are
expressly approved by Corpus Software Pvt Ltd, for such deployment.

b. The Contractor shall employ competent drivers and, wherever necessary, helper/ cleaner
for each of vehicle. The contractor shall also deploy supervisors who will supervise,
monitor and control the vehicle movements round the clock.

c. This Agreement will be effective from 01/10/2017

d. Validity: The agreement will be valid till30/09/ 2018.

2. Charges and Payment Terms:

 a. Corpus Software Pvt Ltd will pay as per rates attached in Fare sheet Annexure 1.

b. Corpus Software Pvt Ltd, shall not be liable for any charges other than that are expressly
provided in the fare sheet. The charges have been agreed upon by the Parties after due
diligence and any increase in the fuel or other prices shall not automatically result in
increase in the existing agreed rates, for the agreed duration. However, any unusual
changes / increase in fuel prices may be considered for a suitable revision by mutual
agreement between the Parties.

c. The contractor shall raise invoices for the service charges on fortnightly basis. The
invoices shall be supported by the following supporting documents

i. Original invoices
ii. Duty slip for verification,
iii. Email sent by Corpus Software Pvt Ltd, for booking the car.

Corpus Software Pvt Ltd, shall effect the payment for the same within 30 days (30)
days from the date of receipt of complete invoices with supporting documents.
In case payment is delayed beyond 30 days, a reminder letter/ email will be
sent and interest @ 10% on the total outstanding amount will be charged
from the date of delayed payment.

d. Corpus Software Pvt Ltd , shall provide the Invoice wise details of the
payment made to the Contractor. In case the details are not provided
Contractor will have the right to adjust the Invoices on first in first out basis.

e. In the event of there being any dispute or discrepancy in the bills raised by
the Contractor the same shall be brought to the notice within 5 working days
of the receiving of the bill/ invoice by Corpus Software Pvt Ltd, else the same
shall be considered true and correct and the invoice shall be processed for
payment by The Contractor.

3. Obligations of the Contractor:

a. The Contractor shall obtain the necessary registration certificate, license, permit that are
necessary for operating the vehicles and also pay all the required taxes at its own cost and
expenses.

b. The Contractor shall bear all the costs of fuel, lubrication, cleaning, repairs maintenance,
and cost of accessories and any other incidental expenses that are required to keep the
vehicle in good running condition.

c. The Contractor shall be responsible for the upkeep and maintenance of the vehicles.

d. Contractor shall deploy supervisory staff (‘Operations Manager’) for ensuring smooth a
movement of the vehicles for timely pickup and drop and for facilitating boarding of
Corpus Software Pvt Ltd, employees at Corpus Software Pvt Ltd, premises.

e. Contractor shall ensure that the vehicles are deployed on all working days of the month.
However, operation of the vehicles on Saturdays, Sundays and National and public
holidays shall be at the sole discretion of Corpus Software Pvt Ltd, and shall binding on
the Contractor.

4. Contractor Personnel/Employees:

 It is expressly understood and agreed between Parties that the persons deployed by the
Contractor for Services under this Agreement shall, at all times, be the employees of the
Contractor for all intents and purposes and that the persons so deployed shall remain under
the control and supervision of the Contractor and in no case a relationship of employer and
employee between the said persons and Corpus Software Pvt Ltd, shall accrue or arise
implicitly or explicitly. The Contractor shall also pay the salary to the employees employed in
connection with the vehicles.

5. Confidentiality:

a. The Contractor shall not make use of, disseminate or in any way disclose any confidential
information of Corpus Software Pvt Ltd, to any person, firm or business, except with a
written authorization from Corpus Software Pvt Ltd.

b. Confidential information shall include, but not limited to, Corpus Software Pvt Ltd,
employee’s names, locations, addresses, telephone numbers, and shift timings.

c. The obligations of confidentiality under this Agreement shall survive expiry or

termination of this Agreement.

d. The Contractor shall not use in any manner the name or logos of Corpus Software Pvt
Ltd, without the prior written permission of Corpus Software Pvt Ltd.

6. Warranties:

The contractor warrants that:

In connection with or in the performance of its obligations under this Agreement, neither the
Contractor or its representatives shall directly or indirectly make or attempt to make any
payment, offer for payment, or offer or promise to make any payment or take or attempt to take
or agree to take in currency, property or anything else of value including any commission,
payments, share in profits or commission, loans, services to any Government official, third
person, customer or potential customer or previous customer, firm, entity, individual,
organization of company in seeking or for making a favor in the course of conduct of business,
either in violation of the Prevention of Corruption Act, 1964 or in violation of Corpus Software Pvt
Ltd, Code of Business Conduct and Ethics or Integrity Policy.

7. Indemnity:

The Parties shall indemnify and keep each other, their employees and any third party harmless
from any damage loss, claim or penalty, which might arise due to breach of any of the obligations
imposed on either party or on their employees under this Agreement including but not limited to
obligations/restriction as specified in Schedule 4.

8. Insurance:

a. The Contractor shall arrange for a comprehensive insurance of the vehicle covering the
risk of Corpus Software Pvt Ltd, employees traveling in the vehicle. Such insurance shall
cover the risk of damage and loss due to accidents, strikes, riots, agitation, civil
commotion and disturbances of any kind.

b. The maintenance of the insurance pursuant to this Agreement shall not limit or otherwise
affect Contractor’s liability under this agreement.

9. Responsibilities of Corpus Software Pvt Ltd,

a. Corpus Software Pvt Ltd, Shall, from time to time request for the vehicles required to
be deployed to Corpus Software Pvt Ltd, reserves the right to increase or decrease the
vehicles required, depending upon the requirement.

b. Corpus Software Pvt Ltd, shall in good faith make all efforts to promote the
Contractors services for their requirements.

10. Term and Termination:

a. This Agreement shall commence from Effective Date as stated in Clause 1(c & d). This
Agreement may be renewed on mutual consent.

b. Both Parties have the right to terminate this Agreement by giving 30 days’ written
notice. However, Corpus Software Pvt Ltd, shall terminate this Agreement with
immediate effect in the event breach of any of the clauses of this Agreement including
any of the following:
i. Non-payment of applicable tax/ insurance premium in respect of any
vehicle.
ii. Habitual breach of any terms & conditions described in Clause 1

11. Miscellaneous:

a. Any dispute arising out of or in connection with this Agreement, including any
question regarding its existence, validity or termination, shall be referred to and
finally resolved by arbitration under Indian by Arbitration & Conciliation Act, 1996
by a sole arbitrator. The place of Arbitration shall be Mumbai, India. The language of
arbitration shall be English.

b. No waiver shall be construed as a waiver of any term, condition or provision of this

Agreement, except as provided in writing.

c. This Agreement overrides all existing agreement, whether written or verbal, with
effect from the date of commencement.

d. Except as otherwise provided for herein, no term or condition in this Agreement may be
modified, amended or waived, except by a written Agreement signed by both the parties.

e. If any provision of this Agreement is declared void or unenforceable, such provision

shall be severed from this Agreement, which shall otherwise remain in full force and
effect.

In witness thereof the parties hereto this Agreement has set their hands on the year and date first
above mentioned.

Terms & Conditions

Rates are based on local usage and charged from Garage to garage
Rates are based on fixed airport transfer point to point. Within City Limits only
Rates based on minimum usage of 04 hours/40 kms. 8 hours/80 kms applicable on usage beyond 5 hours/50
kms
Extra hour will be charged post 20 minutes of usage
Night duty surcharge of Rs.200 will be applicable for Airport transfers or local duties starting between 22:00 to
6:00 Hours.
Intercity rates quoted will be the rate per Kms and are based on a minimum usage of 250 km per calendar day

Outstation Driver allowance of Rs.300 will be charged till 11.59PM. For Camry and above it will be Rs.500

Outstation Night Halt Charges of Rs.300 will be charged extra after 1200 AM For Camry/Accord Rs.500/-
Mercedes S Class & Above – Rs.750/-
No-show charges of minimum 04 hours/40 kms will be applicable if booking cancelled within 2 hours of
reporting time
All statutory levies and taxes will be applicable on actuals along with incidental expenses like parking, toll fee,
inter state border taxes etc.
GST @ 5% will be applicable on the total amount as per government regulations.
These rates are valid for a period of one year & Subject to change basis City Dynamics
Any fuel price increase will lead to increase in rates based on the formula as follows: For every 5% rise in fuel
prices, the rates will be increased by 2%.
