Memorandum of Lease

This Memorandum of Lease is made and executed on this 15 th day of month of M a y 2023 at
Bangalore.

BY AND BETWEEN:
1. Mr. Mahesh,
Residing at No. 311, I-A Cross, III Block, HRBR Layout, St. Thomas Town Post,
Bangalore 560 084. (PAN NO. CKRPM6981P)

Hereinafter called as the FIRST PARTY. (Which term wherever the contest so requires shall mean
and include their heirs, legal representatives, executors, administrators, assigns etc., of the ONE
PART).

AND:
Mr. MOHAMMED AHASAN FAHMI, S/o. Mr. Mr. Mohammed Ismail Bukari A M, working
with “YSECIT Softwares”, Electronic City, Bangalore, Mob: 7204923838 (PAN NO.
ELAPMO631N)

Hereinafter called as the SECOND PARTY. (Which term wherever the contest so requires shall mean
and include his heirs, legal representatives, executors, administrators, assigns etc., of the OTHER
PART).

Whereas the FIRST PARTY is the owner of the property bearing No. 74, New Income tax Layout,
5th Cross, (Near Nagarabhavi Circle), Bangalore 560072, which is more fully described in the
Schedule A herein below and hereinafter called the “Schedule A Property”.

Whereas the SECOND PARTY being desirous of taking on lease the Second floor (S2- Rear)
premises of the Schedule A Property which is more described in Schedule B herein below and
hereinafter called the “Schedule B Premises” had approached the FIRST PARTY to enter possession
of the Schedule B Premises as a Tenant under the FIRST PARTY, vide this Rental Agreement dated
15th May 2023. And whereas, the SECOND PARTY has requested the FIRST PARTY the period of
Lease of 11 months commencing from 15th May 2023 to 14th A p r i l 2024 and the FIRST
PARTY considering the request of the

SECOND PARTY has agreed for the period of lease of the Schedule B Premises in favour of the
SECOND PARTY on the terms and conditions herein contained.

Whereas, the parties having agreed to terms of lease of the Schedule B Premises have entered in to
this Memorandum of Lease reducing into writing the terms and conditions upon which the lease of the
Schedule B Premises is extended.

NOW THIS MEMORANDUM OF LEASE WITNESSETH AS FOLLOWS:


1. LEASE OF SCHEDULE PREMISES: In consideration of rent hereby reserved and
the mutual covenants to be paid, performed and observed by the parties, the FIRST PARTY
hereby agrees for lease of the Schedule B Premises to the SECOND PARTY on month to
month tenancy.

2. PERIOD & PURPOSE OF LEASE: The period and purpose of lease of the Schedule B
Premises is as follows
2.1 The lease in favour of the SECOND PARTY shall be for a period of Eleven months
commencing from 15th May 2023 to 14th April 2024 and the tenancy month shall be
of English calendar month commencing from the 1st day of the month and ending on
the last day of the same month.
2.2 The Parties hereto may by mutual consent extend the period of lease for a further
period of 11 months.
2.3 The Lease is for the residential purpose only upon the expressed understanding that
the Schedule B Premises shall not be used for any business or purpose howsoever.
2.4 Pets such as dogs shall not be kept in the said Schedule B Premises.
2.5 Smoking is not permitted within the building/ passage/ porch or terrace

3. CONSIDERATION FOR LEASE (RENT & REFUNDABLE INTEREST FREE


SECURITY DEPOSIT): The lease rent payable by the SECOND PARTY for the quiet and
peaceful enjoyment of the Schedule B Premises shall be as follows:
3.1 Rs. 20,500/= (Rupees Twenty thousand and five hundred Only) PER MONTH for a
period of 11 months that is commencing from 15th May 2023 to 14th April 2024.
3.2 The SECOND PARTY hereby covenants to pay the rents in terms of the clauses in
favour of the FIRST PARTY and has undertaken to pay the rents reserved hereunder
without default on or before the 5th day of each succeeding month.
3.3 If Rent is paid by RTGS the SECOND PARTY has to maintain the Bank Challan/
Bank Statement for the records & future reference. If Rent is paid by Cash the FIRST
PARTY will issue the Rent receipt and the SECOND PARTY has to maintain the
Rent receipt for the records & future reference.
3.4 In the event the SECOND PARTY commits default in paying the rents reserved
hereunder for a consecutive period of two months, the FIRST PARTY shall be
entitled to determine/ terminate the lease after issuing prior notice of Fifteen days to
the SECOND PARTY.
3.5 The SECOND PARTY has paid a sum of Rs. 70,000/- (Rupees Seventy thousand
only), as Interest Free Refundable Security Deposit (Detail of Security deposit paid:
Rs. 5000/- Bank transfer on 12-05-2023 + Rs. 65000/- Bank transfer on ) to

the FIRST PARTY under the Rental Agreement dated 15 May 2023 and the First
Party herein acknowledged the receipt of the same under this Rental Agreement dated
15th April 2024.
3.6 It is agreed between the FIRST PARTY and SECOND PARTY that the Refundable-
Interest-Free Security Deposit of Rs. 70,000/- (Rupees Seventy thousand only] shall
be returnable upon determination/ termination of the Lease hereby granted and
subject to the terms herein contained.

4. Termination/determination of the lease by efflux of time or otherwise:


4.1 Both the FIRST PARTY and SECOND PARTY agree that the lease herein granted is
for a period of Eleven months. The lease during this period shall be determined or
terminated by either of the parties to this agreement by giving two months notice to
the other party.
4.2 In the event of breach of any of the terms and conditions as are contained herein by
the SECOND PARTY, the FIRST PARTY shall be entitled to determine/terminate
the lease after giving 15 (Fifteen) days prior notice of such intention to terminate.
4.3 On the termination of this Lease by efflux of time or otherwise, the SECOND
PARTY shall without demur or protest hand over possession of the Schedule
B Premises to the FIRST PARTY and the FIRST PARTY shall refund the
Refundable Interest-free Security Deposit amount of Rs. 70,000/- (Rupees Seventy
thousand Only) to the SECOND PARTY. The SECOND PARTY shall not be
entitled to claim any amount howsoever except for the refund of the Interest Free
Refundable Deposit paid hereunder.
Provided that, the FIRST PARTY shall be entitled to deduct any arrears in rent,
electricity dues, water charges dues and damages towards fixtures and fittings
provided in the Schedule B Premises, cleaning the Premises (including the
Commodes, Wash basin, Floor tiles, Wall tiles, laminates etc.,) or other amounts/dues
payable by the SECOND PARTY from out of the Refundable Interest-Free Security
Deposit. Further, in the event the SECOND PARTY does not hand over vacant
possession of the Schedule B Premises immediately after the determination/
termination thereof, the FIRST PARTY shall be entitled to receive damages for such
continuance at the rate of Rs. 1000/- per day until the day the vacant possession of the
Schedule B Premises is handed over or recovered by the FIRST PARTY.

5. The other covenants; The FIRST PARTY and SECOND PARTY also agree and
undertake as follows;
5.1 The SECOND PARTY shall pay all the charges for the electricity consumed in the
Schedule B Premises to the concerned Boards/departments in terms of the bills raised
by such boards/departments.
5.2 The SECOND PARTY shall pay water charges for the water consumed in the
Schedule B Property by sharing the bills raised by such boards/departments with
other tenants of the Schedule A Property.
5.3 The SECOND PARTY shall also pay all the charges payable towards water- lifting
from borewell/ sump to over head tank, lighting provided at Common passage sharing
with other tenants of the Schedule A Property.
5.4 The SECOND PARTY shall also pay for the repairs of the Water level controller,
Common area & Parking Area lights, Common area Taps, Bore- well motor and sump
motor installed in the Schedule A Property sharing with other tenants of the Schedule
A Property.
5.5 That if for any reason the lease of the Schedule B premises is extended by mutual
consent or by operation of law, the SECOND PARTY undertakes to pay the escalated
rent at the rate of 5% for every block of 11 months.
5.6 The SECOND PARTY shall not sub-let or otherwise part with the possession of the
Schedule B Premises in any manner whatsoever.
5.7 The SECOND PARTY shall maintain the Schedule B Premises in neat and clean
condition and no nuisance shall be caused to any of the neighbors.
5.8 The SECOND PARTY covenants with the FIRST PARTY that he along with the
tenants of the schedule A property shall keep the Vehicle Parking areas and common
areas such as staircase and terrace area in a neat and tenable condition. In the event,
the SECOND PARTY and the tenants of the Schedule A Property fail to keep the
Vehicle Parking area and Common areas, such staircase case and terrace area in a
neat and tenable condition, the First Party reserves liberty to collect Rs. 500/- per
month from each of tenants of the Schedule A Property for maintenance of the
common areas and car parking space.
5.9 The SECOND PARTY shall not put up any permanent structures in the Schedule B
Premises and shall not use the schedule premises for any illegal purposes nor store
any explosives or inflammable materials in the Schedule B Premises.
5.10 In the event of the determination/ termination of the Lease as contemplated herein the
SECOND PARTY shall vacate and deliver the Schedule B premises in good and
tenable condition. Under no circumstance the SECOND PARTY shall claim any
amount howsoever.
5.11 The FIRST PARTY undertakes to pay property taxes or other levies to Local
Authority.
5.12 The SECOND PARTY has undertaken to keep the fixtures and fittings provided in
the Schedule B Premises as per Schedule C herein below by the FIRST PARTY in
the neat and tenantable condition. If any damage is caused to the Fixtures and Fittings
provided in the Schedule B Premises, the SECOND PARTY undertakes to make
good the loss by replacing the same. If the SECOND PARTY fails to do so the
FIRST PARTY is at liberty to deduct such amount towards the damaged fixtures and
fitting from out of Interest Free Refundable Security Deposit.
5.13 That the SECOND PARTY has undertaken to color wash with paint of existing
painted specification (Asian Tractor Emulsion) & Enamel paint Satin, all roller finish
for the Doors & Cupboards, the schedule B Premises at the time of vacating the
Schedule B Premises. If the SECOND PARTY fails to do so, the FIRST PARTY is at
liberty to deduct such amount towards the color washing and painting from the
Interest Free Refundable Security Deposit.
5.14 The Second party shall not keep any items (like Footwear stand, chairs etc.,) in the
common passages, staircase landing, outside the main door & terrace.

6. Execution of the Memorandum of Lease: The SECOND PARTY shall retain the
original document executed on the stamp paper and the FIRST PARTY shall retain the
photocopy of the same.

SCHEDULE A
All that piece and parcel of the property bearing No. 74, New Income tax Layout, 5 th Cross,
Nagarabhavi, (Near Nagarabhavi Circle), Bangalore .

Construction comprising of Ground Floor – Residential house and Vehicle Parking, First Floor -

Schedule B
Second Floor (S2) premises in the property bearing No. 74, New Income tax Layout, 5th Cross,
Nagarabhavi Layout (Near Nagarabhavi Circle), Bangalore, measuring about 600
Square Feet comprising of 1 Bed room with one Common Toilet & bath, kitchen, Combined Living
& Dining, One Balcony to Living.
Schedule C
(Fixtures and Fittings Provided in Schedule B Premises) Fixtures
and Fittings provided at BATH ROOMS;
ATTACH TOILET:
One Wash Basin (white) with Tap (make ESS);
One EWC and Flush tank (white, Parryware, Seat Cover & Flush tank), Two
long body tap (make ESS);
Towel Rod, One Mirror, Soap tray.
Geyser – 25 liters.
UTILITY:
One Wash Basin (white) with Tap (make ESS);
KITCHEN:
One tap- Swivel type long body (make ESS);
One inlet and outlet provision for Washing Machine.
LIGHTING:
Out side : One Lights
Inside : One Tube light (48 Inches) and Two Fans (48 Inclhes, make
Crompton Greaves)
One Exhaust Fan of (make Vinny);
KEYS:
Main Door : Two sets of Keys
Ward Robes : One set of Keys (One ward robe & Drawer)

In Witness whereof, the parties hereto have set their hands to this Memorandum of Lease on the date
first written herein above.
