Terms and Conditions of Survey.


I/We understand that the acting marine surveyor Guido Morlachetti and I, are bound by the terms of this agreement.
Neither party will transfer or assign its rights or obligations under the Agreement without the prior written consent of the
other party.
If the surveyor deems it more efficient or convenient, the surveyor may, subject to the client's right to object on reasonable
grounds, seek advisory, assistance and subcontracting services, which it provides under the agreement, from other persons
and may at its discretion delegate the fulfillment of one or more obligations under the agreement.
The Surveyor will not have any responsibility to the Client for any loss, damage, delay or expense of any nature, whether
direct or indirect and in any way that arises, UNLESS it is shown that it is due solely to negligence, negligence serious or
intentional non-compliance by the Surveyor or any Delegate. Neither party shall be liable to the other for indirect or
consequential damages that result or arise from the arrangement that includes, but is not limited to, loss of use of property,
loss of profit, loss of product or business interruption.
The survey report conducted by the acting surveyor, will be issued for the exclusive use of the above-mentioned client and
may contain privileged and confidential information which is exempt from disclosure under applicable law. Property rights
in all original work created by the Surveyor remains the property of the Surveyor.
The scope of the required survey is to report the general condition of accessible areas of the vessel and to inform the above-
mentioned client of the deficiencies, as they exist on the day of the survey.
The survey to be performed is a visual inspection only, carried out in good faith and does not contemplate dismantling,
removal or moving of any object. The vessel should be prepared of survey with compartments unlocked, stores and excess
equipment removed and maximum access to all areas of the vessel provided.
The survey will be conducted in accordance with generally accepted marine standards and criteria utilized in the marine
surveying industry. Persons or entities entitled to rely upon this report are advised that this surveyor is not an engineer nor
does he possess any specialized knowledge beyond the degree of skill commonly possessed by others in the same
employment.
The Surveyor shall have no liability for consequential damages, no liability for personal injury damages, no liability for
property loss damages, no liability for punitive damages, all of which shall be deemed to have been knowingly and
voluntarily waived upon use of the survey report.
In exchange for the surveying services described in this Agreement, the client shall pay to surveyor a fee amounting to
US$________________ (the “Survey Fee”). The Client shall pay the surveyor's fees within fifteen working days from the
date of the relevant invoice, or in such other manner as may have been agreed in writing between the parties. Any payments
overdue by the client shall bear compound interest from the due date until payment at a rate of half of one percent per week.
When any payment is overdue for more than sixty days, the surveyor, without prejudice to any of his rights or others, will
have the right to terminate the Agreement, after which payment will be due for the value of the work performed up to the
date of termination.
These General Conditions are governed by English law and are subject to the exclusive jurisdiction of the high court of justice.
