Editor’s Welcome

We are very happy to publish BEPZA Annual Report 2019-2020 as a consecutive


publication. We have been added an in-depth comprehensive overview of BEPZA, the
key moments and metrics of the fiscal year 2019-2020. All the related data compiled here
in easy way so that everybody can easily go through. We have tried to give a new shape
to make it an enjoyable manuscript rather than a traditional financial statement.
In terms of attracting investment, export earnings, product diversification and generation
of employment, BEPZA is one of the most successful organizations of the country. In the
period of present government 8 EPZs of BEPZA made excellent performance in those
fields. Moreover BEPZA is going to launch its biggest venture- the BEPZA Economic
Zone at the Bangabandhu Sheikh Mujib Shilpa Nagar located in the Southeast part of the
country, ushering an era of the further investment opportunities for the investors. BEPZA
is marching ahead to build economically prosperous Bangladesh. As a consequence, it
achieved a significant growth in investment, export & employment in last 12 years.
In the beginning of this report we highlighted BEPZA’s successful performance during
the present government period with attractive graphs. This report also bears the key
points that keeping ahead 8 EPZs as an investment hub without any hindrance. We tried
to exemplify our contributions to the national economy as well as FDI of the country.
Bangladesh EPZ Authority has also set trailblazing examples in different sectors like
socio-economic development, women empowerment, CSR as well as humanitarian
activities. We highlighted all those things in this book. In financial part of this report, we
have described this portion by using some graphs, tables so that the readers can easily
go through it.
This was really a huge task to coordinate all the matters in a small book. To accomplish
tough task we got wonderful support from Account & Finance, Investment Promotion and
Engineering Division of the Executive Office and from Zone Offices. We are thankful to
them for their nice cooperation to bring out this publication on time.

Message
I am happy to know that Bangladesh Export Processing Zones Authority (BEPZA) is going to
publish its Annual Report 2019-2020.
BEPZA, one of the entities under the Prime Minister’s office, has been playing a pivotal role in
materializing the dream of ‘Sonar Bangla’ as dreamt by Father of the Nation Bangabandhu Sheikh
Mujibur Rahman through facilitating trade, attracting investment and generating employment.
BEPZA has been performing well in the field of investment as well as export even in the time
of pandemic and I appreciate BEPZA’s endeavour to maintain worker’s safety and compliance
during this adverse time. Attracting more new investment, BEPZA turns the adverse situation
into strength. I am very glad to know that BEPZA contributed 19.27% to the total National Export
of Bangladesh in FY 2019-2020. Some 475 industries are operating with US$ 275.65 million
investment in EPZs and also exported goods worth US$ 6489.12 million during the financial
year 2019-2020. I appreciate that BEPZA has created new employment opportunity for 7169
Bangladeshi nationals during this crucial time.
BEPZA is the pioneer of investment-friendly custom bonded secured industrial enclave in
the country. All these successes of BEPZA created a trailblazing example which encouraged
my government to create 100 economic zones to attract both local & foreign entrepreneurs
under new strategy. We want to take our economy forward further and make the investment
atmosphere more attractive through these economic zones.
I do believe BEPZA Annual Report will depict an overall investment environment of
investment-friendly Bangladesh. I hope investors from home and abroad would come forward
to invest more here and enjoy the investment incentives offered by the Government.

It gives me immense pleasure to learn that Bangladesh Export Processing Zones Authority
(BEPZA) is going to publish its Annual Report 2019-2020.
Bangladesh has attained significant success in economic growth in comparison with many
other countries during the last few years. As a result of stable economic growth, Bangladesh has
graduated to the status of lower middle income country. We have set goal to be a middle-income
country by 2021 and developed nation by 2041. We are now in right track which is reflected in
our various successes.
BEPZA, a beacon of hope and interlocutor through which global business communities come
forward to make investment in Bangladesh. With active support of present Government, BEPZA
strives for adopting a market responsive zone management policy. It includes digitalization of day-
to-day activities, improvement of social and environmental compliances within the manufactory
units.
We know that, investment in Bangladesh has been taking a steep rise with sustained growth
from 2009 and policy regimes becoming more conducive. Since then, Bangladesh is becoming
a land of opportunity for convenient and innovative entrepreneurship, which is well-knit into the
economic base of Bangladesh. The Honourable Prime Minister Sheikh Hasina takes a vow to
fulfill the dream of the Father of the Nation Bangabandhu Sheikh Mujibur Rahman to build Sonar
Bangladesh. The Honourable Prime Minister wants to turn Bangladesh into a developed country
for which foreign investment is a significant component.
I am happy to know that BEPZA has attracted US$ 5.3 billion investment and exported
goods worth US$ 80.57 billion till June, 2020. Eight EPZs of BEPZA has been contributing
around 20% of the total national export for the last consecutive years. It has created employment
opportunities for more than 4,66,307 Bangladeshi nationals, which is playing an important role in
socio economic development of the country. Among the total workforce, 66% are women.
I am glad to be informed that BEPZA is playing an important role of industrialization in the
country and also has inspired others. I appreciate that besides attracting investment, it is speeding
up export, employment generation, transfer of technology and diversifying export items. BEPZA
is an icon of investment-friendly Bangladesh which creates confidence and reliability among
global investors.
I hope BEPZA will continue its efforts to achieve the desired goals.

Bangladesh is a promising country having potentials


to grow further and has one of the Asia’s most remarkable
and surprising success stories. The country has changed
the industrial history and made Bangladesh as unique
investment destination under the dynamic leadership of
the Hon’ble Prime Minister Sheikh Hasina. The country has
become South Asia’s one of the fastest growing economy
with averaged above 6% annual growth for nearly a decade.
We are on track to become a developing country in 2024
and moving to be a developed nation by 2041.
BEPZA, being the pioneer investment promotional
organization of the country, has been maintaining its
impeccable track record of growth and development over

the years. In attaining its primary objectives of investment promotion, export
enhancement, employment generation, technology transfer BEPZA has fared
exceptionally well. BEPZA is now recognized as a brand for its success,
reliability and progress to the global business community that has set some
trailblazing examples in terms of facilitating and operating of industrial enclaves
in the country paving the way to others.
BEPZA has established eight EPZs and few are also being contemplated.
Moreover, we are developing an economic zone which is nearly ready to
welcome new investors. The operational EPZs have already made a distinct
mark in the arena of the global businesspersons overcoming the challenges.
Geo-regional location, lucrative fiscal & non-fiscal incentives, less production
cost, most competitive young & energetic workforce, moderate infrastructures,
secured custom bonded enclave with an amicable Workers-Managements-
Owners Synergy have made business easier and profitable here. Automation
and green initiatives, one stop service and regulatory reforms turned BEPZA as
one of the hotspots of investment in the globe.
The EPZ enterprises are manufacturing world famous brand items with its
skilled enormous workforce. Simultaneously, besides Ready Made Garments
EPZs are the role model for producing diversified items and enhancing
country’s export basket in vivid colour. Two-thirds of total workforce of EPZs
are women—giving a renewed hope, strength and self-respect to countless
female workers who are making extraordinary contribution to their own lives in
particular and the nation in general. BEPZA is working as catalyst to tune the
total issue, associated to this sector, in the framework of international laws,
regulations and provisions.
In fulfilling the Dream of “Sonar Bangla” dreamt by Bangabandhu the
Bangladesh is marching ahead. BEPZA within its own perimeter upholding the
same dream and the mandate of the Honourable Prime Minister Sheikh Hasina
- ‘Investment Friendly Bangladesh, Enhancement of Export with Product
Diversification & Women Empowerment’ and progressing ahead contributing
to the national economy through export earnings, employment generation, FDI
attraction and several others direct and indirect economic benefits.

Export Processing Zones (EPZs) under BEPZA are governed

EPZs are playing a significant role for socio-
economic development of Bangladesh.
One of the primary goals of establishing
EPZs in different parts of the country are to
generate jobs eradicated the poverty from
those regions.
EPZs also emphasized in the factors that
enhance empowerment of women which
supports the objectives of Sustainable
Development Goals (SDGs). BEPZA set a
milestone in women empowerment. A large
number of female workforces are working
in the EPZs which are around two-third of

CETP in Dhaka EPZ

Central Effluent Treatment Plant


BEPZA has set up three Central Effluent Treatment Plants (CETPs)
in Dhaka, Chattogram and Cumilla EPZ. These CETPs are treating
the liquid waste of the enterprises of those EPZs that are playing
an effective role for the environment protection of EPZs and its
surroundings. At the same time, 30 environmental counselors CETPs of 3 EPZs
are employed to monitor the effluent management of the EPZ are treating the
enterprises. CETP in Chattogram EPZ can treat 45,000 cubic liquid waste of
meters of liquid effluent per day that of Dhaka EPZ can treat 35,000
cubic meters every day. CETP in Cumilla EPZ fixed target to treat

The Power Plants (PP) in the

the enterprises for uninterrupted
production as well as contributing
to the national economy. Two
service oriented industries has set
up their power plants for producing
and supplying of 200 Megawatts
electricity to the enterprises in
three EPZs i.e. Chattogram,
Dhaka and Karnaphuli EPZs.

for supply and sale their surplus
power to the national power grid
after meeting the demand of the

Waste Heat Recovery Unit


A Waste Heat Recovery Unit (WHRU) is an energy 200 Megawatts Power Plants
recovery heat exchanger that transfers heat from
process outputs at high temperature to another part

Bangladesh EPZ Authority has established
Environment Laboratories for testing of water, soil, air,
chemicals and other samples. BEPZA has operated two
environment laboratories named ‘Green Environmental
Laboratories’ at CEPZ and DEPZ to provide the highest
value and quality of environmental testing, quality of

Workplace Safety
Workplace safety is one of the most important
issues in industrial sector and BEPZA is very
conscious on it, especially in present Corona
Pandemic situation. The industries of the EPZs
ensure workers health protection maintaining a
safe working environment through disinfecting
the workers and the EPZs area. In addition,
to build awareness BEPZA has a strong fire
fighting team led by a ‘Fire Consultant’ in every
EPZ who arranges regular fire fighting drill as
well as training for the workers and staffs in
their respective enterprises. The enterprises
operating in the EPZs have to provide Building
Safety Certificates issued by government

Workers Welfare Association (WWA) and
the right of collective bargaining. According
to the section 119 (1) of Bangladesh
EPZ Labour Act 2019, the WWA of any

Agent (CBA) for that industrial unit. It has
the right to negotiate directly with the
employer on wages, working hours and
other terms & conditions of employment.

fulfill their Corporate Social Responsibility
(CSR) to the workers of EPZs. The EPZ

BEPZA established its own hospitals & medical centers in all
the EPZs for ensuring medical facilities to all. Moreover, 256
EPZ enterprises have set up their own special Medical Centers
to ensure the health and workplace safety. In addition, the EPZ

Financial Analysis

1.1 Brief description financial


management
The eight EPZs of BEPZA are managed
as separate operational units and each
EPZ deals directly with its clients, issues
the rental bills and monitors its payment.
BEPZA´s accounting system and
financial statements clearly separate
both income and costs from the EPZs
and it provides ample information for an
in-depth financial analysis. Each EPZ
has a general manager responsible for
the site´s performance, income, costs
and maintenance.
BEPZA´s income is collected primarily
through the EPZs who have their own
accounting department and manage
their clients. Bills are issued monthly for
SFB rental and service charges, for land
on a quarterly basis. Official payment
period for the accounts receivables is
15 days. All expenses related to the
site´s operation and maintenance is paid
directly by the EPZ.
The EPZs annual financial results are
then transferred to the BEPZA executive
office that prepares audited financial
statements. Besides an annual transfer
to the National Exchequer, BEPZA is
allowed to build up its own financial
reserves reflected in its equity.

1.2 Financial statements
1.2.1 Income and Expenditure Statements
Summaries of the combined income and expenditure statements and balance sheets at zone
level are depicted below. Note these financial statements combine both BEPZA executive
office and the eight EPZs in operation. Detailed information is included in Annex-1.
BEPZA’s audited financial statements show that the entity is revenue generating going
concern with annual net income 1,805.57 Million BDT (2020) in spite of the entity is service
oriented. The following observation assists in these figures interpretation.
• International experiences in public entities in other countries (both in the region and
elsewhere) suggest that the opportunity cost-of-capitals employed in land values are
not accommodated in a public entity’s income and expenditure statement. This builds on
the assumption that the land pertains to the government and not the entity.
• BEPZA depreciates its assets using actual values (albeit these values do not reflect
market prices) which demonstrates a high level of business acumen. This is even more
advanced than public entities’ financial statement in many other countries. Of salient
importance are BEPZA’s two income sources and their relative importance to its financial
value creation: (1) Rental income from land and SFB; and (2) other income including
service charges for utilities, bank interest, and income from shops etc.

These income streams’ percentage contribution is depicted in the figure below. The sale of
utilities (water, electricity, gas) to the private sector and bank interest (on surplus cash flow
position) are as important as rental income.
About half of BEPZA’s income is generated with the rent of land and SFB. The other half is
derived from other income sources as depicted in the next figure. In general, BEPZA buys
the utilities from water and electricity companies and sells it through to the private companies
with a 10% Income from utility. In Dhaka and Chittagong EPZ, it generates its own electricity
and sells it through to the firms operating in their respective EPZs.
BEPZA has also established private electricity generation and Central Effluent Treatment
Plants (CETP), Chittagong EPZ and Dhaka EPZ are clearly forerunners in this development.
Dhaka EPZ is operating a CETP from 2010. It is build operates as a service oriented industry
with a revenue sharing agreement.

Chattogram EPZ has selected a local private operator to build, operate and own a CETP,
once again with a revenue sharing agreement. In the coming years, it might be interesting
to monitor how much financial value accrues to BEPZA and whether this could provide an
opportunity for more as a Service Oriented Industry within BEPZA. The figure below provides
an analysis of BEPZA’s Income and Expenditure account with the next figure depicting the
net income (after tax) 2017-2020.

1.2.2 Balance Sheets


We continue BEPZA’s financial analysis with its balance sheet, presented below. The
following explanatory notes assist in its interpretation.
• Fixed assets represent book value (i.e. purchase price minus accumulated depreciation)
using converted historical prices into actual prices, and include land values, building and
equipment.
• Although assets values given appear to be low, BEPZA’s valuation is congruent with
Bangladeshi accounting principles.
• Depreciation has been applied following reducing balance method at the rates varying
from 10%-30% as per Income Tax rules.
• Long term liabilities are included interest free loans from the Government with a 10
years’ maturity period.

BEPZA has a solid solvability position comparing its equity with total capital employed (total
assets). Although the fixed assets’ value appears to be low, and does not fully reflect actual
market values of land, the financial statements are prepared by a chartered accountant and
are congruent with Bangladeshi accounting principles.

1.3 Financial Ratios
It is of note that the value of the fixed assets influence the calculation of the financial ratios.
Given that we believe that these values are lower than market values suggest, also the
following financial ratios could be distorted. We recognize that the accounting principles
used strongly influence balance sheets values and financial ratios. However, this is the case
all over the world both in private and public entities.
BEPZA’s financial statements are now used to calculate various financial ratios that allow
to evaluate BEPZA’s profitability and financial soundness as a going-concern. But first it
is important to identify the sector’ economics as this influences the interpretation of the
financial ratios. Typically, an EPZ can be characterized by:
• A relatively high level of fixed assets is needed to offer first class services to international
investors. This implies that occupancy levels (percentage of plots rented out) is of critical
importance to its financial feasibility. Small variations in occupancy rates have a strong
impact on net profit.
• Total income in comparison to total capital employed is low given its high level investments
required to get the EPZ on stream.
• Profit margins tend to be high as the bulk of operating expenditures is off-loaded to
private investors. OPEX levels tend to be low in comparison with income levels. In turn,
this results in relatively high operating profits or EBITDA (Earnings before Interest Taxes
Depreciation Amortisation).
• Land ownership of the EPZ and its inclusion in its balance sheets influences the
calculation of Return on Investment/Equity. Based on international experiences it can
be assumed that land values are seldom included in public entities’ balance sheets as
it belongs to the government. However, BEPZA does include its land values in its fixed
assets albeit not at real market values as it is calculated in the next Chapter.
Before presenting BEPZA´s financial ratios. Let us explain them briefly in the table below.
Table 3.1: Explanation financial ratios
Return on investment Net income as a % of total capital employed. Low risks infrastructural projects
typical generate 2-10% ROI. EPZs should generate higher ROI given its explicit
ROI link with the private sector.
Return on Equity Net income as a % of equity employed. This is linked to the project’s financing
structure, If equity is low (more loans) then financial gearing comes into play. It
ROE should exceed ROI.
Profit margin Net income as % of total income. Given that management and operation costs for
the sites are limited, this % should be high.
Asset turnover Total income divided by total assets. EPZs typically have high investment values
and this ratio will be low. Range: 0-1
Debt to Value Total debt as % of total capital employed. Typically public entities have low
gearing ratios and low long term liabilities.
Accounts receivables Payment term in days. Depends on invoicing and payment policy of the entity

1.4 EBITDA Analysis


EBITDA is a valuable measurement of an entity’s value creation ability and is pivotal in
any cash flow analysis, e.g. Internal Rate of Return (IRR) or Net Present Values (NPV)
calculations. Total EBITDA and for each EPZ separately is depicted in the figure below.
Details are included in Annex 2.
Chattogram,Dhaka, Mongla, Ishwardi, Comilla, Uttara, Karnaphuli, Adamjee and head-
quarter were the main contributors to BEPZA’s EBITDA.

Focusing on EBITDA up to year end 30 June 2020 only can now transform each EPZ’s
contribution into percentages relating it to BEPZA’s total EBITDA. This provides with an
incisive insight in the percentage contribution of each EPZ. In line with the figure above, it
can be seen that Dhaka EPZ contributes 30% to total EBITDA, Chittagong 20%, Head office
12%, Adamjee 11%, Cumilla 9%, Karnaphuli 8%, Uttara 4%, Ishwardi 3%, Mongla 2% and
BEPZA EZ 0% contribute to BEPZA’s cash flows though.
1.5 Observations
The information provided is based on the analysis of BEPZA’s audited financial statements
2020, 2019, 2018 and 2017. The accounting principles used determine to a great extent the
actual values depicted in the balance sheets. It is believed that fixed assets’ market values
are higher than the ones depicted in the balance sheet and have included the calculations at
a later stage in this report. However, the financial statements were approved by a chartered
accountant and congruent with Bangladeshi accounting principles.
We believe that BEPZA’s fixed assets values derived from the balance sheets do not entirely
reflect actual market prices and this is particularly the case for land. This undervaluation of
its fixed assets influences the calculation of various financial ratios (e.g. ROI, ROE) which in
reality are likely to be lower than calculated.
The eight EPZs are managed as separate business units and each EPZ is responsible for
both its own income and expenses. Amalgamated accounts are managed by head-quarter.
BEPZA’s audited financial statements show that the entity is a profit making going concern
with annual net profits 1,805.57 Million BDT (2020).
Of salient importance are BEPZA’s two income sources and their relative importance to its
financial value creation. i.e.: (1) Rental income from land and SFB; and (2) other income
including service charges for utilities, bank interest, and income from shops.
