referred to as the "INDEMNIFIER” (which expression shall unless repugnant to the context or meaning thereof be
deemed to mean and include their heirs executors, assigns and administrators)

Pune 411 035 and Its Branch Location at Plot no – 388, Gautam Nagar, above axis bank, Bhubaneswar –
751014 .Hereinafter referred to as and hereinafter referred to as the "INDEMNITY HOLDERS" (which
expression shall unless repugnant to the context or meaning thereof be deemed to mean and include their
respective heirs, executors and administrators)

WHEREAS the Indemnifier is a broker or agent or and is engaged in the business of resale and purchase of two /
three wheelers taken into possession by the Indemnity Holder.

AND WHEREAS Indemnifier has purchased 2 Vehicles (No of Vehicles to be mentioned) from the Indemnity
Holder as per the attached list (the list of the Vehicles is enclosed herewith) on as is and where is basis and after
satisfying himself about the conditions of the said vehicles.

AND WHEREAS it is further agreed by the Indemnifier that the Indemnifier is solely responsible for the payment
and transfer of ownership charges & applicable taxes for the purchased vehicles as per the attached list and by
which the ownership of the vehicles will be transfer in the name of the prospective purchasers.

AND WHEREAS considering the above the Indemnifier has agreed to keep harmless to Indemnity holder against
any claims or demands raised by the prospective purchasers by, through or under the name of Indemnifier or any
other person claiming by, through or under the name of Indemnifier, or by the said Purchaser or if the Indemnity
holder is required to suffer any loss due to such resale or any other claim raised towards said resale of said sold
vehicles.

NOW THIS DEED WITNESSETH and the Indemnifier above named do hereby undertake and declare as
below:
1. That the Indemnifier do hereby undertake and declare and agree to indemnify and keep harmless to
Indemnity Holder against any claims or demands arising by, through or under the name of Indemnifier or any
other person claiming by, through or under the Indemnifier, or by the said prospective Purchaser or if the
Indemnity holder is required to suffer any loss due to such claim/s, cost and consequences arising out of sale of
2 vehicles as per the attached list. The Indemnifier further agrees to keep the Indemnity Holder indemnified for
the loss together with all cost, expenses and damages thereof in respect of any demand raised against the
Indemnity Holder or loss caused to the Indemnity Holder by above mentioned reason on behalf of or under
the name of Indemnifier or said prospective purchaser and the Indemnifier further undertakes to keep the
Indemnity Holder and their permitted assigns save and harmless together with cost and expenses in respect
of loss arose due to any claims/costs/ consequences relating to sale of said 2 vehicles as per the attached list
whereby the Indemnity Holder suffer or incur loss on account of the sale of said 2 vehicles.
IN WITNESS WHEREOF the Indemnifier above named have set their hands on the day and date first herein
above mentioned.
