Profit-Sharing Agreement

This Profit Sharing Agreement (the “Agreement”)for the Project of Rain Water Harvesting and Drain system is
entered into as of 15/01/2024 by and between Divenshree Enterprises (the “Company”) having its principal place
of business located at H.no.92,Vishnu Garden, Sec 105, Gurugram, Haryana-122006 and Mr. Suraj Mishra (the
“Representative”), S/O Tribhuvan Mishra,407,Bermo Road, Jainamore, Mishra Side, Bandi dih, Bokaro,
Jharkhand-829301.Both of whom agree to be bound by this Agreement.

WHEREAS, the Company and the Representative desire to enter into an arrangement whereby Divenshree
Enterprises will share 20% of the profits with Mr. Suraj Mishra realized from the Revenue of the project after
completion due to the efforts and project amount Investment of the Representative according to the terms and
conditions herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties hereto, the
Company and the Representative (individually, each a “Party” and collectively, the “Parties”) covenant and agree
as follows:

TERM.
This Agreement shall last from the date of execution until terminated by thirty (30) days’ written notice by either
party.

RESPONSIBILITIES OF REPRESENTATIVE.
In consideration for the profit share granted herein, the Representative shall perform the following duties:
• Completing Project work as needed within the Timeline; and
• Performing other such duties and services as may be assigned by the Company to accomplish the aims of
this
• Agreement in the time, place, and manner deemed appropriate by the Representative.

PROFIT SHARE.
In consideration of the duties performed hereunder, the Representative shall be entitled to 20% of the profits
earned after completion of the project that are a direct result of the Representative’s efforts.
To be considered a “direct result” of the Representative’s efforts, substantially rest of all the Job work required
on site .
“Profits” are deemed to be calculated by the Revenue after all the expenses invested by representative and by the
Company paid on behalf of the Representative in furtherance of the sale and the cost of goods sold.
