CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE, made and entered into this ____________________ in the City of
Cebu, Philippines, by and between:

PURIFICACION T. CABAHUG, married, Filipino, of legal age with postal address at Blk. 4
Lot 13 Fujimum corner Liatris Sts., Phase 2 Metropolis Subdivision Pulangbato, Cebu City,
Philippines and hereinafter referred to as the LESSOR.

and

KAREN SINSUAN ILANO, Filipino citizen , of legal age, married with postal address at
Unit A9 168 3rd St., La Guardia , Barangay Lahug, Cebu City, hereinafter referred to as the
LESSEE.

WITNESSETH, THAT:

WHEREAS, the LESSOR is the lawful and absolute owner in fee simple of a property des-
ignated as:

Unit 1602 West Calyx Centre, IT Park, Apas, Cebu City.

1. AREA: That for and in consideration of the rent and covenant hereinafter stated, the
LESSOR does hereby let, lease and demise by way of lease and whereof the LESSEE hereby ac-
cept Unit 1602 West Calyx Centre, IT Park, Apas, Cebu City.

2. TERM: That this CONTRACT shall be for a term of ONE (1) year effective August 1,
2023 and to expire on July 31, 2024 unless sooner terminated as hereinafter provided; this
lease shall not be deemed extended beyond that period of time for any cause or reason whatso-
ever.

3. RATE: That the agreed MONTHLY rental thereof shall be, TWENTY THOUSAND PESOS
(P20,000.00), Philippine Currency, inclusive of association/condominium dues and existing furni-
tures and furnishes. Upon the execution of this this Contract, the LESSEE agrees to pay the
LESSOR Two ( 2) months Security Deposit and One (1) month advance rental or the sum of SIXTY
THOUSAND (Php 60,000.00) Philippine Pesos which shall be made applicable on the first month
of the lease contract with the remaining monthly rental payable in cash to the LESSOR on or be-
fore every 1st day of the corresponding month. The LESSEE may deposit to the LESSOR Bank Ac-
count, BPI Savings Account No. 1359-2042-01 and send the deposit slip via email.

The LESSEE shall pay TWENTY THOUSAND PESOS (P 20,000.00), Philippine Currency in
cash as one month advance rental and FORTY THOUSAND PESOS (P 40,000.00), Philippine Cur-
rency in cash, equivalent to Two (2) Months security deposit payable upon move-in.

4. PUBLIC UTILITIES AND CONDO DUES: That the LESSEE shall pay for its water, telephone
service, electricity, internet connection and cable and other public services or utilities, and the
installation of such utilities in the leased premises shall be for the account and expense of the
LESSEE. Association dues/condominium dues and building insurance shall be for the account of
the LESSOR.

a) it shall be kept intact throughout the life of this contract and shall NOT be applied by
the LESSEE to any unpaid rental, electric, water and internet but at the exclusive
option of the LESSOR said deposit may be applied by the LESSOR to any unpaid
rental, electric, water and internet at the expiration of the period stipulated herein;
b) if the LESSEE should terminate the LEASE CONTRACT before the expiration thereof,
for whatever cause or reason, then said deposit shall be automatically forfeited by
the lessee in favor of the lessor.
c) If the LESSOR should terminate the LEASE CONTRACT before the expiration thereof
due to violations of this CONTRACT, then the said deposit shall be automatically for-
feited by the LESSEE in favor of the LESSOR, and
d) Extra ordinary damages incurred in said leased premises due to the fault or

negligence of the LESSEE, or guests; shall be for the sole account of the LESSEE.

e) Upon check out the LESSOR shall charge the LESSEE the cost of cleaning of the unit/
laundry in the amount of THREE THOUSAND FIVE HUNDRED PESOS (PHP 3,500.00) and
the actual cost of air conditioning unit cleaning and grease trap cleaning shall be de -
ducted from the security deposit.

PROVIDED, FINALLY, the whole or any part of said deposit subject to the foregoing liabilities,
as the case may be, is refundable without any interest to the LESSEE thirty (30) days after the ex-
piration of this CONTRACT.

5. PENALTY OR LATE CHARGES: Without prejudice to the exercise by the LESSOR of its
other rights established in this CONTRACT, the LESSEE shall pay to the LESSOR penalty at the
rate of FIVE PERCENT (5%) per month on any rental, electric, water and internet not paid within
the payment period herein specified. This penalty shall likewise be applied to any charges billed
to the LESSEE arising under this CONTRACT that is not paid within the payment period following
billing herein established, and shall be compounded monthly until the delinquencies are settled.
For computation of penalty, fraction of a month shall be considered one whole month.

6. USE OF PREMISES: That said leased premises shall be utilized as a RESIDENTIAL SPACE
ONLY. LESSEE must not use the premises for illegal or unlawful purposes. Occupant of the
leased premises is a maximum of two (2) persons only.
The premises leased shall be used exclusively by the LESSEE; it being expressly agreed
that if, at any time during the existence of this lease, and without the previous consent of the
LESSOR the said premises are used for other purposes, the LESSOR has the choice to:
a) rescind this CONTRACT,
b) increase the rental rate.

7. NON-PAYMENT & LOCK-OUT: In any event that the LESSEE should fail to pay any or all
accounts (such as rent and utilities) related to the lease of premises for the period of ONE (1)
MONTH or commit any breach of any terms and conditions in this contract, the LESSOR shall
have the right, power, and authority to lock-out and padlock the premises and/or cut-off the
electricity, water and other utilities without the need of a court order unless the LESSEE settles
all accounts or obligations in favor of the LESSOR. Provided further, that the LESSEE shall not re -
move any piece of furniture, fixture, equipment or materials from the leased premised until full
settlement of such obligations and such shall be disposed of in the same manner provided in
paragraph no. 19 hereof.

8. ALTERATIONS, ADDITIONS, REMOVALS, IMPROVEMENT, ETC.: That the LESSEE shall not
make any alterations, additions or removals in, and/or improvements upon the leased premises
without the written consent of the LESSOR. In case such alterations or removals in, and/or im -
provements are made, it is understood that the permanent improvement shall become the
property of the LESSOR and shall remain upon, and be surrendered with, the premises as part
thereof at the termination of the lease without any obligations on the part of the LESSOR to re -
imburse the cost thereof. Provided, further, that any additional cost which may be incurred in
effecting such alterations in, additions to, removals from, or improvements upon, the leased
premises, as well as the cost of restoring the same to its original feature and design at the termi-
nation of the lease, shall be for the account of the LESSEE.
The LESSOR reserves the right to refuse to allow any alterations, additions or removals
and/or improvements requested by the LESSEE, if in the LESSOR’S opinion there is just cause to
warrant such refusal.

9. CARE OF LEASED PREMISES: That the LESSEE shall, at its expense, maintain the leased
premises in clean and sanitary conditions, free from noxious odors, disturbing noises or other
nuisance, and upon the expiration of the lease, shall surrender and return the premises and fix-
tures, furnitures in as good a condition as they were actually found at the beginning of the lease,
ordinary wear and tear excepted.

10. INSPECTION OF THE PREMISES: That the LESSOR or its authorized agent shall, by previ-
ous arrangement with the LESSEE, have the right to enter the leased premises at any reasonable
time to examine the same or make alterations or repairs, or for any purposes which it may deem
necessary for the operations and maintenance of the building or its installations, and during the
last one month of the term of the lease, to exhibit the least premises to prospective tenants.

11. SUBLEASE: That the LESSEE shall not directly or indirectly sublease, sell, assign, transfer,
convey, mortgage or in any manner of or encumber his right under this CONTRACT, in whole or
in part, and no right or interest thereto shall be conferred or vested on anyone other than the
LESSEE personally.

12. DISTURBANCE OF POSSESSIONS: That disturbance or discontinuance of the possession


of the leased premises by the LESSEE by causes beyond the control of the LESSOR shall confer no
right of any kind to the LESSEE as against the LESSOR.

13. TERMINATION OF THE LEASE: That the LESSEE agrees to return and surrender the
leased premises at the expiration of the term of this lease in as good a condition as reasonable
wear and tear will permit, and without delays whatsoever, devoid of all occupants, furniture, ar-
ticles and effects of any kind other that such alterations, additions or improvements which the
LESSOR may elect to take.

14. REPAIRS AND MAINTENANCE: LESSEE acknowledges that he has examined the
premises and that said premises, all furnishings, fixtures, furniture, plumbing electrical facilities,
all items listed on ANNEX A of this Contract of Lease, if any, all other items provided by LESSOR
are all clean, and in good satisfactory condition except as maybe indicated in the agreement.
LESSEE agrees to keep the premises and all items in good order and good condition and to im -
mediately pay for cost to repair and /or replace any portion of the above damaged by LESSEE, as
provided by law. Major repairs not caused by or attributable to LESSEE'S fault or negligence shall
be for LESSOR’S account.

15. SALE OF CONDOMINIUM UNIT: In case the LESSOR will sell the condominium unit before
the expiry of this Contract of Lease, the BUYER must honor this Contract of Lease. The LESSEE
and BUYER at their exclusive option may terminate this Contract of Lease at the exclusive option
of the LESSEE.

16. NON-WAIVER: That the failure of the LESSOR to insist upon a strict performance of any
of the terms, conditions and covenants hereof shall not be deemed a relinquishment or waiver
of any rights or remedy that said LESSOR may have, nor shall it be construed as a waiver of any
subsequent breach or default of the terms, conditions or covenants shall continue to be in full
force and effect. No waiver by the LESSOR of any of its rights under this CONTRACT shall be
deemed to have been made unless expressed in writing and signed by the LESSOR.

17. DEFAULT OF BREACH: That the LESSEE agrees that all the covenants and agreements
herein contained shall be deemed conditions as well as covenants and that if default of breach
be made in any such covenants and conditions, then this lease, at the discretion of the LESSOR,
may be terminated and cancelled forthwith and the LESSEE shall be liable for any and all dam -
ages, actual and consequential, resulting from such default and termination.

18. JUDICIAL RELIEF: That should the LESSOR be compelled to seek judicial relief against the
LESSEE, the latter shall, in addition to the damages mentioned in the preceding paragraph, pay
an amount equivalent to 20% of the amount claimed in the complaint as attorney’s fee (with a
minimum of P50,000.00), aside from the costs of the litigation and other expenses which the law
may entitle the LESSOR to recover from the LESSEE. All legal action will be in the court of the
City of Cebu.

19. AUTHORIZATION: The LESSEE hereby irrevocably authorizes the LESSOR to do, or cause
to be done, any or all of the following, whether cumulatively or separately, subject to the corre -
sponding conditions, the existence of which may be determined solely by the LESSOR:

a.) Should the LESSEE violate any or all of the provisions of this contract, including but
not limited to the failure to promptly pay rent or any amount due under this agreement
on the date agreed upon, or, should the tenant abscond, disappear, or otherwise be un-
reachable for a period of more than 7 consecutive days without prior notice to the
LESSOR, the latter may break open, enter, occupy, padlock, secure, enclose, fence,
and/or otherwise take full and complete physical or constructive possession and control
of the Leased Premises and all the properties found therein without resorting to any
court action or any intervention from the authorities. Furthermore, the LESSOR may dis-
continue and/or terminate utility lines including power, water, telephone, and other ser-
vices;

b.) Should the LESSEE fail to comply with his/her obligations, and/or reappear and fully
settle the same within a period of 15 days from the date of lock-out/padlock/fencing,
the LESSOR shall have the discretion to sell, appropriate, and/or dispose of any or all of
the properties of the LESSEE, and the proceeds thereof, net of all expenses for the en-
deavor, such as but not limited to storage, trucking and labor, to be borne by the
LESSEE, shall be applied to the outstanding obligations of the latter. Any excess shall be
appropriated by the LESSOR as liquidated damages, without prejudice to other damages
and penalties already enumerated in this agreement and the other remedies available
under law and equity.

c.) Should the LESSEE fail to respond within 5 days to a notice for entrance or inspection
given by the LESSOR, the tenant hereby authorizes the LESSOR to enter or inspect the
premises in the LESSEE’S absence.
