Addendum to the Loan Agreement / Loan Cum Hypothecation Agreement dated __________ (“Addendum”)

The person(s) who are named in Schedule I hereto as borrowers and co-borrowers (hereinafter collectively
referred to as "Borrower")
The expression Borrower shall unless repugnant to the context, include (i) in the case of an
individual/proprietorship be deemed to mean and include his/her legal heirs, executors, administrators and legal
representatives; (ii) in the case of a partnership firm, the partner/s for the time of the firm, the survivor/s of them
and the legal heirs, executors, administrators, successors and legal representatives (iii) in the case of a
Company within the meaning of the Companies Act, 1956 or Companies Act, 2013 or limited liability partnership
incorporated under the Limited Liability Partnership Act, 2008, its successors)

In favour of

HDFC BANK LIMITED, a company incorporated under the Companies Act, 1956 and licensed as a bank under
the Banking Regulation Act, 1949, having its registered office at Bank House, Senapati Bapat Marg, Lower Parel,
Mumbai 400 013 and a branch office at the place mentioned in the Schedule I hereto (hereinafter referred to as
the “Bank”, which expression shall, unless it be repugnant to the context or meaning, be deemed to mean and
include its successors, transferees and assigns)

The Borrower and the Bank shall individually be referred to as the “Party” and jointly as “Parties”

WHEREAS

A. The Parties herein have entered into a Loan Agreement / Loan-cum-Hypothecation Agreement dated
_____________ (“Loan Agreement”)
B. Now the Parties hereto have mutually agreed to incorporate certain additional clause(s) in the Loan
Agreement.
C. In consideration of the mutual promises contained herein, the Parties hereto agree to execute this
Addendum to inter alia amend the terms of the Loan Agreement to include additional clause(s) as
hereinafter appearing.

NOW THIS ADDENDUM WITNESSETH and it is hereby agreed by and between the parties hereto as follows:-

1. This Addendum shall form an integral part of the Loan Agreement.

2. All capitalised terms used in this Addendum, unless otherwise defined or appearing contrary to the
intention of the Parties, shall have the same meaning assigned to it under the Loan Agreement.
3. Scope of Addendum
The following clause shall be inserted in the Loan Agreement:

“For the purposes of payment of stamp duty, at the request of Borrower and at his/her/its cost, the Bank
may optionally procure the requisite stamp papers through its vendors either on electronic mode (e-
stamp) or in physical mode by way of franking the requisite value of the loan amount on this Agreement
or on an extract of it ("Relevant Extract") and such determination of the Bank would be deemed to be
final and binding on the Borrower. The Borrower acknowledges that any writing on the said stamp paper
or stamped (including franked/e-stamped) Relevant Extract associating the stamp paper/stamped page
(including franked) with this Document would be as good as making the stamp paper/stamped page an
integral part of this document.”
4. This Addendum shall be read harmoniously and in conjunction with the Loan Agreement
5. Save and except as modified pursuant to this Addendum, all other terms and conditions of the Loan
Agreement shall remain unchanged and valid and subsisting and in full force and effect and shall be
binding on the parties thereto.
