We are pleased to appoint you as Front-End Developer with effect from 1st September, 2023 with
Mayra Digital Technologies LLP. on the following terms and conditions:

Role & Duties:

The duties to be undertaken by you in the position of "Junior Software Engineer" are set out in your job
description. The Company may change these duties from time to time. You will be informed of any
such changes. You must perform all duties with reasonable care and skill and exercise the powers
consistent with the position of "Junior Software Engineer" to the best of your ability with all due care
and diligence and in compliance with the direction of the management of the Company.

You must substantially use all of your time and efforts to perform these tasks during business hours and
such additional time as necessary. Work on any other projects should only be done with prior written
permission of the Company.

Remuneration:

Your Gross remuneration as Cost to Company (CTC) will be Rs. 8,000/- per month (Rupees Eight
Thousand only). for first 3 months, we will review salary after 3 months.

Place of Posting:

Your place of posting shall initially be at Nashik. However, your work may require extended visits to
the Company's establishments elsewhere in India and abroad.

Your services are transferable at the discretion of the Management, to any other section/
department/ division or any of our subsidiary/ associate companies or offices in India or abroad
either currently in existence or would come into existence. On being relocated, you will be granted
sufficient time for the purpose. However, please note that should you fail to report at the location
assigned, it shall be presumed that you have voluntarily abandoned our services.

Purpose:

The purpose of this Offer Letter is to confirm the terms of employment with Mayra Digital Technologies
LLP. based on the company policy pertaining to secrecy and confidentiality of its operations and
future plans of growth.

Your employment at Mayra Digital shall be in accordance and comply with the following terms and
conditions:

1. Probation:

You will be on probation for a period of six months, commencing from your actual date of joining
with us and will continue to be so unless you are expressly confirmed in writing in the regular
service of the company. The probation period may be curtailed or extended by the management
of the Company at its sole discretion without assigning any reasons.

During the probation period, your performance will be continuously evaluated and your
appointment will be confirmed after the successful completion of the said period of probation or
any extension thereof with an Appointment Letter. Mayra Digital reserves the right to terminate the
employee within 30 days without any compensation in case of mediocre performance.

2. Minimum Service Period:

Mayra Digital has invested and continues to invest a large sum of money in creating and main
world-class facilities to ensure the growth and development of its employees by making avail
them continuous learning/training programs, access to the latest books and periodicals that are
published globally, providing them with the latest hardware gadgets and software tools that are
available, etc. and as such expects each of its employees to work a minimum no. of 12 months
with Mayra Digital failing which, you will be liable Mayra Digital a sum of INR 50,000.00 (Rupees
Fifty Thousand Only). A non-dated cheque of the above-mentioned amount will be required to be
submitted by you on your first employment favouring Mayra Digital Technologies LLP. that will
remain in the custody of Mayra Digital and will be returned to you on your completion of the said
minimum period of service as me above.

3. Office timings:

Office timings are from 10:00am to 7:00pm. However, given the nature of our business, you may
occasionally be required to work longer hours. Your salary is inclusive of all the additional time
worked, although where extra hours have been excessive, you may be granted compensatory off
which will be at the discretion of the Management.

4. Corporate Conflict:

You shall use all reasonable endeavours to avoid any situation where your interest may conflict
with, or be inconsistent with, the interests of the Company and if such a situation arises, or may
reasonably be expected to arise you will forthwith notify the Company immediately.

5. Leave Policy:

During probation period, you will not be eligible for any leave. However, on completion of your
probation period, you will be eligible for Annual leaves.

6. Maternity & Paternity Leave:

You shall be entitled to maternity leave in accordance with the statutory minimum requirement.

7. Leave/Holidays

6.1 There will be 10 Holidays throughout the year.


6.2 You are entitled to 12 working days leaves. One leave per month.
6.3 The Company shall notify a list of declared holidays at the beginning of each year.

8. Inducements:

You shall not accept any payment or other benefit in money or in kind from any person as an
inducement or reward for any act or forbearance in connection with any matter or business
transacted by or on behalf of the company or its subsidiaries.

9. Restricted Activities:

You must not, whilst employed and for a period of 12 months after your termination and within any
area of the Company's business in which you shall have worked during the period of 12 months
prior to the date of your termination, without the prior written consent of the Company, do any of
the following:

a Induce or attempt to induce, either directly or indirectly, any Director, Manager or


employee of the Company or its related bodies corporate to terminate his or her employment
with the Group, whether or not the person would commit a breach of the person's contract of
employment;

b Approach, induce, solicit, persuade or entice any person who or which was or is a client
or customer of the Group within the last 12 months of your employment with the Group; and

c Assist any person to undertake either any of the matters referred to in (a) or (b) above.
You shall not, under any circumstances, divulge any confidential / business / campaign related
information concerning Mayra Digital, orally, in writing or through any other means of
communication, to anyone during or after the termination of your employment with Mayra
Digital.

10. Remedies:

You acknowledge that damages are in inadequate remedy to the Company for any breach of
these terms and conditions and that any event of a breach or threatened breach of these terms
and conditions, the Company may, with or without pursuing any remedy violating any of these or
conditions. The remedy set forth in these terms and conditions are not exclusive and shall be in
addition to any other remedy available to the Company at law or in equity.

11. Intellectual Property:

It is a condition of your employment that the Company shall be the owner of all copyright and all
other intellectual property rights of whatever nature in any work, computer programs and other
projects incorporating intellectual property which are created or developed by you during your
employment.

To the extent that, at law, you may have any legal or equitable interest in your work, including any
computer program, artwork, film or recording created or developed during and pursuant to your
employment with the Company, you hereby irrevocably and unconditionally assign and transfer
to the Company, all intellectual property rights including copyrights, in all such works.

The assignment will be a future assignment of all rights including copyright and includes the right
for the Company to bring and maintain claims in relation to any infringement of such rights that
may arise. You agree to execute any further document that may be necessary to perfect any
assignment of copyright.

12. Confidentiality:

It is a condition of your employment that during and after your employment you do not disclose
any person without written consent any trade secret or confidential information concerning the
financial arrangements or position of the Company or any of the dealings, transactions or affairs
of Company's business. Specifically, the confidential information of the Company includes
information concerning client lists, business and marketing plans and strategies, sales, pricing and
margin information, market research, and anything else which is marked "confidential" or which is
otherwise indicated, expressly or impliedly to be subject to and obligation or confidence.

This information will be made available to you during the course of your employment and will be
treated at all times as confidential. You should only make sufficient copies of the information to
meet your specific requirements. The copies should be marked as confidential and destroyed
after use.

Apart from the said information above, your compensation structure shall also be considered as
"Confidential Information" and the breach of the same will be subject to attract appropriate
action by the company.

13. Termination of employment:

After confirmation, your employment may be terminated by either yourself or the Company by
giving two months written notice in writing to the other. Any offset of the notice period, either
through unused annual leave days or "pay-in-lieu of notice" rests solely with the employer.

During the employment at any time, if you decide to resign from the Company, then you are
compulsorily required to attend an Exit Interview, failing which, no certificate / reference letter will
be issued.

The Company may terminate your employment immediately if you:


a. Commit any act of dishonesty, fraud, wilful disobedience, misconduct or breach of duty;

b. Materially breach the terms of this letter and do not remedy the breach within 14 days of
receipt of notice in writing from the Company specifying the breach;

c. Commit any act of bankruptcy or compound with creditors, or

d. Are of unsound mind and become liable to be dealt with under any law relating to mental
health and in the reasonable opinion of the Company, you are likely to remain incapable of
carrying out your duties for a period in excess of one month.

14. Law:

These terms of employment shall be governed by and construed in accordance with the laws of
the Republic of India

15. Severability:

If any of these terms and conditions, or any portion thereof, shall be held by any Court or other
tribunal of competent jurisdiction to be invalid, the remainder of such provisions and/or these
terms and conditions shall not be affected thereby and shall be given full effect, without regard to
the invalid provision. The parties agree that such Court or tribunal, if possible, shall limit such invalid
provision or clause in scope so that that rest of the provisions shall not be invalid and shall be
enforceable as so limited.

16. Advice:

You acknowledge that you have been given the opportunity to take independent legal advice in
respect of these terms and conditions and you acknowledge that you understand the meaning
and legal effect of the terms and conditions.

17. Further assurances:

You agree to execute all documents necessary to give effect to the terms of this agreement.

18. Jurisdiction:

Courts in Nashik shall have exclusive jurisdiction to deal with any disputes relating to and or arising
under the terms herein.

We look forward to receiving your acceptance of these terms and conditions outlined in this letter
by signing, dating and returning the enclosed copy of this document to me.

You hereby agree that you shall comply with all the terms and conditions defined in your offer
letter and all the applicable laws while performing your obligations hereunder and you shall be
solely liable for non-compliance herewith.
