 Commercial Offer

Note:-
1) Installation can start only after site readiness written confirmation received from client.
2) Once site readiness written confirmation received, Installation Team will be mobilized on site with in 5 - 6 Days.
3) For any reason installation team required to be demobilize without completing the work, In that case, extra charges
would be applicable for remobilization of the installation team.
4) If Unloading will be in Avians Scope, it will be done by Unskilled Labour/Transporter. No Technician,Supervisior,
Engineer will be available. However Avians will ensure safe Unloading of Products.
5) If Hydra will be in Avians scope it will be used for Internal shifting and Installations of Products only.
6) The above offered value is by considering the above sizes and quantity,if the sizes and quantity of the products varies
the prices will vary accordingly.
7) Avians Supplied products to be installed by Avians Team only. Client should not install the same without Avians
Consent.
8) Hydra of STD 12 Ton Capacity Will be used if it is in Avians Scope.
9) H Type Mild Steel Scaffolding Will be used if it is in Avians Scope.
10) Above P & F charges include packing of material & loading in transport vehicle only.
11) If PO released & gets cancelled for any reason, then Cancellation Charges of 10% of the Contract Value will be
applicable.
12) If Quantity & project size reduced before Production and Drawing Approval, then cancellation charges of 10% on the
reduced Contract Value will be applicable.
13) If Drawing Approved for production purpose (but production not started) and project value reduced or cancelled then
cancellation charges of 20% of the Total Contract Value will be applicable.
14) Once production started & if any cancellation done in terms of Quantity , Sizes , Product & any size modification or
changes then this cancellation will be not be accepted & full cancellation charges of 100 % on the Total Contract Value
will be applicable.

 Terms and Conditions

A. Painting Charges :-
1) Any other finish apart from standard would be charged extra as applicable.
B. Provision to Carry out Installation work :-
1) Any alterations in structural wall / Column opening or any other type of civil work(If Required) will be in Client's scope.
2) Provision of free electric point should be made available near work/Installation place.
3) During the period of installation,any shortage of material due to misplace and thieving etc. would be in clients account.
4) At the time of storage at site or warehouse for perpetuate periods, if material damaged then repairing/replacement
cost will be in client scope and due to this re-painting required will be in client scope.
C. Warranty Terms :-
1) 12 Months from the date of installation or 13 months from the date of supply which ever is earlier.
2) Warranty is against the manufacturing defects only, any kind of maintenance or AMC contract are not covered under
these warranty terms.
3) Warranty will be void if supply / installation payment is not made on time as per agreed payment terms.
4) Warranty is void against any power supply malfunction or physical damage to the equipment or any unauthorized
person intervention in product.
5) Liability restricted to rectification of equipment subject to cause of failure attributable to manufacturing defects only
return to bench (Pune factory/Warehouse).
6) Factory/warehouse Acceptance is final acceptance. Thereafter our liability is restricted to obligations arising of
warranty.
D. Annual Maintenance Term :-
1) Annual Maintenance contract (AMC) is highly recommended and mandatory, as these all are the functional products.
Periodic check and maintenance of these products will provide smooth & trouble free operation, longer life, and prevent
from breakdown and heavy maintenance.
2) AMC rates will be quoted separately on request.
3) Any type of warranty does not cover Annual Maintenance Work.

E. Payment Terms :-
For Supply :
1) 70% advance with Purchase Order
2) 30% against readiness of material, before dispatch
For Installation :
1) 50% against Team Mobilization Advance.
2) 50% against Completion of Installation at site on Pro-rata basis/ Phase wise completion.

F. Duty & Taxes :-

1) Duty & Taxes will be charged as applicable at the time of material dispatch as per Govt. Norms .
2) Supply P.O. & Installation Work order should be issued separately
3) TDS (Tax Deduction at sources) is applicable on supply if receipts are excess of 50 Lakhas in financial year - .
4) TDS is applicable only on Installation amount at 1.50% U/S 194 C
5) Tax collected at source (TCS) is applicable on Gross Receipts/ Sales ( Basic + Other Charges + GST) at the rate of
0.1 Per Cent.
6) TCS will be added in the Tax Invoice or Debit Note and Customer is liable to pay as per Income Tax Act Sec
206(1H) whenever required.

G. Jurisdiction :-
1) Subject to Pune Jurisdiction
H. Missed or delayed Payments :-
1) Interest of 24% per annum will be charged in case the payment is not made as per agreed terms.

I. Delivery Terms :-
1) Ex-works, Chikhali Pune.
2) Within 7 - 8 weeks from the date of your P.O with all technical clarification, drawing approval and advance payment.
Note -:
a. Delivery dates will be consider after completion of techno-commercial terms only.
b. The above delivery period are liable to change for imported products /parts subject to the transit and custom
clearance.
c. Customer has to mention the PAN and GST number clearly mentioning your Unit name for Billing and Shipping
Address.

J. Drawings :-
1) Detailed drawings will be submitted only after confirmation of order.
2) All product correct sizes & measurements to be provided by client. Avians will prepare the drawings, client will
approve the same. Product will be manufactured as per approve drawing sizes.
K. Delay Delivery by Customers and Stocking Charges :-
1) If the customer postpone the delivery, Avians will shift finished goods in dispatch warehouse and raise the Invoice for
next due payment as per P.O. terms.
2) And 1% stocking charges plus tax will be charged, per week on total product value.
L. Transport & Delivery :-
1) Customer must eventually inform about the damaged goods received (If Any) & should mention on delivery challans.
2) Claims about discrepancies in comparison to order confirmation must be informed to Avians innovations tech. Pvt
Limited within 8 days from the date of receipt of material with pictures /details to clearly identify the presumed
difference, there after claim will not be accepted.
M. Utility :-
1) Any special type of scaffolding/crane/hydra/Boom/scizzer lifter, etc. which is not mentioned in our specifications will
be extra.
N. Force Majeure :-
1) The company shall not be liable for any delay for whatsoever outside the reasonable control of the company
including,without limitation to the generality of the foregoing,industrial action,war storm,fire,explosion,flood,governmental
actions or regulation,act of god, riots, strikes, lock -outs or non availability of stocks or materials and any delay of this
type shall not be consider in delivery terms.

O. Validity :-
1) The above offer is valid for 30days from the date of Offer.
2) Prices are as per current Foreign exchange (Euro/Dollar) rates and can vary subject to future variation.(If applicable)
