Dear Jatin:

We are pleased to confirm our temporary employment offer for the Manufacturing Intern
- Coaldale, Alberta - May 2024 position with McCain Foods (Canada) . This letter
serves as a statement of the offer terms.

Start Date: Your start date will be May 6, 2024, or a date mutually agreed upon. You
will be reporting to Josiah Gado.

Location: You will be based out of our Coaldale location.

Base Salary: Your bi-weekly gross salary will be $2,240 (Hourly rate: $28) based on a
40 hour work week (less statutory and other Company-related deductions) payable on a
bi-weekly basis via direct deposit. Any exceptions to a regular 40 hour week shall be
reported by your direct supervisor.

Terms of Temporary Agreement: The duration of this Term Position is expected to be


for a period of four months with an anticipated completion date of August 30th 2024.
Should the work extend beyond the date specified above, the parties agree to execute a
revised employment agreement. This agreement can be ended prior to the contract
date by either party with two weeks of notice.

Employee Benefits: Group health benefits and pension plan participation are not
included in this agreement.

Vacation: You will receive 8% on each pay, via direct deposit on our standard pay
cycle. If your employment ends for any reason, you agree that the company may
reconcile any outstanding vacation time that has been taken over and above vacation
for which you have accrued vacation earnings. Likewise if your employment ends for
any reason, the company will reimburse you for any vacation earnings outstanding. This
reconciliation will be made on your final earnings.

Privacy: By submitting personal information to the Company or its affiliates, service


providers and agents, you consent to the collection, use and disclosure of such
information for the purposes of commencing, managing and administering the
employment relationship.

Code of Conduct and Other Policies and Guidelines: As a continued condition of your
employment, you must comply with all the Company’s policies and guidelines, as
amended from time to time, including the Code of Conduct.

Survival: You agree that your obligations to the Company pursuant to the Employee
Confidentiality and Intellectual Property Agreement and any non-solicitation provision of
this offer will survive the cessation of your employment with the Company for any
reason.

Invalidity and Severability: Should any provision of this offer letter be, or become, illegal
or unenforceable, that provision shall be considered separate and severable from the
offer letter and the remaining provisions will remain valid and binding as if that provision
had not been included in this offer letter.

Amendments and Waiver: This offer letter may be modified only by written agreement
duly executed by both you and the Company.

Currency and Taxes: All dollar amounts set forth or referred to in this offer letter refer to
Canadian currency. All payments under this offer letter shall be subject to withholding
of such amounts, if any, relating to tax or other payroll deductions as the Company may
reasonably determine should be held pursuant to applicable laws.

Entire Agreement: This employment offer and all terms and conditions contained herein
represent the entire agreement between you and the Company. You hereby waive any
right to assert a claim based on any pre-contractual representations, negligent or
otherwise, made by the Company.

Governing Law: The laws of the Province of Alberta will govern this Agreement.

This Offer is Subject to the Following: All McCain Foods (Canada) offers are contingent
upon successful completion of a background check prior to the scheduled start date.

Acknowledgements Regarding Restrictions: You acknowledge and agree that as an


employee of the Company, you will acquire highly proprietary and competitive
knowledge about the Company’s operations, and that the restrictions set out herein as
to your activities as an employee or former employee of the Company and as to your
dealings with employees of the Company and other third parties are reasonable and
appropriate to protect the Company’s legitimate interests. Notwithstanding the
foregoing, the restrictions herein shall not encompass your ownership of less than two
percent (2%) of the stock of a publicly traded corporation.

Previous Employment/Employment Restrictions: You acknowledge and agree that the


Company has not induced you to leave your current employment and you are not
subject to any non-compete, non-solicitation or other legal restrictions imposed by any
former employer or third party which would prevent you from lawfully fulfilling your duties
and responsibilities pursuant hereto. You further acknowledge and agree that any
service with any former employer will not be recognized by the Company for any
purpose. You agree that in carrying out your duties, you will not disclose to the
Company any confidential information of any third party and that you will not bring to the
Company or use in the performance of your duties, any confidential materials or
property of any third party.

Orientation: New hire orientation will occur during your first week of work. During
orientation, you will be provided with paperwork essential to your employment with the
Company. You will be paid by direct deposit, and you will be given information on how
to sign up for this during your orientation. Please bring a voided check with you for this
purpose. Additionally, please bring legal documents that confirm that you are
authorized to work in Canada (i.e. SIN card).

Jatin, we are pleased to have you join the McCain team, and we look forward to working
with you. If these terms and conditions of employment are acceptable to you, kindly
