Confidentiality
You will not disclose to, divulge, make public, or make any use whatsoever of, whether for your own or for any other
purpose, any information, knowledge, know-how, instruments, documents or other matters confided in, or become
known to, or obtained by you, during your employment with the Company.
Non-Competing Requirements
• From the date the a party gives notice to terminate this agreement (the “Notice Period”) for any reason, for a
period of one month from the Notice Date (the “Restricted Period) you shall not within the Territory directly or
indirectly and in any capacity, render services to or otherwise be interested in any person or entity whose business
is the same or substantially similar to or is about to be in competition with any business being carried on by the
Company or a related or associated company.
• You further agree that during the Restricted Period, you shall not directly or indirectly (1) solicit or endeavor to
solicit or entice away any client of the company or any person who was employed by the Company or a related or
associated company; or (2) deal with any clients of the Company or a related or associated company.
• For the purposes of this paragraph “the Territory” means places / Countries where Hornbill Corporate Services Pvt
Ltd / Hornbill Corporate / Hornbill Corporate Services Pty Ltd / Hornbill Corporate Services Inc company operates
or where the Company is intending to operate within 3months following the Restricted Period.
• The Company may at its sole discretion decide not to enforce your undertakings set out at paragraphs 8 (a) and (b)
above (the “Undertakings”). If the Company decides to exercise the discretion, it will notify you in writing on or
before the end of the Restricted Period.
• If the Undertakings are enforced and you do not breach any of the Undertakings, the Company will continue to
pay you your “Monthly Salary” during the Restricted Period. However. If you breach either or both the
Undertakings, the company shall be entitled to take such steps as it may deem fit to prevent you from committing/
acting in breach and/ or seek damages.
Both the parties acknowledge that the prohibition and restriction contained in this paragraph 8
1. Is reasonable as to period and subject matters; and
2. Is no more than reasonably required for the protection of the Company’s business and of any confidential
information you may have learned or possessed during the term of this agreement.
Communication
You shall communicate to the Company any change in your address as well as personal status. All communication sent
to you in the normal course on the address given by you shall be deemed to have been received by you.
Disputes
In the event of dispute regarding the terms and conditions of your appointment, you will be subject to the jurisdiction of
the appropriate courts of law at the HO of the company viz, Ahmedabad.
