CONSULTING SERVICES AGREEMENT

- This Service Contract Agreement (hereinafter referred to as the “Agreement”) is


entered into on 8th November,2023 (the “Effective Date”), by and between AI
AHAD Contracting with an address of J-1011, Pushp Valley Near Vichumbe,
Bridge, Vichumbe, New Panvel 410210. (hereinafter referred to as the
“Consultant”), and ________________, with an address of ________________
(hereinafter referred to as the “Client”) (collectively referred to as the “Parties”).

PREMISES

A. Consultant has numerous business contacts and is familiar with business


conditions, contacts and opportunities in connection with alternative energy and
environmentally conscious concerns.

B. Company is a Renewable Energy research and development company focused


on the development of low cost effective solutions to global issues concerning
water, energy and pollution that is interested in investigating additional business
opportunities.

C. Consultant desires to enter into a written agreement to serve as a consultant to


Company.

D. Company desires to secure the services of consultant and to protect its interest
by obtaining comprehensive covenants from consultant not to compete with
Company or divulge Company’s confidential information.

NOW, THEREFORE, in consideration of the mutual promises, covenants and


agreement contained herein, and for other good and valuable consideration, the
receipt and adequacy of which is expressly acknowledged hereby, Company and
Consultant agree as follows: -
1.Engagement of Consultant / Scope of work: -

Company hereby retains Consultant to serve as consultant to Company in the


following areas:
Consultant shall Design a solar system, whether it's an on-grid, off-grid, or hybrid
system, and gaining design approval (wherever applicable) which covers following
points: -

1. Initial Client Consultation:


 Begin by meeting with the client to understand their specific needs,
preferences, and requirements. Determine the client's energy
consumption patterns, budget constraints, location, and any
environmental considerations.

2. Site Assessment:
 If required Visit (on client’s Cost & Expenses) the client's location / site
to assess the site for solar system installation. Gather data on available
space, shading, orientation, and any structural considerations. This
information will be essential for system design.

3. Load Analysis:
 Analyze the client's electricity consumption over a period to determine
their energy needs accurately. This will help size the solar system
appropriately.

4. Choose System Type:


 Based on the client's requirements and site assessment, decide
whether an on-grid, off-grid, or hybrid solar system is most suitable.
Each has its advantages and disadvantages.

5. Solar System Design:


 Design the solar system, including the solar panel array, inverter,
battery storage (if applicable), and any necessary power conditioning
equipment. Ensure the design is efficient and tailored to the client's
needs.

6. Load and Backup Analysis:


 Calculate the backup requirements, if needed, and determine the best
approach to ensure continuous power supply. This may involve the
selection of an appropriate battery bank and backup generator.

7. Performance Analysis:
 Calculate the Capacity Utilization Factor (CUF) based on the
geographical location. This helps estimate the system's expected
performance over time.
8. ROI Calculation:
 Calculate the Return on Investment (ROI) for the proposed solar
system. Consider the cost of installation, maintenance, and the
projected savings on electricity bills.

9. Payback Period Schedule:


 Develop a tentative payback period schedule, showing when the client
can expect to recoup their investment based on energy savings and
any potential incentives or tax credits.

10. Design Documentation:


 Prepare detailed design documents, including engineering drawings,
electrical schematics, and equipment specifications.

11. Consultant Presentation:


 Arrange a meeting with the approving authority, if required, to present
the design. Ensure that the presentation includes all necessary
documentation, justifications, calculations, drawings, and the
underlying philosophy behind the design decisions.

12. Client Approval:


 Obtain client approval for the solar system design and the associated
financial projections. Address any questions or concerns they may
have.

13. Finalize Design:


 Make any necessary adjustments to the design based on client
feedback or input from the approving authority.

14. Installation and Commissioning:


 Once the design is approved, provide clearance for installation of the
solar system. Ensure that the installation adheres to the approved
design by random sample checks.

15. Ongoing Support:


 Offer ongoing support to the client, including assistance with any
issues, and any necessary reporting or documentation for incentives or
grid interconnection.

Consultant Shall ensure client’s technical needs and expectations are met.
Additionally, stay informed about local regulations, incentives, and environmental
considerations that may impact the solar system design and approval process.
2. Term of Agreement

This Agreement shall have a term of Thirty-six (36) months commencing on the
Effective Date of this Agreement (“Term of Agreement”).
Upon the end of the term of the Agreement, this Agreement will be automatically
renewed for a new term. It may renew on mutual consent.

3. Compensation

Based on total project value, the Consultant shall be entitled to compensation equal
to 2% of the total project value, to be disbursed as follows:
1. At the time of allocation of the project site, the Consultant shall receive an
initial payment of 45% of the total project value.
2. At the midpoint of the scope of the consultant's services, the Consultant shall
receive a payment of 45% of the total project value.
3. Upon successful completion of the Consultant's services, the remaining 10%
of the total project value shall be paid to the Consultant.
The Consultant's entitlement to these payments is contingent upon their fulfilment of
their responsibilities and obligations as outlined in this Agreement. All payments shall
be made within 15 days from the date of the invoice raised by the consultant. Any
additional taxes or fees applicable to these payments shall be the responsibility of
the Company. This compensation structure is binding and shall be the sole and
exclusive compensation for the Consultant's services under this Agreement."

4. EXPENSES
- The Consultant is entitled to a reimbursement for all the reasonable and
necessary expenses that have arisen when providing his services to the
Company.
- The Consultant is required to provide a proof and/or receipt for all the expenses
he has made. Upon submission of the invoices company will within 15 days pay
the expenses.
5. TERMINATION
This Agreement may be terminated in case the following occurs:
Immediately in case one of the Parties breaches this Agreement.
At any given time by providing a written notice to the other party three months
prior to terminating the Agreement.
6. RELATIONSHIP BETWEEN THE PARTIES
Hereby, the Parties agree that the Consultant in this Agreement is an independent
contractor where the Consultant provides the services hereunder and acts as an
independent contractor.
Under no circumstances shall the Consultant be considered an employee.
Whereas, this Agreement does not create any other partnership between the
Parties.
7. EXCLUSIVITY
The Parties agree and understand that this Agreement is not exclusive and that
the Parties are entitled to enter into other similar agreements with other parties.
8. OWNERSHIP
The Parties agree that all work created by the Consultant in terms of him/her
performing the services will remain the exclusive property of the Client, who can
use it without any restrictions.
9. CONFIDENTIALITY
All terms and conditions of this Agreement and any materials provided during the
term of the Agreement must be kept confidential by the Consultant, unless the
disclosure is required pursuant to process of law.
Disclosing or using this information for any purpose beyond the scope of this
Agreement, or beyond the exceptions set forth above, is expressly forbidden
without the prior consent of the Client.
10. DISPUTE RESOLUTION
Any dispute or difference whatsoever arising out of or in connection with this
Agreement shall be submitted to ________________
(Arbitration/mediation/negotiation) in accordance with, and subject to the laws of,
________________.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws
of ________________.
12. SEVERABILITY
In an event where any provision of this Agreement is found to be void and
unenforceable by a court of competent jurisdiction, then the remaining provisions
will remain to be enforced in accordance with the Parties’ intention.
13. ENTIRE AGREEMENT
This Agreement contains the entire agreement and understanding among the
Parties hereto with respect to the subject matter hereof, and supersedes all prior
agreements, understandings, inducements and conditions, express or implied,
oral or written, of any nature whatsoever with respect to the subject matter hereof.
The express terms hereof control and supersede any course of performance
and/or usage of the trade inconsistent with any of the terms hereof.
14. AMENDMENTS
The Parties agree that any amendments made to this Agreement must be in
writing and they must be signed by both Parties to this Agreement.
As such, any amendments made by the Parties will be applied to this Agreement.

The Parties hereby agree to the terms and conditions set forth in this Agreement
and such is demonstrated throughout by their signatures below:
