In India, The Securities Exchange Board of India (SEBI), the market Regulator
has prescribed a standardized format for 'Business Responsibility Report' as a
mandatory requirement for the Top 500 Listed Companies in India. Business
Responsibility Report (BRR) must be submitted as a part of the Annual Report.
SEBI views Business Responsibility Report as an enabling instrument for listed
Companies to integrate Environmental, Social and Governance (“ESG”)
Framework into their core business practices.

Business Responsibility Report is a disclosure of adoption of responsible


business practices by a listed company to all its stakeholders. This is important
considering the fact that these companies have accessed funds from the public,
have an element of public interest involved, and are obligated to make
exhaustive disclosures on a regular basis.

1.1 BRR mapping and Linking with GRI Sustainability Reporting


Standards

Globally accepted standards, such as the GRI Sustainability Reporting


Standards, provide a common language and credible set of disclosures for
organizations to communicate about their impacts on the economy, the
environment, and society. The GRI Standards relate to many other reporting
ESG frameworks and sustainability initiatives.

For India, The GRI guidelines have been linked to the BRR. GRI’s linkage
documents are designed to highlight these connections and enable
organizations to fulfil multiple reporting requirements. This linkage document is
designed to show companies how requirements under the SEBI BRR Framework
correspond to the GRI Standards and disclosures.

The linkage table in the below link shows the GRI Standards and disclosures that
relate to each requirement in the SEBI BRR Framework.

The information collected for these disclosures allows companies to create a


sustainability report based on the GRI Standards at the same time as complying
with the SEBI BRR Framework, without duplicating effort.

A Business Responsibility Report contains a standardized format for companies


to report the actions undertaken by them towards adoption of responsible
business practices. Business Responsibility Report has been designed to provide
basic information about the company, information related to its performance
and processes, and information on principles and core elements of the Business
Responsibility Reporting.

Vakrangee is part of the Top 500 Listed Companies in India and does a detailed
Business Responsibility Report and discloses then same in its Annual report.

We have also mapped our sustainability initiatives with the United Nation’s
Sustainable Development Goals. The goals are a blueprint to achieve a better
tomorrow. Our aim is to efficiently adopt these goals and address the global
challenges, which includes poverty, inequality, climate, environmental
degradation, prosperity, and peace and justice.

The Company had engaged Grant Thornton India’s Centre of Excellence for Sustainable
Development (CoE-SD) to study the ESG Factors such as economic, social, cultural and
environmental impact it has created through its business operations on various
stakeholders like beneficiaries, Kendra owners, employees, business partners and
shareholders. Vakrangee Limited strives to connect India’s rural citizens with the
country’s modern ecosystem. The Report is based on Business Impacts in the States
of Uttar Pradesh and Maharashtra. (2 States)

The GT Impact Assessment study observes and studies all business units in the
Kendras and assesses the Economic, Social, Cultural and Environmental impact at
varying levels. Its Vakrangee Kendra or digital retail outlet facilitates access to
modern necessities including banking and financial services, ATM, insurance, e-
governance, e-commerce, and logistics services for the unserved and underserved
rural market.

The Company has also engaged one of big 5 auditors i.e. Grant Thornton (GT) for
verification & quality analysis of its Outlets.

Vakrangee has appointed M/s. Grant Thronton India LLP as consultant to execute
Outlet Quality Analysis of Nextgen Vakrangee Kendras to ensure standardization
referring to the look and feel of the outlet, availability of the Sustainability related
services and validating customer and franchisee satisfaction index.

The engagement with Grant Thornton is to conduct an independent physical survey


of the current and upcoming Nextgen Vakrangee Kendras in the country.

Furthermore, Company has engaged Grant Thornton to do a review and do an
Assurance services for our Integrated Annual report for the current Financial year
FY2019-20.

The Company is in process to release the Integrated Annual report for the current
financial year FY2019-20. The integrated report would provide an holistic and
integrated representation of the organization’s performance
in terms of its finance and its sustainability. The integrated report would mention in
detail about how an organization's strategy, governance, performance and prospects
lead to the creation of value over the short, medium and long term

Vakrangee Limited strongly believes that sustainable community development is
essential for harmony between the community and the industry. We endeavor to
make a positive contribution to the underprivileged communities by supporting a
wide range of socio-economic, educational and health initiatives. Also, we are
committed to integrate our business values and operations to meet the expectations
of all our stakeholders.

In this regard, we have made this policy which encompasses our philosophy for
delineating our responsibility as a corporate citizen and lays down the guidelines and
mechanism for undertaking socially useful programs for welfare & sustainable
development of the community at large and is titled as the “CSR Policy” which is
based as per our (Corporate Social Responsibility Policy) Rules, 2014 initiated by the
Central Government under the relevant provisions of Section 135 of the Companies
Act, 2013 and Schedule VII of the said Act.

Vakrangee has spent INR 92,50,000 during the Financial Year 2018-19. The details of
the expenditure can be seen in the Annual Report page 82. The same has been
verified by the Statutory Auditors of the Company and are part of financial
statements of the Company. Please refer Page 167 which clearly states the amount
spent in CSR in Note 36 – Other Expenses which has been audited by the Statutory
Auditors. Note 40 also of the financials on Page 169 form part of financial statements
audited by the Statutory Auditors.

All the contributions and expenditures related to CSR are Audited and externally
verifiable. Even the receiving institutions and entities have their independent third
party Audits and these reports can be made available on request.
