SUBJECT: Recruitment of other offices for Homeowners’ Association Officers

WHEREAS, in the meeting between the Board of Directors and Officers held last February
26, 2024, there has been a discussion with regards to adding additional members of a new
set of offices in addition to our offices. A quorum was established in adding the additional
members of the offices effective immediately.

WHEREAS, in Article X, Section 2, of El Paseo HOA, Inc. (EPHAI) by-laws, stipulates that the
by-laws or any portion or provision hereof may be amended, repealed or otherwise
changed, upon the initiation of the Board in any manner not contrary to law, the Articles of
Incorporation, contracts and agreements, at a duly called and held regular meeting or
special meeting by a majority vote of the members, provided, however, that notice of such
meeting whether regular or special, shall contain a fair statement of the proposed
amendments.

The decision was made to include new offices in addition to our pre-existing ones. This
includes, Association Communications Officers and Assistant Secretary.

WHEREAS, in Article VI, Section 1, of El Paseo HOA, Inc. (EPHAI) by-laws, stipulates that the
officers of the association shall be President, Vice President, Secretary, Treasurer, Auditor,
Public Information Officer, and such other offices as may from time to time be determined
by the Board. Long-term lessees and tenants are not qualified to be elected or appointed as
President, Vice President, and Treasurer of the association.

WHEREAS, it has been decided that the new offices will include Association
Communications Officers and Assistant Secretary. The majority of the Board of Directors
and Officers have come to a conclusion that there will be an additional three (3) members of
Association Communications Officers and one (1) Assistant Secretary.

WHEREAS, in Article VI, of El Paseo HOA, Inc. (EPHAI) by-laws, new Sections will be added
and amended for the opening of the new appointed offices. This will herein indicate the
election procedures, duties and responsibilities of the new offices. The following sections
are as follow:

Section 10. Assistant Secretary. The Assistant Secretary shall be appointed by the
Board of Directors or Trustees, and he/she may not be a Director or Trustees of the
association. He/She shall be vested with powers and authorities of, and required to perform
all of the duties of the Secretary during the absence or incapacity of the latter for any cause,
and he/she shall also perform such other duties as the Board of Directors or Trustees may
from time to time assign to him/her. He/She shall hold office at the pleasure of the Board.

Section 11. Association Communications Officers. The Association Communications
Officer/(s) shall be appointed by the Board of Directors or Trustees, and he/she may not be
a Director or Trustees of the association. He/She shall hold office at the pleasure of the
Board, and shall perform the following task:

A. Must have the ability to communicate effectively with the members of the
association and deliver the information accurately.
B. Responsible for creating communications content on behalf of the association.
They work with management to create and plan public relations strategies and
campaigns to enhance communication with all the members of the association.
C. They take the lead in sending forth announcements, memorandums, notices
and summons to all/any members of the association.
D. Performs all duties incident to the office of the Association Communication
Officers and such other duties as may from time to time be assigned by the
Board.

NOW, THEREFORE, in consideration of the foregoing and in the spirit of community-

building, cooperation, and equity and fairness in enjoying the rights and privileges of
bonafide members of the Association, the Board of Directors resolves, as it does hereby
resolve, to adopt the herein provisions particularly prescribed herein;

BE IT RESOLVED FURTHER THAT THIS RESOLUTION shall constitute sufficient authority for
the enforcement of creating additional new offices such as additional three (3) Association
Communications Officers and one (1) Assistant Secretary to our existing offices.

This resolution takes effect upon its approval.
