PRIVATE MEMBER &

CONFIDENTIALITY/NON-CIRCUMVENTION/NON-DISCLOSURE
AGREEMENT
For Private Member Assisted-Help Services

THIS PRIVATE AGREEMENT, entered as of this day ___________________________ by and

between the HELPMATE ASSOCIATION and the PRINCIPAL(s) of HELPMATE ASSOCIATION
hereafter referred to as “PRINCIPAL” and,

_______________________ as a private member, with the HELPMATE ASSOCIATION, who,

hereinafter referred to as “PRIVATE MEMBER”.

THE PRIVATE MEMBER herein agrees to respect the integrity and tangible value of this AGREEMENT
between them.

THE PRIVATE MEMBER accepts that this AGREEMENT is for five (5) years from date of execution, and
applies to any and all transactions between the PRINCIPAL and PRIVATE MEMBER during this period,
including subsequent follow-up; repeat; extensions, re-negotiations, and new transactions; regardless
of success.

THE PRIVATE MEMBER agrees to keep confidential, if given or obtained in any way, the names of the
Contacts introduced or revealed, hereinafter referred to as “PRIVATE ASSOCIATE(S)”, to other CLIENTS
and PRIVATE MEMBERS, and that their firm, company, associates, corporations, joint ventures,
partnerships, divisions, subsidiaries, employees, agents, heirs, assigns, designees, or consultants will
NOT contract, deal with, negotiate or participate in ANY transactions with any of the Contacts without
first entering a written agreement with the PRINCIPAL who provided such Contact. Such confidentiality
will include any names, addresses, telephone, telex, facsimile numbers, and or other pertinent
information disclosed or revealed to or by the PRIVATE MEMBER.

The PRIVATE MEMBER agrees NOT to disclose, reveal, or make use of ANY information during
discussion or observation regarding methods, concepts, ideas, product/services, or proposed new
products or services, nor do business with any of the revealed contacts without the written consent of
the PRINCIPAL(s).

The PRIVATE MEMBER agrees that all confidential sources and confidential information of PRINCIPAL
and PRIVATE ASSOCIATE(S), that are referred by PRINCIPAL, are confi denti al and shall remain
confi denti al.

The PRIVATE MEMBER agrees that the use of the information imparted by PRINCIPALS must remain
confidential with PRINCIPAL. However, this shall not include any information that has already appeared
in the public domain or is subsequently placed in the public domain; is already known by the PRIVATE

MEMBER prior to this AGREEMENT; or is independently developed or gleaned in such a manner as to
NOT conflict with the terms set herein.

The PRIVATE MEMBER agrees not to affiliate with any political faction, cabal, splinter group, or clandestine
organization, which may inflict segregation, dissension, disunity, rebellion or sedition; and injury, directly or
indirectly, to the PRINCIPAL(s); or which would deprive the PRINCIPAL(s) of anything but favorable report,
status, standing, reputation, and honorable station among contacts, affiliates, PRIVATE ASSOCIATE(S), and
extended networks.

The PRIVATE MEMBER acknowledge that this AGREEMENT contains the entire and complete
understanding of the PRIVATE MEMBER as of the date of its inception regarding the subject matter
contained herein. This AGREEMENT may be modified only by the written agreement duly executed by
all PARTIES herein.

The PRIVATE MEMBER agrees that any part of this AGREEMENT found to be unlawful shall be
considered to be null and void as if it had never appeared in the AGREEMENT, and it shall not affect the
validity of any other item in this AGREEMENT.

The PRIVATE MEMBER agrees that upon execution of this AGREEMENT by signature below, that any
individual, firm, company, associates, corporations, joint ventures, partnerships, divisions, subsidiaries,
employees, agents, heirs, assigns, designees or consultants of which this signee is an agent, officer, heir,
successor, assign or designee, is bound by the terms of this AGREEMENT.

The PRIVATE MEMBER agrees that if any of the terms of this agreement are violated, the
PRIVATE MEMBER and benefits afforded PRIVATE MEMBER may be terminated.

IN WITNESS WHEREOF the PRIVATE MEMBER has affixed his/her signature to this
AGREEMENT, and hereby conveys, offers, and warrants that he/she has the power and authority to
enter this agreement and therefore acknowledges that a signed facsimile copy of this AGREEMENT,
shall constitute a lawful and binding instrument.

I, the PRIVATE MEMBER, acknowledge and agree that once my signature is affixed to this
document, I become a PRIVATE MEMBER of the PRINCIPAL and a CLIENT of the PRIVATE
ASSOCIATE.

This is a private agreement by and between HELPMATE ASSOCIATION and

AGREEMENT

The PRIVATE MEMBER agrees to complete any filings, and/or mailings AS INSTRUCTED, for a
better performance and success rate. The COMMUNITY and the PRIVATE ASSOCIATE(S) will
serve each member/client with the upmost and best performance to render and reach the desired
results for each PRIVATE MEMBER. All PRIVATE MEMBERS shall be given open communication
and shall have patience in any assisted-help service(s) obtained through PRIVATE ASSOCIATE(S)
and/or the COMMUNITY, as every situation is not an immediate resolution. Each PRIVATE
MEMBER shall know before making his/her donation, the average expected time frame for
resolution in his/her situation (this applies to assisted-help services only);
*The average success rate of the assisted-help services for most complex unique situations that are tended to,
is above 80 percent. For a more simple situation(s) the average rate of assisted-help success is 90-95 percent.
The rates in each category (simple or complex) are typically higher, but due to the non-performance or the
ignoring or neglect of instructions from PRIVATE ASSOCIATE clients, this is 99% of the time the reason why
the success rate average is 80% for complex situations and 90-95% for simple situations. We ask that all
members/clients be proactive in completing any task(s) required of them by Private Associate(s).

**DISCLAIMER: By signing this agreement, you agree that you are at least the legal age of 18. All private client(s) shall give all
necessary information as requested for a higher success rate and shall disclose any and all information pertaining to his/her
unique situation and not leave any details out as this can cause a delay, additional contributions, and/or a lower success rate.
Furthermore, the COMMUNITY and the PRIVATE ASSOCIATE(S) holds no guarantee due to any delays from client(s), or
misrepresented information. The COMMUNITY and its PRIVATE ASSOCIATE(S) shall be released of all liability and shall not be
held responsible for any undesirable outcome from the assisted-help services. Laws are ever changing, and we hold no
guarantee. Helpmate Association and its Private Associates shall assist the private client through lawful means. Helpmate
Association is not and will not be a part of nor a party to any illegal activity or action(s) performed by the private client before,
during or after assisted-help services are provided. By signing this private client assisted-help agreement, you comprehend that
Helpmate Association is not providing you or any or your affiliated contacts involved in your situation that is being provided
assistance with, with any legal advice and we do not present ourselves as attorneys and do not offer any legal advice. If you need
any legal advice please seek yourself a competent attorney and please be advised.
