TALENT REFERRAL AND ENGAGEMENT AGREEMENT

This Referral Agreement is made and entered into on this [DAY] day of
[MONTH] [YEAR] (“Effective Date”) by and between:

MaxLevel Entertainment a company duly organized and existing under the

laws of the Philippines with principal office address at 0198 Servando Santos
St., Sta. Barbara, Baliwag, Bulacan, Philippines herein referred to as
“Company”

and

[TALENT NAME] with official residence at (specify address) herein referred

to as “Talent”

1. SCOPE and PURPOSE

The purpose of this Referral Agreement is to set forth the terms and
conditions, scope of work and responsibilities of each party associated
with the RGS – Rules of Survival Global Series Sponsorship Program

That MaxLevel Entertainment herein represented by VINCENT ANGELO

DULAYwith designation of Proprietor/Owner as “Agency”

And That, [TALENT NAME] herein referred to as “Talent”

Furthermore, MaxLevel Entertainment is an authorized “Company” acting

as an “AGENCY” for various agencies in the Streaming/Gaming industry.

2. TERMS AND CONDITIONS

1. Talent agrees to perform the duties request by the RGS – Rules of

Survival Global Series Sponsorship Program.

Payment Structure as issued by RGS: Appendix A

2. Talent agrees to pay to the AGENCY a sum equal to 30% of the

gross compensation from the revenue provided herein by RGS –
Rules of Survival Global Series Sponsorship Program.

3. Talent shall maintain confidentiality of the contents herein

contained in this agreement and all information provided within
MaxLevel Entertainment Facebook Groups, Group Chats, and
Documents.
 4. Talent hereby commits to perform the duties required by RGS to
stream a minimum of 60hrs per month under this program. Failure
to do so without a valid and verifiable excuse or force majeure
shall hold the talent liable to liquidated damages amounting to
fifty thousand pesos (Php 50,000.00) as compensation for
damages to the image and reputation of MaxLevel Entertainment.

5. In any event that the Talent fails to meet the requirements of RGS
– Rules of Survival Global Series to qualify for payout;

or RGS – Rules of Survival Global Series fails to remit to

MaxLevel Entertainment the amount expected for monthly
payout;

Talent hereby frees MaxLevel Entertainment from any legal

liability as the person who made the Referral. Furthermore, Talent
hereby frees the Agency from any other legal implication that may
arise from this Agreement.

3. ENGAGEMENT and NON-COMPETE

During the engagement of TALENT to RGS – Rules of Survival Global

Series and other Clients of Maxlevel Entertainment;

Talent hereby agrees to be exclusive with MaxLevel Entertainment as

his/her sole Talent Scout/Agency for a period of 12 months from the date
this agreement is signed by both parties.

Furthermore, Talent agrees not to engage directly with any of MaxLevel

Entertainment’s clients for a period of 1 year from the date this agreement
is signed.

Any violation of exclusivity or non-compete shall be considered breach

and TALENT shall indemnify MaxLevel Entertainment a penalty
amounting to one hundred thousand pesos (Php. 100,000.00) as by way of
liquidated damages or a higher amount that may be proven by the
AGENCY at the latter’s option.

4. EFFECTIVE DATE AND SIGNATURE.

This Referral and Engagement Agreement shall be effective upon the date
of the last party to sign below. The parties indicate agreement with this
Referral Agreement by their signatures below.

the acknowledgement clause is written and signed by the parties and their
instrumental witness on each and every page hereof, sealed with my notarial
seal, pertains to the foregoing Consultancy Agreement.
