BOARD RESOLUTION

At a meeting of the Board of Directors of HYDROSTATIC

MAINTENANCE LTD held at the Corporate Headquarters : No 9
Ibikunle Akintoye Street Apapa, Lagos on April 24th 2004 at
10.00am , the following resolution were unanimously passed :

(1)That Mr David Ogudu should assume the office of the

Managing Director and Chief Executive Officer (MD/CEO) of
HYDROSTATIC MAINTENANCE LTD

(2)That Mr David Ogudu (MD/CEO) should see to the day to

day running of the Company and also represent the Company in
both local and international transactions.

(3)That Mr David Ogudu (MD/CEO) may at his discretion

appoint other Executive Officers of the Company and also delegate
other officers of the company to carry out other assignment of the
company as he may deem fit

(4)That all correspondences relating to the company should be

directed to the MD/CEO.

(5)That all the company’s directors were duly present during the
meeting.
