Partnership Agreement
THIS PARTNERSHIP AGREEMENT is made this day of , 2023, by and between
t h e b e l o w individual and ProFarms:

1. Type of Agreement. The individual shall choose the investment type preferred. If an individual is
sponsoring more than one slot, he/she may choose different investment type for each slot (please tick
preferred chose below):
Short term: this takes a 6month duration
Medium term: this takes a 36month duration
Short Term Benefits: after the period, each partner gets his/her capital and all partners get 80% of the
Profit, shared according to the proportion of capital invested. Each partner is
however, entitled to 50% refund should the production fail
Medium Term Benefit: after the first 6 months, each partner shall be paid the capital invested and 5%
profit on all subsequent productions till the end of the third year. Partners under this
term are however, not entitled to any refund should the production fail.

2. Day-To-Day Operation. ProFarms shall be fully in charge of the operations of the production under this
partnership. Partners are however entitled to farm visits, make inputs and suggestions aimed at achieving
the best possible results. No partner shall receive a salary for services rendered to the partnership. Each
partner shall have equal rights to manage and control the partnership and its business. Should there be
differences between the partners concerning ordinary business matters, a decision shall be made by
unanimous vote.

3. Capital Contribution. The capital contribution of each partner to the partnership shall consist of the
following property or cash which each partner agrees to contribute:

4. Profits and Losses. The profits and losses of the partnership shall be divided by the partners according to
a mutually agreeable schedule and at the end of each production period according to the proportions listed
above.

IN WITNESS WHEREOF, the partners have duly executed this Agreement on the day and year set forth
