SOFTWARE DEVELOPMENT AGREEMENT

This Software Development Agreement ("Agreement") is entered into as of [Date],

("Effective Date"), by and between Beam Innovate Private Limited, having its principal place
of business at Flat No. 204, Sai Shraddha CHS Ltd, Plot No. 66, Sector 4A, KOPAR KHAIRANE
Mumbai City MH 400709 ("Developer"), and Frames Production Private Limited, having its
principal place of business at Unit No. 606, 6th Floor, Morya Land Mark II Oshiwara, Andheri
(West) Mumbai Mumbai City MH 400053 IN ("Customer").
1. Scope of Work
Beam Innovate Private Limited shall develop a centralized database system, referred to as
the "Contestant Management System," for Frames Production Private Limited. The system
will enable Frames Production to manage, read, write, update, and delete shows, stages,
and contestants participating in reality shows.
2. System Features
The Contestant Management System shall include, but is not limited to:
a. Centralized database hosted on AWS.
b. Show and stage management functionalities.
c. Role-based login.
d. Dashboard for quick decision-making.
e. Universal search across different tables.
f. Backend development in Python, using API-based architecture.
g. Frontend development in Angular, hosted on AWS.
3. Delivery Schedule and Acceptance
a. Delivery Schedule:
• Within 15 to 20 working days from the Effective Date, Beam Innovate Private
Limited shall deliver a Minimum Viable Product (MVP) of the Contestant
Management System.
b. Trial Period and Feedback:
• Frames Production Private Limited will have 15 days to trial the MVP.
• Feedback on the MVP shall be provided within the 15-day trial period.
c. Feedback Iterations:
• Feedback received will be addressed in no more than two iterations, with each
iteration taking no more than 15 days.
• Any additional changes requested after the second iteration will be considered
separately and may impact the project timeline and cost.
d. Payment Terms:
• Frames Production Private Limited agrees to make a 50% advance payment of the
total estimated cost upon signing this Agreement.
• The remaining 50% shall be paid upon completion of the development and
delivery of the MVP.
• Failure to make the advance payment may result in a delay in the
commencement of the project.
4. Cost Estimate
Attached as an appendix to this Agreement is an estimate outlining the costs associated with
the development of the Contestant Management System.
5. Name of the System
The developed system shall be named "ContestPro."
6. Confidentiality
Both parties agree to maintain the confidentiality of all information exchanged during the
development process and not to disclose such information to third parties without prior
written consent.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the
jurisdiction of Mumbai, India.
8. Support and Maintenance:
a. Beam Innovate Private Limited shall provide support and maintenance services for
the Contestant Management System for a period of [insert duration] following the
acceptance of the final product.
b. The terms and conditions for support and maintenance, including response times,
issue resolution, and any associated costs, shall be detailed in a separate support
agreement.
9. Intellectual Property:
a. All intellectual property rights, including but not limited to copyrights and patents,
related to the Contestant Management System developed by Beam Innovate Private Limited
shall belong to Frames Production Private Limited upon full payment.
10. Data Security:
a. Beam Innovate Private Limited shall implement appropriate security measures to
protect the data stored in the Contestant Management System.
b. Both parties agree to comply with relevant data protection laws and regulations.
11. Termination:
a. Either party may terminate this Agreement in the event of a material breach by
the other party, subject to a [insert notice period] written notice.
b. Upon termination, all outstanding payments and deliverables shall be settled in
accordance with the terms of this Agreement.
12. Indemnification:
a. Beam Innovate Private Limited agrees to indemnify and hold Frames Production
Private Limited harmless from any third-party claims arising out of the Contestant
Management System, including but not limited to intellectual property infringement.
13. Insurance:
a. Beam Innovate Private Limited shall maintain appropriate professional liability
insurance coverage throughout the duration of this Agreement.
14. Change Control:
a. Any changes to the scope, features, or functionalities of the Contestant
Management System must be agreed upon in writing by both parties before
implementation.
b. Changes may impact the cost, timeline, and other project parameters.
15. Dispute Resolution:
a. Any disputes arising out of or in connection with this Agreement shall be resolved
through good faith negotiations. If not resolved, the dispute shall be submitted to arbitration
in accordance with the laws of Mumbai, India.
16. Confidentiality of Agreement:
a. The terms and conditions of this Agreement shall be considered confidential, and
both parties agree not to disclose them to third parties without prior written consent.
