NON-DISCLOSURE AGREEMENT

THIS AGREEMENT was made and entered into this ______ day of ___________ by
and between _______________________, located at ________________________ and with an
address at _________________________.

The RECEIVING PARTY hereto desires to participate in discussions regarding

___________________. During these discussions, the Disclosing Party may share certain
proprietary information with the Receiving Party. Therefore, in consideration of the mutual
promises and covenants contained in this Agreement, and other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. Purpose
The Receiving Party understands that the Disclosing Party has disclosed or
may disclose information relating to SecureTech’s cybersecurity initiatives, which to the extent
previously, presently, or subsequently disclosed to the Receiving Party is hereinafter referred to
as “Confidential Information”.

2. Confidential Information
Confidential Information includes, but is not limited to, data, materials,
products, technology, computer programs, specifications, manuals, business plans, software,
marketing plans, financial information, and other information disclosed or submitted, orally, in
writing, or by any other media, to Receiving Party.

3. Obligations of Receiving Party

The Receiving Party agrees to hold the Confidential Information in strict
confidence and to take all reasonable precautions to protect such Confidential Information
(including, without limitation, all precautions the Receiving Party employs with respect to its
most confidential materials).
 4. Term
The confidentiality obligations of this Agreement shall remain in effect for
a period of 5 years after the disclosure of the Confidential Information or until such time as the
Confidential Information disclosed under this Agreement becomes publicly known and made
generally available through no action or inaction of the Receiving Party.

5. Governing Law
This Agreement shall be governed by and construed in accordance with
the laws of the Republic of the Philippines, without regard to its conflict of law principles.
