SUBCONTRACT AGREEMENT

This Subcontract Agreement (the "Agreement") is made and entered into on this [Date] (the "Effective Date")
between Roofliners_Studio of Architecture (RSA), located at 3rd Floor, 1/13 Block : A, Iqbal road,
Mohammadpur, Dhaka-1207, Bangladesh (the "Main Contractor"), and [Subcontractor Name], located at
[Subcontractor Address] (the "Subcontractor"). The Main Contractor and the Subcontractor are collectively
referred to as the "Parties."

SCOPE OF WORK

1.1 The Subcontractor agrees to perform the following work (the "Work") as outlined in the attached Exhibit A
(the "Scope of Work"), which forms an integral part of this Agreement.

TERM OF AGREEMENT

2.1 This Agreement shall commence on the Effective Date and shall continue until the completion of the Work,
unless terminated earlier in accordance with the provisions of this Agreement.

PAYMENT

3.1 In consideration of the satisfactory completion of the Work, the Main Contractor agrees to pay the
Subcontractor the amount specified in Exhibit A in accordance with the agreed-upon schedule outlined in
Exhibit A.

3.2 The Subcontractor shall submit invoices to the Main Contractor for the completed Work, and payment shall
be made within [45 days] days from the date of receipt of such invoice.

INDEPENDENT CONTRACTOR STATUS

4.1 The Subcontractor acknowledges and agrees that they are an independent contractor and not an
employee, partner, or agent of the Main Contractor. As such, the Subcontractor shall be solely responsible for
all taxes, insurance, licenses, and other obligations arising from their independent contractor status.

WARRANTIES

5.1 The Subcontractor represents and warrants that they have the necessary skills, qualifications, and
expertise to perform the Work in a professional and workmanlike manner.

5.2 The Subcontractor further warrants that the Work performed under this Agreement shall be free from
defects in material, workmanship, and design, and shall comply with all applicable laws, regulations, codes,
and industry standards.

5.3 If any defects are found during defects liability period (6 months) then Subcontractor shall have to attend
the defects immediately. If such defects are not attended by the Subcontractor, then RSA will carry out such
work at risk and cost of the Subcontractor +20 % of this cost. The said cost shall be adjusted against the due
payment of Subcontractor lying with RSA.

INDEMNIFICATION

6.1 The Subcontractor agrees to indemnify, defend, and hold harmless the Main Contractor from any claims,
damages, liabilities, costs, or expenses arising out of or related to the Subcontractor's performance of the
Work, including but not limited to personal injury, property damage, or infringement of intellectual property
rights.
CONFIDENTIALITY

7.1 The Subcontractor shall treat all information received from the Main Contractor as confidential and shall
not disclose or use such information for any purpose other than the performance of the Work under this
Agreement, unless otherwise agreed upon in writing.

TERMINATION

8.1 Either Party may terminate this Agreement in the event of a material breach by the other Party, provided
that written notice of such breach is given and the breaching Party fails to remedy the breach within five [5
days] days.

8.2 Either Party may terminate this Agreement for convenience upon providing seven [7 days] days' written
notice to the other Party.

ENTIRE AGREEMENT

9.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter
hereof and supersedes all prior agreements, understandings, or representations, whether oral or written.

GOVERNING LAW

10.1 This Agreement shall be governed by and construed in accordance with the laws of People’s Republic of
Bangladesh without regard to its conflict of laws principles.

By signing below, the Parties hereby agree to be bound by the terms and conditions of this Subcontractor
Contract Agreement.
