Founders Live
2023
This volunteer agreement (the “Agreement”) is entered into on Semarang, between Tri
Wahyudi and Founders Live Media Inc., a Washington
corporation (the “Organization”).
This Agreement is a description of the arrangement between the Organization and the City Leader
in relation to your work promoting the Organization and its events in your city. The Organization
appreciates your contributions to our mission, and we are committed to ensuring that your
experience is positive and rewarding.
1. Opportunity
The City Leader’s role will be to organize, coordinate, and execute the Organization’s
frequent Founders Live events in the City Leader’s city, virtually or in person when
appropriate. The City Leader’s contributions are intended to inspire entrepreneurial activity
and grow the Organization’s mission and brand.
The City Leader has discretion of how to spend the funds allocated to the City
Leader’s Founder Live Debit Card, including using the funds for the City Leader’s
own personal expenses. If an event is not producing the revenue to sustain itself,
Founder Live will complete a review of the event and its leadership, and will make
changes as it sees fit.
3. Termination
Either party may terminate this Agreement by providing the other party written notice at
least 15 days prior to the next Founders Live event in the City Leader’s city. Upon
termination, both parties’ obligations under this Agreement will terminate, and the City
Leader will have no right to Revenue Share for any event that occurs after this Agreement is
terminated, and will not bear any costs related to this agreement.
4.3. Problems
The Organization will resolve, in a fair and just manner, any problems, grievances, or
difficulties that the City Leader may encounter while volunteering. In the event of a
problem, the Organization will offer an opportunity to discuss the issue in
accordance with the procedures detailed in the Founders Live Playbook.
4.4. Insurance
It is the responsibility of the Organization to maintain sufficient insurance for the
Organization and it’s events.
5.1. If the City Leader participates in the opportunity described in Section 1, the City
Leader will not be an employee of the Organization, the City Leader will not be
entitled to any compensation for any services provided to the Organization beyond
the Revenue Share detailed in Section 2, and the City Leader will not be entitled to
5.2. The City Leader agrees to follow the supervision and direction of any of the
Organization’s personnel, employees, or supervising other volunteers, and to
participate in any training required by the Organization in order to perform the
voluntary services.
5.3. The City Leader agrees to help the Organization fulfill its mission to inspire, educate,
and entertain entrepreneurs around the world, and will perform the services to the
best of their ability in pursuit of this mission.
5.4. The City Leader agrees to adhere to the Organization’s rules, procedures, and
standards, including health and safety procedures and its equal opportunities policy
in relation to its staff, volunteers, and clients.
5.5. The Organization agrees to share confidential and proprietary information with the
City Leader, The Organization grants the City Leader full legal rights to use the
Organization's logo and Branding in any promotions associated with the Founders
Live event activity, and the City Leader agrees to maintain the confidentiality of the
Organization’s confidential information. The City Leader agrees to execute the
confidentiality agreement (the “Confidentiality Agreement”), attached to this
Agreement as Exhibit A.
5.6. The City Leader agrees to provide references and authorizes the Organization to
contact those references. The City Leader agrees to undergo a background check, if
required by the Organization.
6.1. Goals
6.1.1. To establish, launch, and grow a vibrant Founders Live community in the
City Leader city and on Founders Live online, as well as through the City
Channel on Founders Live;
6.1.2. To sustain a recurring and self-sufficient 99-second pitch event (held at least
once per quarter) for founders, including seeking support from local
sponsors; and
6.1.3. To increase the City Leader’s leadership, influence, and exposure in his or her
city and the broader founder community.
6.2.1. The City Leader will become associated with the start-up and entrepreneurial
activity in his or her city;
6.2.2. The City Leader will be provided an opportunity to increase and expand his
or her personal brand in the start-up and entrepreneurial community in his or
her city;
6.2.3. The City Leader will be provided an opportunity to closely connect with
other founders, growing start-ups, and large companies;
6.2.4. The City Leader will have an opportunity to refine his or her public speaking
and presentation skills;
6.2.5. The City Leader will be positively associated with the Founders Live brand
and have the opportunity to grow his or her brand across the Founders Live
online community; and
6.2.6. The City Leader will have the opportunity to grow his or her leadership and
management skills through trainings and education provided by the
Organization.
6.3.1. The City Leader commits to holding at least one (1) Founders Live event per
quarter (one event every 3 months duration)
6.3.2. The City Leader should be willing to invest 10-20 hours each month to
organizing and executing Founders Live events;
6.3.3. The City Leader should share the Organization’s beliefs in creating value in
the greater entrepreneurial community, and its goal of inspiring, educating,
and entertaining entrepreneurs;
6.3.4. The City Leader must be comfortable speaking in front of and holding the
attention of a crowd;
6.3.5. The City Leader should not be looking for or expecting a “job” out of this
volunteer opportunity, but instead a fun, valuable, and engaging opportunity;
and
6.3.6. The City Leader should appreciate the idea that creating social capital can be
greater than any monetary compensation.
2. Force Majeure
Any delay in the performance of any duties or obligations of either party (except payment of
money due) will not be considered a breach of these terms if the delay is due to fire, flood,
weather, act of God, governmental action, transportation delays, supplier or carrier
problems, airport or port closures, labor disturbances, riots, terrorism, sabotage, or any other
cause beyond the party’s reasonable control, as long as the party uses reasonable efforts to
resume performance as soon as reasonably practicable following the event. We will defend
you from any third-party claims resulting from such event(s), so long as the event(s) were
clearly outside of your control and your acts or omissions did not lead to such claim or
damage.
3. Modifications
No modification of this Agreement or additional obligation assumed by either party in
connection with this Agreement is binding unless it is in writing and signed by each party or
an authorized representative of each party.
4. Notices
All notices, requests, consents and other communications required or permitted under this
Agreement must be in writing and must be sent by slack messages, e-mail, registered or
certified mail, postage prepaid, to each party at their respective addresses detailed on the
signature page of this Agreement. Either party may change its mailing or e-mail address by
written notice to the other.
5. Assignment
Your rights under this Agreement may not be assigned or transferred in whole or in part, by
operation of law or otherwise, without Our express written consent, which will not be
unreasonably withheld.
6. No Waiver
The failure by either party to enforce at any time any of the provisions of this Agreement, or
to exercise any election or option provided in this Agreement, will in no way be construed as
a waiver of any provisions or options, nor in any way to affect the validity of this Agreement
or any part, or the right of either party to enforce each and every such provision.
8. Arbitration
9. Severability
This Agreement will be enforced to the fullest extent permitted by applicable law. If for any
reason any provision of this Agreement is held to be invalid or unenforceable to any extent,
then (A) the provision will be interpreted or reformed to the extent reasonably required to
render the provision valid, enforceable, and consistent with the original intent underlying the
provision; (B) the provision will remain in effect to the extent that it is not invalid or
unenforceable; and (C) the invalidity or unenforceability of the provision will not affect any
other portion of this Agreement.
12. Counterparts
This Agreement may be executed in any number of counterparts, each of which is
enforceable against the parties actually executing such parts, and all of which together
constitute one instrument.

This agreement applies to all volunteers associated with any Founders Live event of Founders Live
Media, Inc., a Washington corporation (the “Organization”). All data, materials, knowledge and
information generated through, originating from, or having to do with the Organization or persons
associated with the Organization’s activities, including other volunteers, employees, contractors,
clients, partners, sponsors, or any other affiliate, with the exception of data, materials, knowledge
and information generated through, originating from, or having to do with the City Leader or
persons associated with the City Leader, including other volunteers, employees, contractors, clients,
partners, sponsors, or any other affiliate, is to be considered privileged and confidential and is not to
be disclosed to any third party without the express written consent of the Organization. All pages,
forms, information, designs, documents, printed matter, policies and procedures, conversations,
messages (received or transmitted), resources, contacts, e-mail lists, e-mail messages, client, staff or
public information is confidential and the sole property of the Organization. For purposes of this
Agreement, confidential information will not include any information that (i) is or becomes publicly
available through no fault of City Leader, (ii) is or has been received in good faith by City Leader
without restriction on use or disclosure from a third party having no obligation of confidentiality to
the Organization, or (iii) is or has been independently developed by City Leader without reference to
information received from the Organization, as evidenced by City Leader’s written records.
This confidentiality obligation extends to all forms and formats in which the information is
maintained and stored, including, but not limited to, hardcopy, photocopy, microform, and
electronic form.
Any disclosure, misuse, copying or transmitting of any material, data or information will subject you
to disciplinary action or prosecution, according to the procedures set by the Organization and any
applicable laws.

Exhibit B
At this time I hereby commit to the Founders Live City Leader position for the entire calendar year
of 2023, understanding unforeseen personal or professional circumstances might arise to prevent me
from fulfilling this commitment, that of which if happens, I will schedule a Zoom call to discuss and
notify my situation with Founders Live Executive leadership.
