CONSTITUTION AND BY-LAWS OF

DURAN BLUE LADIES CIRCLE

VISSION

By year 2021, the Duran Blue Ladies Circle (DBLC) lived in a simple, unified living through
its God-fearing and hard working women serving the family and community to the best of their
ability.

MISSION

1. To provide modest services to the development of the community;


2. To mobilize women for more functional and worthwhile activities;
3. To capacitate and empower the women sector of Barangay Duran and expansion for the
Municipality of Balatan.

GOAL

At least fifteen (15) or more members through the provision of support and cooperation
in governments purpose projects and activities beneficial to the Townspeople as a whole.

CONSTITUTION AND BY-LAWS


PREAMBLE

We, the Women of Barangay Duran, imploring the aid of the Divine Providence,
believing that our economic, moral, political and social well-being can only be improved
through understanding, cooperation, coordination and collective effort of all through a strong
woman organization developing the patrimony of the Nation for ourselves and our posterity,
promoting free and democratic process, do hereby establish and promulgate this
CONSTITUTION AND BY-LAWS.

ARTICLE I

NAME AND DOMICILE

Section 1. This organization shall be known as “Duran Blue Ladies Circle (DBLC) herein
referred to as the “ASSOCIATION”.

Section 2. The organization shall be domiciled at Zone 1, Barangay Duran, Balatan,


Camarines Sur.

ARTICLE II

DECLARATION OF PRONCILPLES

Section 3. Service in the true cause as the welfare of the people is the supreme law. A
society is humane where the woman is recognized with highest dignity and their welfare served
with greatest magnanimity and non-discriminatory.

Section 4. The process of the nations will be judged not by their military or economic
strength, not by splendor of their capital cities and public building, but by the well –being of
their people, by their levels of health, nutrition and education; by their opportunities to earn a
fair reward to participate in decision that affects their lives, by the request that is shown for
the civil and political liberties, by the provision that is made for those who are vulnerable and
disadvantaged; and by the protection that is afforded to the growing minds and bodies of their
children.
ARTICLE III

DECLARATION OF OBJECTIVES

The Duran Blue Ladies Circle commits itself to the pursuit of the following objectives:

Section 5. To establish an organization that will represent the women sector in negotiation
beneficial to its members and the community.

Section 6. To promote the moral, social and economic well-being of the members,

Section 7. To foster harmonious and progressive association in societal relations.

Section 8. To uplift their plight to secure for themselves human dignity and empowerment.

Section 9. To engage in economic and livelihood projects for the benefit of the association.

Section 10. To constitute to the state its modest share of the nation building through self –
help programs as CSO representing the women sector.

ARTICLE IV

NAME OF ASSOCIATION AND PLACE OF COOPERATION

Section 11. For negotiation purposes, the definite name is “Duran Blue Ladies Circle”.

Section 12. The place of operation is at Acompañados Compound, Zone 1 Barangay Duran,
Balatan, Camarines Sur, 4463.

ARTICLE V

MEMBERSHIP

Section 13. All women resident of Barangay Duran, single, married, separated, without
regard to age, nationality, religion or political belief of affiliation shall be qualified to become
members of the association.

Section 14. Not eligible for membership:


- Persons who are formed to be inimical to the objectives for the association
was created.

ARTICLE VI

RIGHTS AND DUTIES OF MEMBERS

Section 15. The rights of members are as follows:

a. To participate in all deliberation on any question of majority policy affecting


the association.
b. To vote or to be voted on as an officer of the association.
c. To be given full and detailed reports of all financial transformations of the
association.
d. To avail of benefits/assistance from the association.
Section 16. The duties of the Association members are as follows:

a. To pay the Association the prescribed fees, dues and assessment which may
be set by the association.
b. To uphold the Constitution and By-Laws of the Association.
c. To comply with the rules and regulations promulgated by the general
assembly or by the Executive Officer/Management.
d. To attend meetings & seminars prescribed by the association.
e. To help in the implementation of any program for the general welfare of the
association’s members.

ARTICLE VII

TERMITION

Section 17. Membership of the association maybe terminated on the following instances:

a. Failure to pay monthly dues for three (3) consecutive months


b. Refusal to pay the prescribed and/or all authorized fees, dues and
assessments.
c. Forming, joining or assisting the formation of a rival/association;
d. Misappropriation for association’s funds or property and
e. Willful violation of the CBL and the orders of the duly constituted authorities
of the association.

ARTICLE VIII

PRINCIPAL OFFICERS

Section 18. The governing body of the association shall be the Executive Management
officer, who shall be elected by the general membership and shall be composed of 15 officers.

Section 19. The EMO shall administer the Association members, formulate policies and
implement programs to effectively carry out the objectives of the Association and manage all
the monies and properties of the association.

Section 20. The Executive Management Office shall be composed of the following officers,
namely:

1. President
2. Vice President
3. Secretary – Treasurer
4. Auditor
5. Public information officer (2)
6. Business manager (2)
7. Board of Directors (5)
8. Alternative Secretary – Treasurer

Section 21. The officer of the association shall hold office for a period of two (2) years and
re-election for one (1) year from the date of their election until their successor shall have been
duly elected and qualified, provided that they remain members of the association in good
standing. No officers shall be elected for more than 2 consecutive terms in the same position.
Section 22. Vacancies in the EMO, expect the position of President, shall be filled up by the
EMO by appointing any member(s) of good standing of the associations. The said appointees
shall hold office in an acting capacity for the unexpired term of the immediate predecessors. In
case that the vacancy in the EMO is more than the required majority, special victim shall be
authorized to fill up the vacancies.

ARTICLE IX

DUTIES AND POWERS

Section 23. President:

a. Presides over all meeting and deliberations of the EMO and of general members.
b. Approve expenditures of the association funds before payment or disbursement is
made by the treasurer.
c. Call a special meeting of the association or the EMO wherever he deems necessary
or upon within request of at least 30% of the general membership or majority of the
members of EMO;
d. Represent the association on all occasions and in all matters in which representation
of the association maybe argued upon or required;
e. Serves as the official spokesperson of the association.

Section 24. Vice-President

The Vice President shall perform the duties and functions of the President in
case of the latter’s absence, disability, death or resignation. The Vice President shall perform
functions that maybe assigned to him by the President.

Section 25. Secretary – Treasurer:

a. Take down minutes of the meetings of the general membership and of the executive
management officers;
b. Keep a book of minutes of all proceedings, resolutions, and assembles;
c. Keep a book of continues master list of all members of the association.
d. Act as custodian of all records, documents, minutes of meetings of EMO and of the
general membership as well as printed and/or written policies, projects and
activities of the Association
e. Collect, receive and issue receipts for all money, funds and contribution to the
association.
f. Make sure that distribution and payment by him/her are concerned and
accompanied by receipts.
g. Keep record all receipts and expenditures;
h. Prepare such financial reports as maybe required of him/her by general membership
& the EMO which shall include all money received and paid by him and other
properties of the association entrusted to him/her custody or under his/her control.
i. To submit to the membership, the monthly financial statement of the Association by
posting in a designated bulletin Board.
j. To prepare the budget and approve expenditures of funds.
k. To create any other committee under it deems necessary.
ARTICLE X

STANDING COMMITTEES

Section 26. The President shall be the overall Chairman of the 3 standing committees:

1. Committee on Membership – shall receive and process application for


membership and make recommendations hereon to the President. It shall be
composed of Secretary – Treasurer and alternative Secretary.
2. Committee on Education and Services – shall prepare, adopt and implement
education programs, and activities that will promote the enlightenment of
the members in regards to association relation system, the provisions of this
constitution and by – Laws and the existing rules and regulations, policies,
issuances that affect the members directly or indirectly. It shall be composed
of the PIO, BOD, and Treasurer –Secretary.
3. Committee on Grievance/Welfare – shall investigate internal association
disputes in accordance with ART. XVII of this constitution. In shall be
responsible for the adoption and implementation of programs, projects and
activities that will promote and protect the general welfare of the members.
It shall be composed of BOD, Vice President, Secretary – Treasurer and
Auditor.

ARTICLE XI

MEETING OF THE ASSOCIATION

Section 27. The association shall hold regular monthly meeting every last Saturday of the
month. Notice of the meeting shall be rest through text sent out by the Secretary - Treasurer.

Section 28. Meeting shall be held at Acompañado’s compound, Zone 1, Duran, Balatan,
Camarines Sur, the designated area of monthly meeting.

Section 29. Special meeting may be called at any time either call by the President upon
request of majority of the members of EMO or upon written petition addressed to the
President of the majority of all members of the association.

Section 30. Any item or items not included in the agenda maybe taken up or upon
recommendation of majority of the members of the EMO present constituting a quorum.

Section 31. Any member who is absent from any regular or special meeting of the general
membership shall within 5 days from the date of said meeting submit a written explanation to
the committee on membership as to reason or reasons for his/her failure to attend the
meeting. The committee on membership shall evaluate the explanation and recover a report
thereof to the EMO.

Section 32. In the event, the reason or reasons unacceptable to the EMO for being
unjustified, the erring member will be notified of the decisions.

Section 33. Members on official leave, valid reasons of his leave are excused from attending
meetings, whether regular or special.

Section 34. Any member who is absent for 3 consecutive times from any regular or special
meeting on the general membership without justifiable grounds thereof shall be automatically
excluded in the association.
ARTICLE XII

ASSOCIATION ELECTION

Section 35. There shall be a Committee on Election to be created by the EMO at least 30
days before any regular or special election. The functions of the COMELEC includes the
following:

a. Adopt and promulgate rules and regulations that will ensure a free, clean, honest
and orderly election, whether regular or special;
b. Pass upon qualification of candidates;
c. Rule on any question or protest regarding the conduct of the election subject to the
procedure that may be promulgated by the EMO; and
d. Proclaim duly elected officers.

Section 36. The COMELEC shall be composed of chairman and 2 members all of whom shall
be appointed by EMO.

Section 37. The COMELEC shall be automatically dissolved 30 days after the duly elected
officers are proclaimed.

Section 38. Regular Election of officers of the Association shall be held every last Saturday of
January of each year, 2:00 PM.

Section 39. Members of the association are qualified to vote and be voted, and voting will be
conducted by secret balloting and the election shall be decided by plurality of votes.

Section 40. The duly elected officers shall meet within one (1) week following their
proclamation to which time the outgoing administration shall turn over all records and
properties of the association to the new administration.

ARTICLE XIII

FEES, DUES, SPECIAL ASSESSMENT AND OTHER PAYMENTS

Section 41. An admission fee of one hundred pesos (Php. 100.00) shall be paid by an
applicant before he/she becomes officially member of the association.

Section 42. Every member shall pay monthly dues of Php. 5.00 to the association to be
collected by the Secretary-Treasurer and shall recon on the data of application for membership
was approved.

Section 43. All amount collected pursuant to the fees prescribed shall constitute to the
general fund of the association to be applied to the operational and organizational expenses of
the association for any purposes that may be authorized by the EMO.

Section 44. Every member shall contribute to the association such amount as may be fixed
by the general membership through a written resolution adopted at the general membership
meeting duly called for the purpose to be applied to or expended for any or all of the following:

a. Education program
b. Welfare and cooperative program (financial/burial)
c. Such other plans and programs that will promote the interest and welfare of the
association member.

Section 45. Special assessment, contributions or other extraordinary fees may be imposed
upon a resolution approved by the EMO.
Section 46. Any members who shall be 3 months in arrears in the payment of his/her regular
monthly dues or who fails to pay the special assessment and other payments required, shall
cease to be member of the association.

Section 47. Every payment of fees, dues or other contributions by a member shall be receipt
duly signed by Secretary – Treasurer or her/his duly authorized representative making the
collection and entered into the records of the association to be collection and entered into the

ARTICLE XIV

QUORUM AND RULES ORDER

Section 48. Except when greater proportion is required herein or by law majority vote shall
prevail at meetings and deliberations of the association. A majority of the members of the
association shall constitute a quorum to officially transact any business.

ARTICLE XV

Section 49. Proposals for amendments to this CBL may be made by the Executive Board or
upon formal petition of at least 10% of the general membership.

ARTICLE XVI

Section 50. This CBL shall take effect on the day following its ratification.

Adopted and ratified this 17th , day of June , 2021 at Mahusay Compound, Zone
3, Siramag, Balatan, Camarines Sur, Philippines with the list of members, together with their
signature who ratified the same appearing in Annex “A” hereof.
