Article 03: Preamble


We the founding members – in order to carry forward the legacy and long-term vision of late
Maureen P. Lines (Tamgha-i-Imtiaz), do hereby ordain and establish this constitution/ articles of
association document of Maureen Lines Foundation (MLF).

Legendary social worker, cultural activist, author and environmentalist late Maureen P. Lines
(Tamgha-i-Imtiaz) founded Kalash Environmental Protection Society (KEPS), Frontier Heritage Trust
(FHT), and Hindu Kush Conservation Association (HKCA). She was an extraordinary and inspirational
figure who had devoted her life to the service of others. She was born in England in 1937, and after
travelling around the world she eventually made Pakistan her home in 1980 where she passed away
in 2017. After her demise, many of her ongoing projects and beneficiaries of her welfare schemes
faced an uncertain future. Therefore; it has become imperative to form MLF in order to carry
forward her legacy and long-term vision.

Article 04: Aims and Objectives


Maureen Lines Foundation (MLF) expresses solidarity with all global initiatives in the form of
conventions and treaties, which promote, propagate and enforce policy matters, which consolidate
the survival of planet Earth and the core values that govern these principles.

MLF recognizes the fundamental rights of people, regardless of gender; age; disability; race; creed;
colour; etc. and adheres to the following aims and objectives:

a. Enhancing the quality of both formal and informal education


b. Ensuring at least provision of Primary Health level care to those people without access &
improving Community Health standards
c. Identification/ Preservation/ Conservation of indigenous cultural heritage; both tangible &
intangible
d. Promoting the enduring, daily interfaith cooperation and harmony to end conflicts and
creating culture of peace, justice and healing for all living beings
e. Promoting domestic and international tourism
f. Protecting and preserving the natural environment and biodiversity & to work towards
sustainable development through improved natural resource management
g. Contributing in the economic empowerment through entrepreneurship and other livelihood
opportunities; especially for youth and women
h. Facilitating communities in disaster preparedness and management
i. Any other activity in the interest of the Society

Article 05: Membership
Member
For the purposes of this Act a member is a person who has either subscribed to the memorandum of
association or has agreed in writing to become a member of a society and whose name is entered in
its register of members. He is admitted according to the rules and regulations of the Society and also
according to rules he may resign or retire from membership.

Eligibility for Membership


An adult and fully conscious person, fulfilling the following conditions may apply on the prescribed
form, for membership, which shall be presented in the meeting of Executive Body of the
organisation:

 Who fully agrees with the Constitution/ Rules & Regulation/ Objectives of the organisation
 Having age 18 years or above
 Having good moral character and not found involved in anti-social activities or punished
under such practices
 Who shall pay the subscription fee mentioned in the form

Who shall abide by all rules/orders of the Executive Body of the organisation

Types of Members
a. Founding Members: The persons whose names have been nominated in articles of the
memorandum of the organisation shall be the founder members of society.
b. Executive Body Member: The Founding persons whose names have been nominated in articles
of the memorandum of the organisation shall also be the members of the governing Executive
Body of the society. Whenever there is a vacancy in the list of Executive members, majority of
the votes, may appoint another person in his/her place from among the ordinary members of
the organisation upon the recommendation and final approval of the Executive Body
c. General Member: A person who subscribes for general membership and is resident of
operational area of the organisation, takes active part in the activities of the organisation and
attends meetings regularly shall become a General Member with the formal approval of the
Executive Body.
d. Honourary Member: A person who works for the betterment of the organisation may become
an honourary member with the approval of Executive Body of the organisation.
e. Life Time Member: Any person, who subscribes for the lifetime membership of the organisation
at a time may become a lifetime member of the organisation after the formal approval of the
Executive Body.

Reapplying for Membership Application


a. A person whose application for membership has been rejected by Executive Body of the
organisation may re-apply for membership after three months.
b. In case the application is rejected for the second time, the reasons of rejection must be recorded
in writing. However, application rejected twice would not be considered.

General Rights & Duties of All Members


a. Members of the organisation shall submit their opinion concerning activities or affairs of the
organisation to the Executive Body during a General Body Meeting.

b. All members of the organisation shall have the right to inquire or ask for permission from
the Executive Body to see any documents, accounts or assets of the organisation.
c. All members of the organisation shall have the right to cast their vote in the elections of the
organisation. Honorary Members may attend the meetings, activities, elections, etc., by
invitation.
d. Members of the organisation shall abide by the Rules and By-Laws of the organisation.
e. Members shall inform the General Secretary, in writing, about any change of personal
information/ particulars give in the membership form.

Termination of Membership
A membership shall be terminated through majority vote of the Executive Body against any member
who fails to abide by the Rules and By-Laws of the organisation or acts in a manner not in line with
his status as member of the organisation and/ or in the following cases:

 Death: Any membership shall be terminated upon the death of member. All dues shall be
paid (if any) to the members legal heir (if any).
 Irrational Mind: The membership shall be terminated in case of any proven insanity/
unsound mind of the member. The member shall be given an opportunity to present his
point of view through a notice of fifteen (15) days.
 Inability: Any incapacity/ incompetence which prevents a member from performing the
duties shall lead to termination. The member shall be given an opportunity to present his
point of view through a notice of fifteen (15) days.
 Detrimental Conduct: Any member found to have indulged in anti-social or anti-state
activities or act against the interests/ rules/ objectives of the organisation and found
involved in such activities which cause defamation to the organisation shall be asked to
explain his position within seven (07) days. His or her membership will remain suspended
during the ensuing period. In case of unsatisfactory reply, his/ her membership shall be
cancelled.
 Resignation: A member who resigns willingly due to any reason shall submit his resignation
in writing to the general secretary who shall put it up in the Executive Body meeting. The
Executive Body shall have the authority to accept or reject his/ her resignation. In case his
resignation is accepted, the fee/donation granted by him shall not be refunded. Any of his/
her arrears in payment of subscription, fees or dues shall have to be settled.
 Absence from Meetings: A Member who remains absent in three consecutive meetings
(without mentioning any reason) shall be given a chance to explain reasons for his absence
within seven (07) days. In case he gives no reply or if his reply is found not satisfactory, as
the case may be, his membership shall be cancelled.
 Non-Payment Subscription: A member who does not pay any dues/ three consecutive
payments of the organisation within month time of standard notification, the Finance
Secretary shall issue another notice to him/ her asking him/ her to pay his dues within
fifteen (15) days, in case of failure his/ her membership shall be cancelled.

Restoration of Membership
A member, whose membership has been cancelled by Executive Body due to any reason, may
submit application for restoration of his membership to the General Secretary, which shall be
considered in the meeting of the Executive Body. The decision of the Executive Body in this regard
shall be final.

Revival of a dormant membership shall require:

 Request in writing to the Chairperson


 Payment of all outstanding dues, &
 Approval by the Executive Body

Subscription
Members shall pay subscription fee for membership. The fee shall be defined in the membership
form.

Article 06: Structure of the Society


The organisation shall consist of a General Body and an Executive Body.

General Body
The General Body of the organisation shall consist of General Members and Lifetime Members of the
organisation, which may hold at least one meeting in the year, however emergent meeting can be
called at any time.

Power and Duties of The General Body


1) To frame policy of the organisation
2) To authenticate the progress reports of the organisation
3) To consider annual report of the organisation
4) To consider and decide tabling of motions
5) To check the account of organisation and get it audited from chartered accountant
6) To decide appeals and other matters referred by Executive Body
7) To authenticate proposed amendments in the constitution. However, such amendments shall
become effective after approval by Registration Authority
8) To run the organisation in accordance with the constitution of the organisation

Executive Body
The Executive Body shall consist of 7 members. The members of the Executive Body are the
signatories of the constitution of the organisation. The affairs of the Association shall be managed by
the Executive Body. The Executive Body shall exercise its powers related to management of the
organisation through:

a. Chairperson (or in their absence, Vice Chairperson)


b. General Secretary (or in his absence, Additional Secretary)

Meeting of the General Body must be held in the month of June each year while meeting of the
Executive Body must be held on month basis. A notice of 15 days shall be issued for convening of the
meeting. 2/3 majority of the meetings shall be considered as Quorum. The chairperson may
postpone the meeting if the quorum is not complete. Next meeting of the body shall be held after a
week time for which completion of quorum is not compulsory. A copy of minutes of the meeting
along with agenda and attendance of the meeting must be endorsed to the Welfare Office. Accounts
of the organisation shall be kept in the Bank recognized by Govt., and recommended by the
Executive Body.

Power and Duties of Executive Body
1) To take appropriate measure for achieving the aims and objective of the organisation in the light
of policy of the organisation
2) Preparation of rules and regulation for smooth running for the affair of organisation and accord
sanction of the General Body
3) To implement decision, policy and executive scheme decided in the meeting of the General Body
and Executive Body
4) To amend the constitution of the organisation with 2/3 majority of the members available and
get approval from the registration authority
5) To convene at least one meeting in a month
6) To use funds and donations of the organisation provided by the Government and NGO’s/ donors
in a fair and transparent manner
7) To prepare annual budget of the organisation
8) To prepare annual performance & Financial Report and publish it
9) Appointment of employees in consultation with the social welfare office
10) To constitute committees for completion of various projects/plans/assignment
11) To fix honoraria for office and members of the organisation for their services
12) To hold seminars, symposiums, trainings, events other activities for the achievement of
objectives of organisation
13) To form sub-committees as it may deem necessary and determine the extent of powers to be
vested in the subcommittee

Article 07: Elections


The election of the ‘Maureen Lines Foundation’ shall be held after completing its one (01) year.

The members against whom payment of the organisation is due cannot cast vote for selection of
Executive Body Members unless they clear all the dues.

Article 08: Affiliations


The Executive Body shall decide about affiliation(s) with other organisations for promotion of mutual
aims, welfare and objectives. The organisation shall not affiliate with any political or Government
organization in Pakistan nor shall it support any political cause, activity or candidate for political
office in Pakistan. The Executive Body shall also abide by the Board of Governors/ Founding
Members.

Article 09: Accounts & Audit


The financial year shall be the financial year of the Government. The Books of Accounts of the
organisation shall be maintained on regular basis and as in accordance with the generally accepted
accounting principles and satisfactory arrangements exist for their inspection by interested members
of the public.

The membership fee shall be collected by the organisation itself and would be run on self-help basis.
However, special campaigns may be launched for collection of donation in emergency causes.
Moreover, grants shall be received through interaction with donor’s welfare by the secretary finance
for all types of collections under his own seal and signature.

The organisation shall maintain an account in a scheduled/ commercial bank which shall be operated
by the Chairperson and Finance Secretary or any designated officer appointed by the Founding
Members.

The audit of the annual accounts of the organisation shall be conducted every year by an authorised
auditor.

Article 10: Meetings & Quorum


 The Executive Body shall meet at least once in every three (3) months after serving seven (7)
days’ notice to all members of the Executive Body. The Executive Body shall conduct its business
on the basis of a majority vote.
 A meeting of the General Body may be called by the Executive Body after prior approval from
Board of Governors/ Founding Members a notice of 21 days or 10 days. Quorum for a meeting of
the General Body shall be 1 / 6th of the total number of members of the organisation. The
Executive Body shall present reports on previous activities, performance, balance sheet, etc.
during a meeting of the General Body.
 2/3rd majority of meetings of both general and executive bodies shall be considered as Quorum.
Actions taken without complete quorum shall be considered illegal and invalid.
 Notice for holding annual general meeting and extra ordinary meeting shall be 21 days and 10
days respectively.
 The meeting shall be adjourned for lack of quorum and shall be reconvened within period of one
week with three days’ notice. There shall be no binding of quorum in this case.
 The annual general meeting of the organisation shall be held on yearly basis, where the annual
reports shall be presented.
 The meeting of the organisation shall be held as when necessary with the permission of the
Chairperson.
 All matters shall be decided with the majority of votes, in case of tie or ties, the Chairperson shall
have the casting vote.
 The voting power and interest of Members in the Association shall be equal.
 In case of tie vote, the Chairman shall arbitrate to reach a decision.

Article 11: Dissolution


The organisation can be dissolved under section 13 and 14 of societies Registration Act 1860.

Article 12: Amendments to the Rules & Regulations


The Board of Governor/ Founding Members shall be called for making any amendments in
constitution and shall make such amendments in 2 / 3 majority of the Executive Body. The
organisation may amend rules and by-laws every year to achieve the aims and objects for which it
has been constituted within the framework of its rules and regulation, but the amendments and
approval shall not be applicable until and unless it is approved by the Registrar Joint Stock
Companies and Section 12 of Societies Registration Act, 1860 shall be entirely acted upon subject to
the prior approval from the Commissioner.

Article 13: Non-Profit Organisation


The organisation shall be bound to follow the Rules & regulations of Income Tax Rules, 2002 to enjoy
the benefits as non-profit organisation after completing its one year performance/ activities. The
prescribed Rules and Regulations are given as under:

a. The organisation shall not be used for personal gain of any particular person or a group of
persons.
b. The organisation shall not be propagating the view of a particular political party or a religious
sect;
c. The organisation shall not be managed in manner calculated to personally benefit its
members or their families;
d. The organisation shall try to achieve its declared aims and objects in view of its set up and
administration.
e. The organisation shall abide by the expenditure on salaries exceeding 50% of the total
receipts excluding restricted donations or funds received during a tax year.

Article 14: Annual Requirements (as Per Supreme Court’s Order)


Executive Body should provide the following information/details annually and as required by
registration authority or his nominee:

1. Accounts Numbers (balance sheet/bank statement)


2. History of projects/ programs/ assignments implemented
3. Expenditure statements (Attested audited report with name and address of auditors
4. Offices’ details with complete addresses and contact numbers of focal persons
5. Human resource detail with their salary breakup
6. Other registration certificates e.g. NTN, professional associations and qualification, permissions,
etc.
7. Associations/ Collaborations (business, professional, technical, financial, etc.) with local and/ or
international entities
8. No of office bearers, names with designation and cell numbers
9. No of other officers and staff
10. No of local officers and staff with names, designation, CNIC, and tax particulars
11. No of international officers and staff with names, designation, passport # and visa particulars
12. No of employees
13. No of members
14. Endowment amount
15. Source of funding, income, amounts, means of transfer of monies
16. Tax registration and exemptions
17. Authority letter on stamp paper signed by BOG in the name of person filling documents
18. Certificate by BOG that all documents are true/ correct

We here by certify that the Rules & Regulations of the Society are correct.
