Article 1:-

NAME OF THE AGENCY

The name of the agency shall be Society for Environment Education and

Development (SEED); the name emphasizes all the fields of its operation and the
objectives of the agency.

Article 2:-

Address

Suite # 2, 2nd floor, Abbas centre, Bilal Market, D1, Phase1, Hayatabad Peshawar.

Article 3:-

Area of Operation

The area of operation selected for the Agency is Kyhber Pukhtunkhwa, province Pakistan.

Article 4:-

Aims and Objectives

The main focal points of the organization shall be:


a)

Sustainable Economic Development by enhancing the informal sectors of economy and


empowering the local communities with new skills.

b) Enhancing the Formal and Informal sectors of Education by motivating parents to enroll
their children in schools, provision of trainings of parent teaches associations, facilities
and infrastructure for educational institutions.
c) Environmental concerns such as health and hygiene, pollution and contamination,
biodiversity conservation and raising environmental awareness
d) Women empowerment through raising awareness regarding women rights and issues
related to women in the country and also strengthening their life skills..

Please see Annex I for proposed activities for the achievement of above mentioned
objectives.

Article 5:-

Financial Matters/Operational Plan

a) Financial Administration:
i. The financial year of the Agency shall start from 1 st of July of the subsequent
years.
ii. The funds of the Agency shall be kept in a schedule bank approved by the
Executive committee.
iii. The account shall be operated by the joint signatures of the chairman and CEO.
iv. The accounts of the Agency shall be audited annually by any chartered accountant
assigned by the executive committee.
v. The funds and property of the Agency shall be used for furthering the objectives
of the agency alone and not for the personal interests of any member whatsoever.
vi. Any financial decision summing up to 10 million or beyond PKR shall be
designated to the Executive Committee.
b) Operational Plan:
b) The Agency shall work together with communities to identify and prioritize their
needs/problems and establish ownership of the problems in order to find out
sustainable solutions.
c) The agency would be Non Profit based, and its activities shall benefit the local
communities in particular and the country in general.

c) All activities shall be carried out according to the constitution.


d) The Agency shall operate according to the democratic norms under any socioeconomic settings.

Article 6:-

Funds Generation

a) Funds for the activities of the organization shall be generated through grants and
donations from National, International donors, agencies, NGOs and Governmental
Institutions.
b) Every member shall also contribute to the Funds of the agency via membership fees, fund
raising and donations.

Article 7; -

Rules Regulations For Record Keeping

a) All documents shall be kept in the central office of the Agency, in original form.
b) The computer generated soft copies of the documents shall be kept in the central office of
the Agency.
c) No document in original form shall be taken by any member of the agency outside the
office.
e) Any photocopy of the original documents shall be provided to members upon the
approval of the Chief Executive.
Article 8; -

Terms and Conditions for Membership

Termination and Reinstatement of membership


The termination of any members membership shall require two thirds majority vote of the
executive body.

a) If he/she violates any rules and regulations.


c) If he/she is found in activities against the organization
The reinstatement procedure is as follows:
a) The member shall submit an application to the Chief Executive of the organization.
b) The application shall include apology for his actions and shall vow not to break any
rules any further.
c) The Chief Executive shall have the authority to reject an application for
reinstatement.
Article-9:
Membership: Every adult male /Female can become
(A) a member of this agency, subject to the condition & approval of the executive body; that
1. He/she shall be mentally stable
2. His/Her age is more than 18 years.
3. H/She bears good moral character.
4. Agree with the aims / objectives and the constitution of the agency.
5. Regularly pay membership fee.
6. Permanently reside or operate business within the area of operation of the agency
(B) Type of membership: Ordinary Membership
1. Each person who pays Rs. 10/- as registration fee and Rs. 50/ as annual fee can become an
ordinary member.

Permanent / Life Membership


2. Each person who pays Rs. 10/- as registration fee and Rs. 150/ as Life time membership

fee can become an permanent member.


Honorary Membership
3. Person who can be helpful to the association due to his knowledge, experience and deep
interest in social welfare activates or is affiliated with such agency which can be helpful for
achieving the objectives of the association can be nominated as honorary members of this
agency. Condition of payment of membership fee or being resident of the area will not be
applicable to such membership.
1. Each person who is constitutionally eligible for membership and wishes to seek ordinary
membership, shall apply for it on prescribed form to the executive body, who are empowered
to accept or reject their application. In case of rejection, the executive body will intimate in
writing the reason of rejection of application.
2. Under Article 2-B, the executive body may nominate any person as honorary member
3. Each one, who under article 4-B fulfil condition can become its patron.
4. In case of rejection, of the application of membership, each person whose have been
rejected by the Executive board, may appeal to the General Body, the decision of which shall
be final.
Rights of members
1. Ordinary or permanent members shall be members of the general body of the association,
they will have a right to vote and to contest elections.
2. Honorary member or Patron has no right to vote. They can participate and express their
views and opinion/ideas.
Suspension and Cancellation of membership
1. Membership can be suspended or permanently cancelled subject to;

-if a member does not pay its membership fee immediately after expiry, then his
membership shall be suspended, and if he/she does not pay the fee within 30 days at
maximum, his/her membership may stand permanently cancelled.
-if without proper intimation, he/she fails to attend 3 consecutive meetings of general; body
or executive body without proper reason, the general body or executive body is empowered
to cancel his / her membership.
-if executive body has solid reasons to believe that conduct of the member is against the aims
of the agency or in of deforming nature, the body shall seek explanation form the member. In
case of un satisfactory explanation from the member, the body will issue a warning and
demand resignation of the said member. If a member refuses to resign, the executive body
with majority can cancel his membership.
Resignation of the members
-Member can resign at their own free will.
-If a member, whose membership has been suspended, pay his dues, his
membership shall stand active.
-A member, whose membership has been cancelled, have to apply a fresh
membership.

Article10:-

Structure of the organization

The organization shall have the following key elements:


1) Executive committee

Article 11 Powers and Responsibilities of the Executive committee


Executive committee
a) Implementation of the aims and objective of the organization
b) Establishment of linkages of the organization with donors, NGOs and support
organizations.
c) Preparation and approval of annual financial and progress report.
e) Guidance and monitoring of various projects run by the organization to achieve its goals.

Article 12

Nomination of Executive committee Members

a) Each and every member of the executive committee shall be nominated for a position on

the executive committee by a resolution passed by the members of the executive


committee.
b) The resolution for the nomination shall be passed with two third majority and signed by
all the members of the Executive committee.
c) The resolutions shall be passed in Executive committee meetings held quarterly in a year.

Article 13: Powers and Responsibility of the Members of Executive


Committee
Chairman
a) The Chairman shall preside over all the meetings of the organization
b) In consultation with CEO and executive committee, shall formulate the policies of the
organization.
c) Shall oversee all the recruitment, expenses and all operations in the field by the
organization.
Chief Executive Officer (CEO)
a) Shall be responsible for overseeing the actions of the members, staff and operations of the
organization.
b) Shall prepare annual activity and financial report.
c) Supervise day-to-day maters of the office.
d) Shall be responsible for preparing the minutes of the meetings of Executive committee.
e)
f) Will liaise with donor agencies, government and other organizations.

Article 14

Procedure for Amendments in Constitution

a) Amendments in the constitution shall be recommended by any member in writing to the


Executive committee.
b) Amendments shall be made/ approved by a unanimous resolution of the executive
committee.

Article 15

Procedure for the dissolution of the Organization

a) The organization shall be dissolved in accordance with the Companies act of 1860 under
which the organization has been registered.
b) Dissolution shall be decided in a special meeting of the Executive Committee called for
this purpose, with fortnight notice from the Chief Executive. The decision shall be
properly communicated to the registration authority of the Govt. of NWFP.
c) In the event of the dissolution the assets of the organization shall be handed over to any
other organization having the same objectives.

Annex I
Proposed Activities In the Light of Aims and Objectives
a) To raise awareness among the masses regarding self-dependence, development,
environment, education, social organization, mobilization and welfare.
b) To promote civic education and sense to make citizens aware of their civic responsibility.
b) To develop human resources by provision of professional trainings in information
technology and enhancing the computer literacy.

c) To restore suitable vegetation, soil preservation and wildlife conservation.


d) To make people aware of sustainable methods of environmental preservation and
conservation.
e) To develop the informal sectors of economy like farming, fishing, handicrafts etc by
developing the skills of local professionals and providing them with new technologies.
f) To make sure the availability of clean water to the masses and spread awareness
regarding health and hygiene issues.
g) To struggle for the sustainability and availability of infrastructure for the locals and
provision of affordable quality education to the peop0le living in less developed areas.
h) To work in areas hit by a disaster on emergency basis. The organization will hold
sufficient funds for the purpose.
i) Awareness regarding Population control, diseases control and Poverty alleviation by
enhancing the capabilities of the locals to earn.
