INTRODUCTION

E-ticketing through IRCTC website www.irctc.co.in, has revolutionized the way the
common man deals with the railways and has been biggest success story of e-
governance in India. To facilitate more and convenient payment options for IRCTC
customers, IRCTC is now introducing Policy for ‘Book Now Pay Later’ Payment option
under its umbrella of various payment modes on its e-ticketing Website and Mobile App.
The Features of such payment integration is as under:

 User can book train ticket by Opting ‘Book Now Pay Later’ payment mode even if,
he is not having a Credit Card.

 No need to Carry Credit Card or depend on Net banking. User can just book the
ticket using his credentials.

 Payment for e-ticket booked through this payment mode will be collected from
the customer on delivery of e-ticket or as per the timelines given by the Payment
Provider for such payment option.

 This payment mode is not applicable for booking of I-ticket.

Norms for Integration of “Book Now Pay Later” Payment Mode on IRCTC Reserved
Rail e-ticketing platform (Website and Mobile App).

1. Name of the Policy: “Policy for integration of ‘Book Now Pay Later’ Payment
Provider on IRCTC e-ticketing Website and Mobile App”.

2. Name of the Payment Provider: Firms/Banks/Financial Institutions who are


providing Book Now Pay Later Payment Mode for booking e-tickets through IRCTC
Website/Mobile App will be known as Pay Later Payment Provider.

3. Eligibility Criteria:

3.1 All the existing integrated and upcoming Banks/Payment Providers/ Financial
Institutions, including Start-up Firms, who are interested to provide ‘Book Now
Pay Later’ Payment mode will be eligible to get integrated under this policy.

3.2 Banks/Payment Providers/ Financial Institutions providing ‘Book Now Pay


Later’ payment mode on IRCTC e-ticketing Website and Mobile App for booking
of Rail e-tickets (I-ticket not allowed) will be governed by “Policy for Book Now
Pay Later Payment Provider Integration on IRCTC e-ticketing Website and
Mobile App”.

3.3 General Pay Later Payment Provider (GPLPP): Banks/Payment
Providers/Financial Institutions who are providing ‘Book Now Pay Later’
Payment mode (other than Start-up Payment Providers) shall be called as
‘General Pay Later Payment Providers (GPLPP)’.

3.4 Start-up Pay Later Payment Provider (SuPLPP):


3.4.1 Start-up firm should be a registered Private, Partnership or Limited
Liability Partnership (LLP) firm. (Supporting document should be
submitted).
3.4.2 SuPSP should be recognised as Start up by Department of Industrial Policy
& Promotion under Ministry of Commerce and Industry. SuPSP shall
provide the certificate issued by the concerned department.
3.4.3 Start-up status shall be valid up to seven (7) years from the date of its
incorporation/registration or till its turnover exceeds Rupees 25 Crores
during any of the Financial Years since incorporation, whichever is earlier.
3.4.4 Copy of Previous Year Balance Sheet, Income Tax Return (ITR) (Self
attested) and Certificate of Annual turnover issued by CA should be
submitted at the time of registration as well as every year at the time of
annual renewal of service.
3.4.5 In case, if any Start Up has not completed one year as a Start-up at the
time of registration with IRCTC, then, the firm will be exempted from
submission of previous year balance sheet and ITR at the time of
registration, However, the firm will submit the ITR and Balance Sheet of
previous year at the time of annual renewal of service.
3.4.6 Once the SuPLPP ceases to be a Start-up as per the certificate issued by
Department of Industrial Policy & Promotion under Ministry of Commerce
and Industry, the SuPLPP will be governed by the terms and conditions of
the extant IRCTC Policy for Book Now Pay Later Payment Providers and
the differential Integration Charges and any other charges, as applicable,
will be paid by the PSP for continuation of IRCTC e-ticketing services.
3.4.7 Payment Providers possessing above mentioned Star-up eligibility criteria
who are providing ‘Book Now Pay Later’ Payment mode for booking e-
tickets on IRCTC Website/Mobile App shall be called as ‘Start-up Pay
Later Payment Providers (SuPLPP)’.

4. Integration Charges (IC):

4.1 GPLPP shall pay onetime Non-refundable Integration Charges of ₹20 Lakhs +
applicable Taxes, which will be separately applicable for each integration, i.e.,
on IRCTC Website and Mobile App.

4.2 Banks/Payment Service Providers/Financial Institutions providing Book Now
Pay Later Payment mode, who are already integrated with IRCTC, shall also
have to pay Integration Charges of ₹20 Lakhs plus applicable taxes as
mentioned above.
4.3 SuPLPP shall pay onetime Non-refundable Integration Charges of ₹10 Lakhs +
applicable Taxes, which will be separately applicable for each integration, i.e.,
on IRCTC Website and Mobile App.

5. Security Deposit (SD): GPLPP and SuPLPP shall pay Security Deposit (SD) of ₹10
Lakhs (Refundable), separately applicable for each integration, i.e., on IRCTC
Website and Mobile App.
5.1 Security Deposit (SD) shall be refunded after adjusting IRCTC dues, if any, like-
Payment Maintenance Charges (PMC), Annual Payment Maintenance Charges
(APMC), pending refund to customers, penalties, if any, etc., in case the
association between IRCTC and PLPP discontinues.
5.2 The Security Deposit (SD) shall be forfeited at any point of time if, the name of
IRCTC is tarnished due to any issue on PLPP Payment services or violation of
terms and conditions of this Policy/Agreement.
5.3 Banks/Payment Providers/Financial Institutions who are already integrated
with IRCTC shall also have to pay Security Deposit (SD) of ₹10 Lakhs
(Refundable) as mentioned above.
5.4 No interest shall be payable on Security Deposit amount.

6. Intermittent Charges:
6.1 One-time payment of ₹5 Lakhs + applicable Taxes (Non-refundable) will be
payable by GPLPP, whenever changes due to Payment option are required to
be carried out on IRCTC mobile app, leading to updates on IRCTC Mobile App
on concerned App stores (Not applicable for website).
6.2 One-time payment of ₹2.5 Lakhs + applicable Taxes (Non-refundable) will be
payable by SuPLPP, whenever changes due to Payment option are required to
be carried out on IRCTC mobile app, leading to updates on IRCTC Mobile App
on concerned App stores (Not applicable for website).

7. Payment Maintenance Charges (PMC): Payment Gateway (PG) charges (or any
similar charges like- Internet handling fees or convenience fee or payment
facilitating charges or any similar charges) levied on the customer by Payment
Provider for each successful rail e-ticketing transaction made through concerned
PLPP will be shared with IRCTC called as “Payment Maintenance Charges” (PMC)
in the following manner:

7.1 PLPP can charge a maximum Payment Gateway Charges of 3.5% of the ticket
fare + Taxes per transaction from the customer.
7.2 PLPP shall pay PMC of 50% + Taxes of PG charges charged by PLPP subject to
average monthly minimum PMC of ₹15/- per transaction + applicable taxes,
to IRCTC. (w.e.f. 08.10.2018).
7.3 In case, PLPP is not levying any Payment Gateway (PG) Charges on the
customer, even then, PLPP shall pay average monthly minimum Payment
Maintenance Charges of ₹15/- per e-ticket + applicable taxes to IRCTC. (w.e.f.
08.10.2018).
7.4 PMC shall be paid by the PLPP on monthly basis. At the end of the month.
Invoice for all the successful transactions will be raised by IRCTC and
payment shall be made by the Payment Provider within 15 days from the date
of issue of the invoice else it will be recovered from respective RDS account.
7.5 If, monthly PMC is not paid by PLPP within the above prescribed time line and
if Payment Provider’s RDS balance is lower than the Invoice/outstanding
Amount, then, the services shall be made offline till the PMC is received from
the Payment Provider.
7.6 The Payment Maintenance Charges paid by the PLPP should not be less than
₹10 Lakhs + applicable taxes (per financial year).
7.7 If, PMC is less than ₹10 Lakhs (per financial year), the Payment Provider shall
pay deficit Payment Maintenance Charges of minimum ₹10 lakhs + applicable
taxes called as ‘Annual Payment Maintenance Charges’ (APMC), within 7 days
from date of communication sent by IRCTC else it will be recovered from the
respective RDS account.
7.8 Calculation of annual Payment Maintenance Charges will be on Pro-rata basis
for all the Payment Providers getting integrated with IRCTC from the date of
launch of the “Book Now Pay Later” Payment Mode.
7.9 If, deficit Annual Payment Maintenance Charge is not paid by Payment
Provider within the above prescribed time line and if balance in RDS account
of the concerned Payment Provider is lower than the deficit APMC amount,
then, the services shall be made offline till the deficit amount is received from
the Payment Provider.
7.10 This commercial arrangement will remain uniform to all such Payment
Providers.

8. Other Terms & Conditions:

8.1 Rolling Deposit System (RDS): In the Rolling Deposit System (RDS), the
PLPP has to deposit advance money to IRCTC for booking of e-tickets. This
amount will be recharged into the PLPP’s RDS account maintained by IRCTC.

Booking amount will be deducted at the time of booking (real time) from the
respective PLPP’s Rolling Deposit Account (RDS) maintained with IRCTC.
Separate RDS Accounts shall be maintained for each integration, i.e., on IRCTC
website and Mobile App. by the PLPP.

8.2 Rolling Deposit is required to be maintained by PLPP for booking of e-tickets


for payment of e-ticketing charges.

8.3 The PLPP shall in advance top up its RDS account at its own discretion in
suitable intervals and shall inform IRCTC through electronic medium giving
the deposit details.

8.4 Transaction amount will be deducted from the PLPP’s RDS account on
successful booking of rail tickets. All PLPPs should maintain a minimum
balance of ₹1 lakh in their RDS Account.

8.5 Booking will not be permitted and PLPP payment option will be made offline
if balance in RDS touches the minimum limit of ₹1 lakh unless it is topped up
again.

8.6 RDS deposit accounts can be topped up with minimum amount of ₹2 lakhs
and in multiples of ₹1 lakh as and when required by PLPP.

8.7 The PLPP will be provided an Admin Interface for downloading of


Transactions and Refund report. Same shall also be used by PLPP to upload
Refund Confirmation report.

9. OTP Verification: Payment Provider should implement OTP as authentication step


for all payments through their ‘Book Now Pay Later’ Payment Mode on IRCTC Rail e-
ticketing platform.

10. Checks/Restrictions/Service availability: All existing Checks/Restrictions or as


decided by IRCTC in future will be applicable.
10.1 PLPP shall be completely responsible for collecting the payments from the
customers. IRCTC will not have any role/responsibility in the entire process,
except booking/generation of e-ticket through IRCTC’s Rail e-ticketing
platforms (Website/Mobile App). Hence, PLPP will be liable to handle all
Customer disputes/grievances/queries (except issues related to
booking/generation of Rail e-ticket).

10.2 Payment from customer who is availing the facility of “Book now pay later”
may be collected on delivery/generation of e-ticket or as per terms and
conditions of concerned PLPP. IRCTC will not have any role/responsibility in
Payment Collection Process of PLPP.

10.3 IRCTC shall not be liable for the loss occurred to PLPP in case, PLPP fails to
collect the Ticket Charges/ PG Charges from its Customer due to any reason.

10.4 IRCTC does not play any role or authorizes the PLPP or its associates to
collect the Payment Gateway Charges/ Transaction amount, on behalf of
IRCTC. Realization of Payment Gateway Charges/Transaction amount will be
the part of Service/facility to Customers provided by PLPP on IRCTC e-
ticketing Website and Mobile App.

10.5 PLPP may perform the risk assessment of the customers and potential
transactions, and may allow their eligible customers to use the ‘Book Now
Pay Later’ Option for availing the Products or Services on the IRCTC e-
ticketing Website and Mobile App.

10.6 IRCTC may restrict ‘Book Now Pay Later’ user for future Rail e-ticketing
transactions upon request from PLPP, if the user has failed to pay to
transaction amount after availing the ‘Book Now Pay Later’ Payment Mode on
IRCTC e-ticketing Website and Mobile App.

10.7 PLPP shall have the right to cancel the Rail e-ticket booked on IRCTC in case
the customer fails to make the payment to PLPP for the same as per payment
terms and conditions of PLPP.

11. Reconciliation and Refund/Chargeback:

11.1 PLPP shall follow Reconciliation and Refund process as the details shared &
mutually agreed with IRCTC.

11.2 PLPP will be responsible for refunds to customer. In case the refund is not
made to the customer within 5 working days from the date of receipt of the
same from IRCTC, IRCTC shall be free to impose a penalty of ₹5,000/- (Rupees
Five Thousand) + amount equal to Non-Refund plus applicable taxes, per
complaint as and when reported by customer or any other agency. Payment of
Penalty shall be made through online or through Demand Draft.

11.3 The penalty shall be paid by the PLPP within 5 working days from the date of
communication sent by IRCTC; else, it will be recovered from the respective
RDS account.

11.4 If, the penalty is not paid by the PLPP and the RDS balance is lower than the
penalty amount, then, the services shall be made offline till the penalty
amount is received from the PLPP.

11.5 PLPP shall take complete responsibility of chargeback issues/cases/Customer


disputes/fraudulent Activities.

11.6 IRCTC shall not bear any responsibility (financially or otherwise) for any
chargeback/customer dispute reason/reason codes except for those cases
where applicable refund as per Railway Refund rules are not processed due to
some reason.

11.6.1 Time limit for sending supporting document at the first retrieval
request stage should be fifteen (15) days from the receipt of request
mail from the PLPP with relevant details.

11.6.2 IRCTC will send all the supporting documents pertaining to retrieval
requests through emails along with attachments in standard
word/excel format with file size restriction of up to 10 MB.
12. Tenure and Agreement: Initially the Agreement will be valid for Five (05) Years and
will be renewed or extended on fulfilling terms and conditions, mutually agreed
between the parties. The agreement may be terminated by IRCTC any time, giving
Two (02) Months’ notice to the PLPP.

13. Marketing Prospects:

13.1 Promotions/Advertisements: will be allowed to Banks for proliferation of


ticket booking through IRCTC subject to following conditions:

13.1.1 PLPP can give maximum cash back of ₹100 per ticket to the customer.
13.1.2 PLPP can send coupons to the customers, whosoever is booking ticket
through their payment option. The text message can be as “Thanks for
using < PLPP Name> on IRCTC”.

13.2 If any PLPP is interested in putting “Offers” text beside their payment option in
payment page PLPP should pay ₹20 lakhs plus applicable taxes per year. On

clicking the offer text, the link will be redirected to their offer site/app. This
scheme is separately applicable for IRCTC e-ticketing Website and Mobile App.

13.3 Extensive marketing of their products on media, newspapers, hoarding on


various places/cities, TV commercials etc. using IRCTC e-ticketing
Website/Mobile App screen shall be allowed subject to prior approval of
IRCTC in writing.

13.4 No advertisements are allowed when control transferred to PLPP and payment
page. If, any PLPP is interested in putting an advertisement on their payment
page then it is required to pay IRCTC ₹ 20 lakhs plus applicable taxes per year.

13.5 The above commercials are in addition to the revenue shared by PLPP as
Payment Maintenance Charges & Integration Charges/Security Deposit/other
applicable charges.

13.6 IRCTC’s logo should not be used in any form unless mutually agreed with
IRCTC.

14. Mode of Payment: All payments shall be made through online or Bank Demand
Draft to the allocated IRCTC’s bank, which will be shared with the PLPP, post
approval of the proposal.

15. Indemnity: PLPP may be hereby undertake and agree to indemnify, defend and hold
harmless IRCTC including their directors, officers and agents from and against all
actions proceedings claims, penalties, demands and cost (including without
limitation legal cost), awards, damages, losses, and/or expenses arising directly or
indirectly as a result of breach or non-performance of declaration or obligations
under this policy.

16. Intellectual Property: Except to the extent expressly stated otherwise, PLPP will
not acquire any right, title or interest in any Intellectual Property Rights belonging to
the IRCTC. “Intellectual Property Rights” means all copyrights, moral rights, patent
rights, trademarks, rights in or relating to Confidential Information and any other
intellectual property or similar rights (registered or unregistered) throughout the
world.

17. Confidentiality: The recipient of any Confidential Information will not disclose that
Confidential Information, except to employees, agents or professional advisors who
need to know it and who have agreed in writing (or in the case of professional

advisors are otherwise bound) to keep it confidential. The recipient will ensure that
those people and entities use Confidential Information only to exercise rights to fulfil
obligations under these terms, while using reasonable care to keep the Confidential
Information confidential. The recipient may also disclose Confidential Information
when required by law after giving reasonable notice to the discloser, of permitted by
law.

18. Non-Disclosure Agreement: The Recipient expressly undertakes to retain in


confidence and to require all of its employees, agents, contractors, consultants and
subcontractors to retain in confidence all information and know-how transmitted to
the Recipient by IRCTC that has been identified as being proprietary and/or
confidential, or that by the nature of the circumstances surrounding the disclosure
ought to be treated as proprietary and/or confidential. The Recipient shall make no
use of such information and know-how except under the terms and for the
Authorized Purpose only. Notwithstanding anything to the contrary herein, the
Recipient's confidentiality obligations set forth herein shall survive any termination
or expiration of the Authorized Purpose. In any case the recipient shall be solely
responsible for any misuse of such disclosed information to their employees, agents
etc. and IRCTC shall be free to seek such injunctive or other relief against Recipient
/or their employees, agents etc. jointly or severally as may be deemed proper by the
court of competent jurisdiction.

19. Termination: Violation of any of the terms and conditions of the policy at any point
of time, the name of IRCTC gets tarnished due to any issue on ‘Book Now Pay Later’
Payment Provider’s services, then, the services of PLPP shall be made offline and the
Security Deposit shall be forfeited.

20. Exit Clause: The PLPP which has provided the acquisition of ‘Book Now Pay Later’
Payment Service and IRCTC (either party), have an option to withdraw from the
scheme by serving Three (03) months’ notice. In that eventuality, the security
deposit will be refunded to the PLPP after recovery of pending dues, if any.
20.1 However, Integration Charges and Intermittent Charges shall not be
refunded being non-refundable charges as consumed with the integration.

20.2 Payment Maintenance Charges will not be returned to Pay Later Payment
Service Provider, being non-refundable.

21. Term and Renewal of Agreement: The Agreement entered between IRCTC and
Pay Later Payment Provider, under this policy, shall become effective from the date

of signing of the agreement or from the date of launch of service, whichever is
earlier.
21.1 The term of Agreement shall remain in effect for a period of five (5) years or as
determined by IRCTC in its own discretion, unless terminated as per the terms
of the agreement.

21.2 Pay Later Payment Provider shall request for the renewal of the Agreement
beyond the initial term by giving 30 (thirty) days advance written notice to
IRCTC of its intention to renew the Agreement. IRCTC shall consider the
extension request of Pay Later Payment Provider for a period of Five (5) years
or a period at its own discretion and may approve the extension subject to
satisfactory performance and no pending dues (Intermittent
Charges/PMC/Penalty, etc.) against Pay Later Payment Provider.

21.3 IRCTC Agreement should be mutually agreed and signed by the Pay Later
Payment Provider. This agreement may be terminated by IRCTC any time
giving two (2) months’ notice.

22. Novation/Assignment: Pay Later Payment Provider shall not assign any of its
rights or delegate any of its obligations under the Agreement or novate the
agreement without the written consent of IRCTC. Pay Later Payment Provider shall
also submit relevant and necessary information/documents to IRCTC along with
the written consent to support its reason for novation/assignment. Subject to
satisfaction of IRCTC and in its sole discretion in this regard, an amendment
agreement/novation agreement, as may be applicable, shall be entered into
between the Pay Later Payment Provider, IRCTC and new entity or the resultant
entity, as applicable. Any purported assignment or novation or delegation in
violation of this clause shall be null and void. No assignment or novation or
delegation relieves Pay Later Payment Provider of any of its obligations under this
Agreement.”

23. Change in Control/Constitution/Charter Documents: In the event there is any


Change in Control/Constitution of the Pay Later Payment Provider due to
amalgamation, merger, de-merger, takeover, court order, internal reorganization or
change in ownership/shareholding pattern etc. or change in charter documents of
the Pay Later Payment Provider in this regard, the Pay Later Payment Provider
shall promptly notify in writing to IRCTC and in no event later than 90 [Ninety]
days of such change taking effect, along with the supporting
documents/information, seeking continuation of the Agreement under this policy,
with respect to the said change. Failure to notify within the above time frame by

Pay Later Payment Provider, IRCTC shall have the right to terminate the
Agreement.
(Note: List of documents to be submitted by the Novated or COC Pay Later
Payment Provider shall be provided by IRCTC upon receipt of such intimation
from Pay Later Payment Provider)

24. The dispute if any, shall be resolved through arbitration by way of appointment of
sole arbitrator by CMD-IRCTC, as per Arbitration and conciliation Act, 1996.

25. Governing Law and Jurisdiction: The transaction under the policy shall be
governed by India Laws and the courts at Delhi shall have the exclusive jurisdiction
as regards any claim or matter arising out of the policy. IRCTC reserves the right to
amend the Policy at any stage without any notice as per guidelines issued by Govt.
of India from time to time.

Interested and willing Banks/Payment Providers/Financial Institutions may send their


proposals along with supporting documents on the PLPP’s letter head duly signed by the
