This sale-purchase agreement is made and entered into as of 30th March 2024, by and between:
Mr A and Mrs B respectively.
Mrs B residing at Silver Springs, 10 Linking Road, Bandra West, Mumbai, Maharashtra, India
WHEREAS, Seller is the lawful owner of the immovable property described in Schedule A
attached hereto the at.
WHEREAS, Buyer desires to purchase the Property from Seller, and Seller desires to sell the
Property to Buyer, on the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree
as follows:
1.1 Seller agrees to sell, and Buyer agrees to purchase, the Property, upon the terms and
conditions set forth in this Agreement.
2. Purchase Price
• 2 crores to be paid by Buyer to Seller upon execution of this Agreement (the "Earnest Money
Deposit").
• The remaining balance of 2 crores to be paid by Buyer to Seller at closing.
3. Closing
3.1 Closing shall take place on or before 30th March 2025 at Marine drive, Churchgate.
• A duly executed sale deed in favour of Buyer, conveying title to the Property free and clear of
all liens and encumbrances (except for those disclosed in writing by Seller prior to Closing).
• All title deeds and other documents relating to the Property.
3.3 At Closing, Buyer shall pay to Seller the remaining balance of the Purchase Price.
4. Risk of Loss
4.1 The risk of loss or damage to the Property shall pass from Seller to Buyer upon Closing.
• Seller has the full right, power, and authority to enter into this Agreement and to sell the
Property.
• The Property is free and clear of all liens and encumbrances (except for those disclosed in
writing by Seller prior to Closing).
• There are no outstanding taxes, assessments, or other charges levied against the Property.
5.2 Buyer represents and warrants that it has the full right, power, and authority to enter into this
Agreement and to purchase the Property.

6. Title Insurance
6.1 Buyer shall be entitled to obtain a title insurance policy for the Property at its own cost and
expense.
7. Default
7.1 If either party fails to perform its obligations under this Agreement, the other party may
terminate this Agreement and pursue any other remedies available to it at law or in equity.
8. Entire Agreement
8.1 This Agreement constitutes the entire agreement between the parties with respect to the
subject matter hereof and supersedes all prior or contemporaneous communications,
representations, or agreements, whether oral or written.
9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of India.
10. Severability
10.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall
be struck and the remaining provisions shall remain in full force and e ect.
11. Notices
11.1 All notices and other communications hereunder shall be in writing and shall be deemed to
have been duly given when delivered personally, sent by certi ed or registered mail, postage
prepaid, return receipt requested, or sent by overnight courier, addressed as follows:

12. Counterparts
12.1 This Agreement may be executed in counterparts, each of which shall be deemed an
original, but all of which together shall constitute one and the same instrument.
