The share capital of your Company stood unchanged during the financial year.

DIRECTORS

There were no changes in the Board of Directors and the company has no key managerial
personnel.

DISCLOSURES
In accordance with Companies (Accounts) Rules 2014, the following additional disclosures are
made

1.The company has no subsidiaries, joint ventures or associates;

2.the company has not accepted any deposits;

3. no orders were passed by the regulators or courts or tribunals impacting the going concern
status and company’s operations in future;

4. the company has adequate internal financial controls with reference to financial statements,
commensurate with its size and operations.

STATUTORY AUDITORS

The current Statutory Auditors, RPSV & Co, Chartered Accountants, Chennai, were appointed
under section 139 (1) of the Company’s Act 2013, as the Statutory Auditor of the company till
the conclusion of the ensuing Annual General Meeting of the company.

The Company has received a certificate from the above Auditors to the effect that if their
reappointment by the shareholders in the ensuing Annual General Meeting of the Company, their
appointment would be in accordance with the provisions of Section 141 of the Companies Act,
2013.

AUDITORS’ REPORT

There was no qualifications, reservations or adverse remarks made by the Auditors in their
report.

SECRETARIAL AUDIT

The provisions under Section 204 of the Companies Act, 2013 read with Companies
(Appointment and Remuneration of Managerial Personnel) Rules, 2014, relating to submission
of Secretarial Audit Report in not applicable to the Company.

EXTRACT OF THE ANNUAL RETURN

The extracts of Annual Return pursuant to the provisions of Section 92 read with Rule 12 of the
Companies (Management and administration) Rules, 2014 is furnished in Annexure A and is
attached to this Report.

CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION AND FOREIGN


EXCHANGE EARNINGS AND OUTGO.
There are no particulars to be furnished in this report as required by Sec.134 (3) (m) of
Companies Act, 2013.

CORPORATE SOCIAL RESPONSIBILITY (CSR)

The provisions of CSR are not applicable to the company.

LOANS, GUARANTEES, INVESTMENTS

The Company has not given any loans or guarantees or made investment in securities.

CONTRACTS WITH RELATED PARTIES:

All contracts/arrangements/transactions entered by the company during the financial year with
related parties were in the ordinary course of business and were on arm’s length basis.

Your directors draw attention of the members to the relevant note to the Financial Statements
which sets out related party disclosures.

NUMBER OF MEETINGS OF THE BOARD OF DIRECTORS

The Company had 6 Board meetings during the financial year under review on 01-05-2014, 02-
06-2014, 22-07-2014, 02-09-2014, 02-12-2014 and 25-03-2015

DIRECTORS’ RESPONSIBILITY STATEMENT

The Directors’ Responsibility Statement referred to in clause (c) of sub-section (3) of Section
134 of the Companies Act, 2013, shall state that—

a. in the preparation of the annual accounts, the applicable accounting standards had been
followed along with proper explanation relating to material departures;

b. the directors had selected such accounting policies and applied them consistently and
made judgments and estimates that are reasonable and prudent so as to give a true and
fair view of the state of affairs of the company at the end of the financial year and of the
profit and loss of the company for that period;

c. the directors had taken proper and sufficient care for the maintenance of adequate
accounting records in accordance with the provisions of this Act for safeguarding the
assets of the company and for preventing and detecting fraud and other irregularities;

d. the directors had prepared the annual accounts on a going concern basis; and

e. the directors had devised proper systems to ensure compliance with the provisions of all
applicable laws and that such systems were adequate and operating effectively.
