SALES CONTRACT

This contract is made effective as of 1st April 2024 by and between:

The Seller agrees to sell and the Buyer agrees to buy the following good under the terms and conditions hereunder:

The quality of durian is committed as approved sample and quality specification.

Article 2: PAYMENT

Payment by L/C at sight, irrevocable in favor of the Seller for 100% of invoice value. Bank charge inside Vietnam must be bared by the Seller. Bank charge outside Vietnam must be
bared by the Buyer.
L/C must be issued within 4 days since the seller confirm the LC draft. L/C draft must be sent to the Seller for checking within 2 days from the date of signing the contract by both parties.
Costs incurred in the Vietnamese territory is bared by the Seller. Costs incurred in the Buyer's territory is bared by the Buyer.

L/C draft must be approved by the seller

LC draft must be sent before 3rd April 2024, and Original LC must be issued and sent for Seller's Bank in 4th April 2024 as latest

If there is no original LC, the seller reserves rights to delay shipment or cancel the contract accordingly.

Total Quantity and Total Amount +/-10% are acceptable.

L/C expiry date: with 1 month from shipment date.

1. Signed Sales Contract in triplicate
2. Bill of Lading made out to the order of bank name marked freight collect and notify the applicant
3. Packing list issue by seller in triplicate.

Third party documents are acceptable
Misspelling and typographical will not be considered as documents discrepancies.
L/C negotiations within the L/C validity date.

1. Time of shipment will be on below if everything is confirm latest on 14th April 2024

Within +-10 days since time of shipment, the buyer has to ship or at least has space/booking. If later, the buyer has to pay 100% contract value or accept the available
spaces/booking offered by the seller

If the Seller fails to supply goods on time due to force majeure (including but not limited to storm, earthquake, tsunami, frequent interruption of electricity) or other objective reasons, the
Seller is free of charges for the delay. The Buyer will agree to a new schedule for the shipment. The Seller will inform the Buyer of new schedule for the shipment as soon as possible.

2. Gate of shipping: Huu Nghi International Border Gate, Vietnam

3. Gate of destination: Huu Nghi Quan International Border Gate, China
4. Transhipment: allowed
5. Consignee: The Buyer
6. Partial Shipment : Allowed

Article 5: COMMON TERMS:

1. Neither party is responsible and/or liable for other due to force majeure.
2. The ownership will be passed from the seller to the buyer after the the seller receives total payment for the shipment.
3. This contract is governed by the provisions of the UN Convention on Contracts for the International Sale of Goods.

In case of any disputes between the parties and the parties cannot reach an amicable settlement, the dispute will be transferred to Vietnam International Arbitration Center (VIAC) for final

4. This contract is subject to INCOTERMS 2020, the signed contracts sent by fax, email have the same value as original. In case of any discrepancies between the contract and the
above terms, both parties will mutually reconcile at time of signing the contract or amend by annex/es which is/ are integral part/s of the main contract.
5. If the buyer cancels the order, the buyer has to pay all cost of preparation. If the buyer refuses to take goods at the port, the buyer will have to pay 100% total contract value or 100%
actual value of goods loaded into the container at the port.
The buyer is allowed claim on quality of products within 1 week from ETA.

6. This contract shall prevail against the agreement on general terms have been entered into by the parties.
7. In case there is claim and compensation, the compensation amount will not exceed the contract value
8. This contract, with the signatures of both parties hereunder shall become legal obligations, valid and binding on and enforceable against the Seller and Buyer
