TERMS AND CONDITIONS OF PURCHASE
1. DEFINITIONS
(1) The goods shall include services.
2. ACCEPTANCE
(1) This order may be accepted in writing or by delivery of the goods. Acceptance includes acceptance of these conditions.
(2) Variations will be invalid unless written confirmation to this effect is obtained from us. Terms arising from any previous course of business between us will form no part
of the contract unless specifically agreed in writing.
3. QUALITY
Goods shall (1) Confirm to specification samples or descriptions given by us.
(2) When indicated shall be suitable for intended purpose, and
(3) Be of merchantable quality.
4. TESTING AND CONTROL PROCEDURES
(1) Any quality and specification control procedures necessary to comply with the contract shall be carried out by you.
(2) You will give us details of such procedures and written notice of any changes of procedure, material specification or manufacturing process and will not make such
changes until you satisfy us that any such changes will not affect the use and performance of the product.
(3) We shall be entitled and given reasonable access to inspect and/or test goods during manufacture but no such testing shall imply acceptance of goods.
5. DELIVERY
(1) Goods must be delivery in the quantities and at the time stated in the accordance with our instructions.
(2) We reserve the right to adjust the specified rate of delivery at any time.
(3) We may give notice of cancellation of the contract if you fail to deliver the goods by the specified dates without any liability other than to pay for goods already accepted.
(4) All goods must be delivered, carriage paid at your risk, to such locations as we may direct.
(5) When you fail to meet delivery dates we reserve the right to impose alternative delivery arrangements and to claim an allowance equal to any extra carriage charge.
6. ADVICE NOTES AND INVOICES
(1) All goods shall be accompanied by a detailed advice note stating the purchase order number, and identification particulars of the goods supplied.
(2) An invoice stating the purchase order number, the advice note number and the location at which the goods were delivered must be sent within three days after the
goods. We decline responsibility for goods sent without an invoice and/or advice note.
(3) Supplier will provide any order shipping documents in respect of goods as required under applicable Saudi regulations.
7. PACKING
You will carefully pack the goods in a manner which will adequately protect them from damage or deterioration during transit, and which is suitable for the method of transport
adopted. Packages must be marked with order number, code number and sufficient details to identify the goods and country of origin.
8. OWNERSHIP AND CONFIDENTIALITY OF SPECIFICATION
Specification and other such documents shall remain our property. They shall be treated as a confidential by you. For purpose of disclosure you must obtain our prior written
consent.
9. INDEMNITY
(1) You will indemnify us against any loss, damage or injury sustained by us which results from your failure to comply with the terms of this contract.
(2) You will at all times insure and keep yourself insured with a reputable company against your liabilities.
(3) You will provide all assistance required by us or our insurers for the purpose of dealing with any action claim or matter arising out of your performance of the contract.
10. PRICE
No variations in price will be accepted without prior agreement.
11. ASSIGNMENT
No part of this contract is to be assigned or subject without written authority.
12. WAIVER
No extension of time or other concessions granted by us shall any way affect our rights or your obligations under this contract.
13. RESPONSIBILITIES FOR YOUR EMPLOYEES
You will be fully responsible for your employees in their use of our equipments. When on our premises you will comply with fire and safety regulations which you will be presumed
to know as details of them will be supplied on request.
14. OWNERSHIP
Property in the goods shall pass to us on our acceptance of them after inspection which we may
require.
15. RIGHTS OF BREACH
Your failure to comply with terms of this contract will entitle us either to.
(1) Rescind the contract, or
(2) Return goods at your expense. We shall be entitled to be repaid in full including port duties and clearance charges for any goods so returned ,or
(3) Require you at your expense, repair or reinstate the goods so that they comply with the terms of the contract, or
(4) Carry out at your own expense such work as may be necessary to make the goods comply with the terms of the contract, or
(5) Claim such damage as we may have sustained in consequence of any breach of contract
These rights shall be in addition to any other rights we may have.
16. UNFORESEEN CIRCUMSTANCES
In the event of strikes, accidents etc, causing stoppage or delay in our production shall be entitled to cancel, extend, suspend, or vary any terms of the contract, and to pay only for
goods actually supplied.
17. RIGHTS OF TERMINATION
We have the rights to terminate our liabilities under the contract at any time by giving one month#s notice in writing to you. If this causes hardship to you, you will be entitled to
refer the circumstances to us and in certain cases we will make an allowance.
18. LAW
(1) All goods shall conform to any relevant requirements of any statue or other instrument of law and in particular all goods shall be property guarded so as to comply with
