Respected Madam/Sir,

With reference to your above enquiry/message, submitted herewith our firm offer as per
details indicated below:

SCOPE OF WORK & PRICE

The Scope of Work and Price is detailed out in Annexure(s).

1) PRICES:
i. The total price of items as per enclosed Annexure is INR 10,51,250.00/- (
Rupees Ten Lakhs Fifty One Thousand Two Hundred Fifty only) (excluding all
taxes).
ii. The above price is excluding all taxes & levies which shall be payable extra
at actuals as applicable at the time of actual work done against original tax
invoice only. In case of any change in tax regime enforced by Central/State
Government in future, all applicable taxes & levies would be paid by the
Customer at the time of actuals work done even if there be any delay beyond
the stipulated completion period.
iii. The price quoted is exclusively for the scope of work mentioned in this offer
and if any extra work is required to be carried out during the course of work
at site, the same will be at extra time and price to be mutually settled.
iv. Above price does not cover any materials/spares/consumables. The charge for
same shall be extra and will be borne by Customer.
v. BHEL claims only reimbursement of actual taxes & levies payable to the
respective Government authorities under the existing laws. The prices quoted
are after taking into account the ITC benefits and are and are subject to all
other Statutory Obligations..
vi. GSTN No(s) of concerned BHEL Unit(s) along with the HSN codes are mentioned
in price annexure(s).

 2) TERMS OF PAYMENTS:
i. Advance: 20 %
Of PO value is to be paid as interest free advance along with PO.
BHEL is not liable for payment of interest charges on the advance amount paid
by the purchaser during the execution of the contract, even if there be any
delay beyond the stipulated delivery schedule.
ii. Final: 80 %
Immediately after completion of work and submission of invoice..
3) COMPLETION PERIOD:
The completion period for the entire work shall be 3 days
months from the date of
commencement of work at site subject to Force Majeure and other commercial
implications.

4) PERFORMANCE BANK GUARANTEE / SECURITY DEPOSIT / CONTRACT SECURITY:

Since, BHEL is a Government of India Undertaking and job being of Service nature, this
clause is not acceptable, as such this clause may not be mentioned in the Work Order.

5) PENALTY / LIQUIDATED DAMAGES:

Since BHEL is a Government of India Undertaking, this clause is not acceptable to us,
as such this clause may not be mentioned in the Work Order. However, BHEL will put all
out efforts to complete the job in stipulated period subject to availability of
spares, tools and other basic inputs in time from customer.

6) PRICE VALIDITY:
Our offer is kept valid for placement of order up to 24.09.2023 unless withdrawn.

7) EXTRA COST:
In the event of the suspension of the work by your instructions, the contract price
shall have to be re-negotiated to cover any expenses which might be incurred by BHEL
at the point of termination of contract.

8) STATUTORY OBLIGATION:
In the event of any enactment of law or statutes which lead to increase in the cost of
manufacturing or cost of contract performance during the execution of the contract,
the same shall have to be borne by the purchaser and contract price may have to be
accordingly modified.

9) FORCE MAJEURE:
BHEL shall not be in default or shall be liable for any loss or damage due to delay in
or failure to perform its obligations under the contract if such delay or failure
results directly from Force Majeure.
i. Natural Force Majeure Events: Act of God, including lightening, drought, fire
and explosion, earthquake, landslide, flood, cyclone, etc.

 ii. Un/Non-Natural Force Majeure Events: Act of war, invasion, arrived conflict
or act of foreign enemy, blockade, embargo, riot, insurrections, terrorist or
military action, strikes & labour disturbances, quarantine restrictions, act
of restraints of Governments, State, Central or Municipal Corporation, in-
ability to obtain raw material, default by suppliers.

10) ARBITRATION:
In the event of any question or dispute arising under these conditions or any special
conditions of contract or in connection with this contract, the same shall be referred
to the award of committee consisting of an arbitrator to be nominated by the Purchaser
and an arbitrator to be nominated by BHEL, and in case of the said arbitrators not
agreeing, then to the award of an Umpire to be appointed by the said arbitrators in
writing before proceeding on the reference, and the decision of the arbitrators or in
the event of their not agreeing, of the Umpire appointed by them, shall be final and
conclusive and the provisions of the Indian Arbitration Act. 1996 or any revision
thereof and of the Rule there under and any statutory modification thereof shall be
deemed to apply to and be incorporated in this contract.
Upon every and any such reference, the assessment of the cost of, and incidental to,
the reference and award respectively shall be at the discretion of the committee of
arbitrators, or in the event of their not agreeing, of the Umpire appointed by them.
Work under the contract shall, if reasonably possible, continue during the arbitration
proceedings, and payment due or payable by the Purchaser shall not be withheld on
account of such proceedings.

11) LEGAL CONSTRUCTION:

The contract shall in all respect be construed and operate as an Indian Contract in
conformity with Indian Law.

12) WE CERTIFY THAT:

i. The rate quoted by us is lowest/ reasonable and same as charged from other
utility customer including Government/ Semi Government organization.
ii. We don’t indulge in engagement of commission agents or liaison agents for
dealing with the Customers.

13) DISCLAIMER:
i. Please note that procurement of BHEL Proprietary items as per BHEL drawing or
with its tracing is objectionable and illegal and shall be considered as part
of IPR violation / infringement.
ii. We might have taken some deviations from the enquiry terms and conditions.
Customer is requested to take a note of these, while placing the
Purchase/Work Order.
iii. Customer is requested to clearly indicate in the Purchase Order, the
statutory & regulatory requirements that govern the items quoted against
their enquiry.
iv. We hope you will find our offer technically suitable and commercially
attractive and look forward to the receipt of your valued Purchase Order at
the earliest.

 v. We would be too pleased to furnish clarifications, if any on this offer, on
hearing from your end.
vi. Unilateral cancellation of PO is not acceptable to BHEL.
vii. Order should be in line with our offer. Deviation in terms & condition from
our offer will not be acceptable.
viii. Interest@1% over & above the ruling bank rate shall be charged on all overdue
payments in accordance with the Terms of Payment of our offer.

General Terms and Conditions:

1. Customer shall provide Lodging and boarding free of cost to the service engineer on single occupancy
basis.
2. Customer shall arrange the local Transportation (To & Fro transportation from nearby Airport, To & Fro
transportation from Guest house/Place of Stay to site) for the BHEL Service engineer free of cost.
3. Price quoted for Mobilization/Demobilization charges per person per deputation is inclusive of journey
days charges and journey expenses (i.e. Travel fare and local transport at Hyderabad)
4. GST @ 18% applicable will be charged extra on the invoice value. Any revision in existing tax if introduced
by the government shall also be borne by purchaser. GST @18% will be applicable extra on full value on
all reimbursement.
5. If any vendor Services are required for the addressed job, customer has to arrange the vendor according
to their terms and conditions at customer’s cost.

8. Validity: This offer is valid for 30 days from today post this the rate and offer validity will be expired.
9. Quoted Rates for execution are valid till 31.03.2024
10. Terms of payment:
a. Payment shall be made within 15 days on presentation of the Invoice. Payments shall be
made via EFT.
b. BHEL Invoice No. should be customarily mentioned in all correspondence related to Payment
particulars, bank transaction details, TDS certificate etc., which are to be addressed to the
undersigned on release of payment.
c. This being Services contract and considering the nature and duration of the job to be carried
out on site, No EMD/SD/BG/contract agreement is applicable for this contract. Any such
clauses mentioned in GCC/SCC or Customer company policies will be invalid.
d. TDS certificate shall be sent to trailing address, in case, if customer fail to submit the Original
TDS Forms with in specified time as per the Tax rules, the amount deducted towards TDS will
be treated as outstanding payment against customer. (as applicable)
11. The customer shall give minimum advance notice of 30 days for the deputation.
12. M/s BHEL will take utmost care while supervising the job. However, we will not give any guarantee /
warranty and consequential damages to the equipment and performance.
13. M/s BHEL shall extend all the help to carry out the work as per the plan, but this being a supervisory
project, the completion period will be sole responsibility of customer (depends on the number and
expertise of the manpower deployed for the job, and also on availability of tools, tackles and
consumables). M/s BHEL shall not be liable for any delay in executing the work.
14. The final GST invoice will be released as per the timesheet signed by the customer representative and in
par with this offer terms and conditions. If the invoice amount is exceeding the approved Ceiling amount
in the PO, customer has to take necessary approval and release the payment within 14 days of the date of
receipt of the invoice.
15. FORCE MAJEURE: M/s BHEL shall not be liable for delay in travel of our personnel or damage to property
at site during servicing/inspection due to the reasons beyond our control, such as strikes, riots, political
unrest, accidents and any other acts of God.
16. ESI is not applicable as BHEL service engineers are covered under M/s BHEL Company Medical rules.
17. Free Medical facilities have to be provided by customer to M/s Service engineer during emergency.
18. Quarantine period at site will be chargeable as per Perdiem rate (if Required)
19. Accommodation during quarantine period shall be arranged by customer free of cost (if Required)
20. Covid-19 test charge shall be reimbursed at actuals if test is done at BHEL Hyderabad
21. Covid-19 Testing shall be arranged by customer free of cost at site (if required).
22. Quarantine facility/PPEs/ Sanitizers etc shall be arranged by customer free of cost
23. The personnel deputed for services are employees of BHEL and they are covered under the PF rules. BHEL
is an exempted trust and PF account is maintained by the Company against the staff number of the

 employee. All statutory requirements as applicable to a Govt. of India PSU are compiled by BHEL and no
separate certificate with regard to PF contribution of the personnel deputed will be provided.
24. All the necessary documents required for the payment shall be intimated via email while placing the PO,
BHEL shall not entertain the request for the submission of other documents in the later stage of the
contract, or during the invoice processing.
25. Our service offer is subject to above terms and conditions only. The terms and conditions, special
conditions, etc., as per your tender / enquiry are not acceptable. The omission of any clauses in this offer
will not be valid unless confirmed/approved by BHEL
26. This is an exclusive and independent service contract and under circumstances, the payment due to this
company against this order not to be adjusted or linked up with any other contract between company
and customer.
27. BHEL could include skilled engineer from subcontracted firms during assembling, start-up of equipment.
28. BHEL Reserve rights to depute two or more experts as per the site requirement.
29. BHEL reserve right to deny services if any work or modification is carried out by third party.
30. BHEL reserve right to deny services if any Non- BHEL spares are being used for work
31. BHEL reserve the right to deny the service of obsolete system/component.
32. CUSTOMER RESPONSIBILITY
a. Take necessary precautions, at all times, for the safety of BHEL's technical Advisors at site
b. Customer will render all assistance to BHEL's personnel at site.
c. Designated representative (s) to co-ordinate activities between BHEL and Customer. Customer's
representative will have immediate access to customer's ware housing and workshop facilities.
Major or minor machining on the new spares/ parts may be required to match with the existing
part and customer will provide necessary facilities for the machining.
d. All drawings and specifications, technical information and equipment manuals originally supplied
are to be provided to perform the work scope.
e. Required skilled and unskilled work force along with requisite tools and tackles/test equipment /
instructions to carry out the job. Operators and supervisors for the shut down and startup
operations.
f. Site security, viz the act of safeguarding against sabotage, arson, or any disruptive or criminal act.
g. All spares and consumables, insulation materials, bolts, nuts, gaskets, steel plates, lubricants etc,
h. Ensuring all the spares are sourced from M/s BHEL. BHEL Reserves rights to reject the PO/services
if the spares are not sourced from M/s BHEL.
i. All lifting devices / Cranes with operators, all instruments, test equipment required and tools and
facilities for calibration and testing of instruments
j. Climate-controlled office at the site, executive canteen facility, drinking water shall be provided to
BHEL engineers as minimum requirement.
k. Machine Shut down is required for off line checks.
l. Omicron secondary injection kit & Multi meter etc.
