Dear Manmohan Ahirwar,

This is reference to discussion we had with you on above requirements we have pleasure in offering you the position on Fixed Term
Contract for a period of ONE YEAR on following terms & conditions as under:

This Employment contract will automatically stand terminated in case you do not join on due date except in the cases you have
valid/justified approval on extension of your date of joining. Details of your emolument’s shall be as follows:
Extension for further period in above contract shall be is subject to business conditions & through written extension contract only.

Your Total Annual Target Compensation is Rs. 372,900- (Rs. only)

Please note: Your net take home salary will be (Fixed salary – PF & ESIC employee contribution)

Your service is deployed at our customer’s location on assisting in management of day-to-day operation & maintenance of
telecommunication network elements that is spread over to multiple location in your assigned zone or cluster. Considering the aforesaid
peculiar nature of your works in above industry & in the context of your deployment of service in the filed area’s you shall be eligible to
receive above Filed Allowance.

In view of above please note that in contemplation of your deployment at our customer’s locations under specified service conditions
on nature of works for applicable telecom industry the above Field Allowance shall not form part basic salary & will not attract PF & FPF
contribution.

In addition to above kindly be informed that all taxes as applies if any will be deducted as per Income Tax law. The terms &
conditions of your fixed term contract are attached herewith for your information & record. You are advised to forward your
acceptance in case the acceptance is not forwarded within 72 hrs of the offer the organization reserves the rights to withdraw
the offer.

TERMS & CONDITIONS OF FIXED TERM EMPLOYMENT

1. These fixed term employment contracts of service are made with you as per following terms & conditions of employment:

2. The organization is in the business of supporting day to day telecommunication O&M project for their customer. In this respect
continuity of your contract & role/position is subject to functioning of customer’s department/function as per market conditions
and availability of assigned tasks or your failure to perform assigned tasks/works as delegated. In the event of any such un-
viable business conditions your contract shall be foreclosed/auto termination in lieu of payment of applicable notice pay without
any further dues.

3. This agreed contract of assignment constitutes a fixed term contract of service with you as a temporary staff and shall be
governed by each assignment undertaken by the temporary staff. In accordance your fixed term contract of service you are
expected to complete the assigned tasks based on operational project requirements that could be foreclosed in the event of
business conditions.

4. The agreed emolument shall be paid to you on monthly basis in arrears subject to deductions for the purpose of provident
fund & any other statutory deductions which may be bound by any laws or regulation to make. In addition, the organization
shall be entitled at any time to make deductions from your remuneration in respect of sums due from you to the organization
in relation to any overpayment of any kind or any other debt.

5. It is clarified that being fixed term employment and that of job being temporary in nature you would not be entitled for any wage
or leave during the period wherein you have not taken any assignments.

6. Upon acceptance of allocated assignment, at the customer’s location you are expected to perform the followings:

a) That, you shall be abide of the agreed service level agreement of delegated assigned position/role while at
deployment at customer’s locations thus you shall accept the instruction & information’s related to your assignments
from any responsible person in the customer’s organization as to the services to be performed during an assignment.
b) That, you shall follow all rules / regulations and safety instruction & guidelines of the customer’s establishment to
which attention has been drawn or which your contract of service might reasonably be expected to ascertain.
c) That, unless arrangement is made to the contrary, confirm to the normal hours of work currently in force at customer’s
establishment or such other hours as the customer may require.
d) That, you shall not engage in any conduct detrimental to the interest of customer or the organization (Essjay Ericsson
Pvt Ltd) take all reasonable steps to safeguard your own safety and safety of any other person who may be present
or affected by his actions on the assignments & comply with the health safety policies & agreed SLAs of the customer
& organization. Your failure on non-fulfilment of the above conditions will result into automatic termination of your
contract of employment.
e) That, in the event of the place of assignment or for any reasons whatsoever the organization reserves the rights to
depute/transfer your services to any other suitable location for undertaking the assignment and in such case, no
additional remuneration or extra payment other than the remuneration payable as per the fixed terms contract of
service will be entitled in case of change of place of positing at new location.
f) That, to compute your monthly remuneration and applicable reimbursement on time you shall be responsible to
submit applicable time sheet and reimbursement claims on due date regarding your allocated assignments.
g) That, in accordance with the nature of project works, term & conditions of your employments contract you will never
refuse to work at tower height task/works such denial on your part will constitute as misconduct in such
circumstances you shall be marked as absent & will not be entitled for any emolument any further repetition of such
misconduct will make liable for foreclosure of your employment contract.
h) Misconducts on your part involving damage to the company's assets or it's illegal retention, acts of financial
irregularities, bringing disrepute to the company's public image & trust etc. such wilful or act on account of gross
negligence will justify the organization to recover such financial losses from your full & final settlement & other dues
in addition to termination/foreclosure of this employment contract
7. The organization may without notice & without liability or for any reason whatsoever terminate the assignment/ fixed term
contract at any time with applicable notice pay and you shall have no claim whatsoever against the organization or the
customer. Apart from receiving the remuneration of services rendered till the date of termination either in writing or verbal
communication and you shall not be entitled to make any claim for any other compensation against the organization or
customer.

8. Please be informed that the organization is in the operation of handling telecommunication managed service operation
execution of project deployment for upgradation & operation of telecom equipment’s & upgradations of network elements as
per technological requirements. Nature of works / assignments / tasks demands day to day management of telecommunication
network / equipment & up-gradation of electronics under project deployment in accordance with customer’s requirements &
necessities under definite Operations and Maintenance targets/specifications & projects. In consideration of the aforesaid
nature of business requirements, & necessities please note continuity of your employment shall be subject to reviewed status
of Managed Services Operations/ Project activities and tasks. Accordingly, the continuity of your roles/position & overall
manpower shall be subject to status of Managed Services Operations, Project requirements and deployments as per overall
customer’s demands & emergencies of business conditions under respective zone/location of the circle/state.

9. At any rate the liability of organization in the event of further threat or claim and or by court action by dissatisfaction at your
end making any claim otherwise shall on no account exceed one month / net remuneration last paid to you which will be
solely payable at the discretion of the organization.

10. You shall keep confidential and will not at any time divulge to any person, nor use for your own or third party’s benefit, any
information of whatso ever nature including but not limited to employment, business affairs, transaction, or finances in relation
to organization or the customer.

11. You shall be following all the policies, process, norms, guidelines on applicable code of business ethics of the organization or
the customer as applicable any defiance on your part will lead to auto termination of your contract of employment.

12. This contract of employment can be terminated by giving fifteen days’ notice or pay salary in lieu of the notice period on both
sides. However, in the event of notice given at your end its acceptance shall be subject to handover of charges including
company assets.

13. Any continuous un-authorized absence for more than 10 days & your failure to communicate with the management on such
absence from duties will be construed as you have voluntary abandoned the contract in such circumstance your contract shall
stand automatically terminated on such un-authorize absence from duties through your own accord without notice.

14. In the event of separation of your contract you shall hand over all documents, details, related official information’s assets etc.
on and before date of your release. You date of release is subject to handover of all charges of the assignment and getting
clearance from the authorities.

15. For any service of notice or communication of whatsoever kind, you will be informed by courier or ordinary post at the address
given by you at the time of your employment. In case of any change in your address, personal email id’s, etc. you shall be
responsible to update the organization in writing to this effect within one week of such change and get new address updated
in your personal record. In the event of your failure to inform changes on above aspect all such communication, notice, letters,
personal e-mail etc. forwarded at your last recorded address or on personal email id will be deemed to be serve upon you.

16. This offer of employment is subject to:

a) Submission of all records, documents, certificates & information on your education, experience, age, family details
etc.
b) Submission of release letter & clearance of dues from your previous employment.
c) Clearance of applicable medical examination related to your offer of employment. However, the organization reserve
right to get yourself examined by doctor appointed by them in this behalf at any point of time during your contract of
employment.
d) This contract of appointment shall be subject to your being found and certified physically and mentally fit. Further
you are required to maintain yourself in a state of medical fitness (physical & mental). In case at any point of time
you are found medically unfit during your services, the company will be justified for termination of employment without
any notice or payment in lieu thereof.
e) The organization will have right for satisfactory verification of your character & antecedents from competent authority
during employment at any point of time in case you are found involved in any act which in the opinion of the company
is detrimental to the interest of their business interest, conduct, or improper background/antecedent the management
shall be at liberty to dispense with your services immediately and without any notice or compensation.
17. In the event of discovery of any fraud, misstatement, act leading to loss of confidence, misconduct, incorrect or mis information
or suppression of any details/material fact on any account leading to the mistaken offer of fixed term contract of service having
made or acted upon by the organization your contract of employment shall automatically stand terminated with or without
reference. The organization shall have right to recover the loss/damage incurred to the organization or to the customer on this
behalf.

18. You shall be entitled for 30 leave during the entire years for all kinds you shall not be governed or claim leave rules of
customer’s location. You shall be covered under applicable Group Mediclaim/ Accident policy for self. The limit of your
coverage under the above Group Insurance is mentioned as under.

a) Group Personal Accident Insurance (GPAI)


The Company covers all employees under a 24-hour GPAI (Group Personal Accident Insurance) policy against any
temporary/permanent disability or in the unfortunate event of death due to an accident of any nature at any place.
The Company pays for this insurance and the computation of personal accident coverage would be 36 times of
Monthly (Basic +HRA +100% of CA) or Minimum of 10 Lacs (or whichever is higher).

b) HOSPITALISATION INSURANCE
Essjay Ericsson has bought an insurance policy to cover an employee for expenses incurred due to hospitalization.
The policy provides a Coverage of 2 Lacs. This is governed by the terms of Insurance policy with M/s. National
Insurance Company Ltd.

19. This contract of agreement for employment shall be governed by & construed in accordance with the laws of India and the
relevant state government applicable rules if any.

I CONFIRM THAT I HAVE CAREFULLY READ THROUGH AND UNDERSTOOD ALL THE ABOVE TERMS AND
CONDITIONS OF ENGAGEMENT HEREIN AND I UNDERTAKE TO ABIDE BY THE SAID TERMS AND
CONDITIONS.

Annexure – 1B:

REIMBURSEMENT GUIDELINES

Summary of some benefits & entitlements, which are subject to change as per applicable laws and management discretion. In case of
any clarification please contact Human Resources.

New Joining/Onboarding:

• Accommodation up to a maximum of 14 DAYS one way travel ticket, i.e. by Train(3rd AC)/Bus. (Accommodation entitlement
INR 1000 per day)

 Note: for new joining DA and own arrangement is not applicable but only accommodation/ hotel bills within eligibility
criteria

Mobile Claim:

• Mobile phone will be reimbursed up to INR500/-. The same will be added to monthly salary as Mobile Allowance. No exceptions
will be allowed on the same.

Local Conveyance:

• Local conveyance with motorcycle/ scooter will be reimbursed at 4.50 INR /KM.

 Note: Auto/taxi expense needs to be approved by their circle head and unit head with clarification for both Local conveyance
and Travel expense.

Business Travel (TA & DA):

• TA & DA is mentioned as under: -


• Travel by Bus / Train 3rd AC will be reimbursed as per actual.
• At the time of travel for business trip employees are eligible for Hotel and DA.

Own
Position Accommodation with Bill DA without bill arrangement

Note: In case of own arrangement INR 500/- per day will only be payable, which will be inclusive of DA.

Advance:

• Advance for the business travel up to 10000/- to be issued based on the Manager and Circle Head approval. Travel Advance
to be settled with in one month and no advance will be issued till first one is claimed by the employee, or the claim is submitted
for the same. – The advance needs to be settled within one month time from the payment date. If the advance did not get
settled in 2month from the date of payout, the same can be settled from employee’s salary.

 Note: All Business travel accommodation expenses will be paid on submission of the supporting documents.

Beyond Policy:

• If employee claims for tools purchase/photocopy/courier charges/toll tax etc than it needs to be approved by his circle head
and unit head with clarification.

 Note: Courier charges will be paid only if the employee sends the claim to back office, any other courier charges will be
rejected

No expense claim will be accepted without supporting. The approval can be taken over email. Once the claim approved, the
employee sends the reimbursement claim form with supporting to back office address:
