Subject: - Offer of Employment

Dear Pudhati Mahesh,

On behalf of Guardians Security & Facilities Pvt. Ltd. I am pleased to confirm our offer of employment to you
as a Field Officer based in Hyderabad. Your will be responsible for Business growth and Operations for
Hyderabad. We extend this offer, and the opportunity it represents, with great confidence in your abilities. You
have made a very favorable impression with everyone you met and we are excited with the prospect of you joining
our organization on July 19, 2023.

Your immediate supervisor will communicate details of your role and work responsibilities in the initial weeks of
your joining the Employer. As part of your annual compensation, you will be paid an Annual Gross Salary of INR
3,80,676/-. The actual paid amount could vary depending upon the business and individual performance each
fiscal year and, in some situations, could exceed the payout range indicated. Any amounts paid will be subject to
statutory and other deductions as per Employer policies and practices. The details of your compensation
breakdown are provided in the attached Annexure A.

Your employment with us will be governed by the Terms and Conditions as detailed in Annexure B, as well as
any and all rules, regulations, guidelines, policies and practices of the Employer, which may be amended from
time to time. Your compensation details are confidential and you may discuss it only with the undersigned in case
of any clarification. It is our hope that your acceptance of our offer will be just the beginning of a mutually
beneficial relationship with our organization. We would like you to join the Employer on July 19, 2023, or an
alternative mutually agreed upon date.

This offer letter, together with the Annexures described herein, and the Non-Disclosure, Non-Solicit and
Intellectual Property Rights Assignment Agreement, the Information Security Policy (which you are required to
sign upon joining), constitute the entire agreement between the parties with respect to the subject matter of this
offer, and supersedes all other previous or contemporaneous oral or written representations, understandings or
agreements relating to the subject matter of this offer between you and the Employer or its affiliates.
This letter and Guardians Security & Facilities Pvt. Ltd. employment application are intended to be final. To
accept the offer and the terms of this letter, please sign below in the space provided within three business days.

• Your compensation above is subject to income tax deduction per rules and guidelines prescribed under
the prevailing tax laws. This may change from time to time in line with the amendments done in tax laws.
• During the first 3 months of your employment, you will be on Probation Period and your performance
will be closely observed based on that you will be confirmed as a full-time employee.
• During the probation period you are not eligible to take any leaves. If in case you take any it will be a
LOP.
• You will be eligible for fuel allowance that will be INR 3/- per km, which you can claim only after
submitting the fuel bills and fuel submission sheets

ANNEXURE B

Terms and Conditions of Employment


You shall be governed by the following Terms and Conditions of Service (“Terms and Conditions”) during your
employment with Guardians Security & Facilities Pvt. Ltd (hereafter referred to as the “Company”), and those
that may be amended from time to time in future.

1. Statement of facts
The Company has made the offer of employment on the basis of the bona-fide statements and facts provided by
you in your application form for employment. The Company reserves the right to terminate your services forthwith
at the time of joining or at any point of time in future during your employment with the Company if any of the
Information provided by you is found to be false or misleading or concealed (whether in part or whole) and / or
in case of any criminal background on your part. You hereby agree and expressly authorize the Company to
conduct background verification to authenticate the Information submitted by you and your criminal background,
if any.

2. Duties
A). During working hours, you shall satisfactorily perform all tasks assigned by the Supervisor, to the expected
performance standards. You shall comply with the rules, regulations and procedures as notified from time to time
by the Company in letter and spirit.
B). During working hours, you shall entirely devote your time, attention and abilities to the business of the
Company.
C). You shall not, without the Company's prior written consent, be in any way directly or indirectly engaged in or
concerned with any other business or employment during or outside your hours of work in the Company. You
shall however, undertake honorary work of social or charitable nature, literary, artistic or scientific character only
with the express permission from the competent authority of the Company.
D). During your employment, you shall not directly or indirectly engage in any conduct averse to the best interests
of the Company. Also, you shall not divulge any confidential information or violate any agreement(s) with your
prior employers or their clients.

3. Place of work
A). As part of your employment with Company, you will be based at any one of Company's offices or its
affiliate(s) or Company's customer location(s) – existing or may come up in near future, as per the business
requirements.
B). The Company reserves the right to transfer you at any point of time during your employment with Company
to any of its other location(s), its affiliate(s) or Company's customer location(s) – existing or may come up in near
future, within or outside India as per the business requirements, and you shall comply with the Company's rules
relating to relocation to or from a customer location.
C). The Company reserves the right to transfer you on a temporary or permanent basis to the other job functions
or departments within the Company and assign such other duties as may be deemed fit in the interest of the
Company.
4. Hours of work
The working day shall comprise eight (8) working hours and a lunch break for an hour. Depending upon
Company's requirement/ exigency, the Company may increase or decrease the per day working hours without
your consent.

Though the normal working hours are between 10.00 AM - 6.00 PM (Monday to Saturday). You may be required
to work on a shift basis that comprises eight working hours and a break for an hour.

You are expected to work in shifts assigned by the supervisor. The shifts may be scheduled across 24 hours a day,
7 days a week and 365 days a year. The shift timings may change from time to time on which you will be notified
in advance.

5. Holidays, Leave and Vacation


A). You will be governed by the existing Company leave policy from the date of your joining the Company.
B). Application for leave needs to be submitted 15 days prior and all leave applications should be subject to due
approval from your respective Supervisor.
C) You will be under probation period for 90 days from the date of joining and no leave will be accepted during
probation period.

6. Conduct
A). You shall at all times, maintain exemplary conduct and decorum. You shall uphold honesty and integrity in
all your actions.
B). You shall honor and comply with all rules and regulations of the Company and statutory requirements, in
letter and spirit.

7. Dress Code
As an associate of an organization that focuses on quality and professionalism, it is imperative to maintain the
highest level of personal effectiveness and that can in no way be compromised. Therefore, you must adhere to the
company's dress code while at work. The smart dress code will continue to help you display a professional image
to customers, potential employees and the community of visitors.
Smart dressing for gentlemen:
Half/full-sleeved collared shirts, collared t-shirts, formal trousers, single-colored full-length jeans, corduroys and
chinos. These can be paired with appropriate footwear like formal black or brown leather shoes, loafers or sports
shoes.
Smart dressing for ladies:
Saree, salwar / churidar / leggings with kameez, kurtis, tops, collared shirts/t-shirts, formal trousers, single-colored
full-length jeans, corduroys, chinos and full-length skirts. These can be paired with appropriate footwear.
You should always consider your activities for the day when determining what to wear. If you have to host or
attend meetings with clients, or attend a formal gathering, you can be dressed in formal attire.

8. Confidentiality
A). You shall maintain utmost secrecy with regard to confidential and proprietary information relating to the
Company. This information includes and is not limited to trade secrets, technical processes, finance and dealings
with information relating to suppliers, employees, agents, distributors and customers.
B). You shall not, during your employment and at all times thereafter, directly or indirectly use or disclose
confidential information except for the sole benefit of the Company. This restriction shall cease to apply when it
may come into the public domain otherwise than through unauthorized disclosure by you or such information
which you shall be obliged or disclose by law.
C). You shall not take copies of confidential documents or information for your own purposes and forthwith upon
termination, you shall return to the Company all documents, records and accounts in any form (including
electronic, mechanical, photographic, and optic recording) relating to matters concerning the business or dealings
or affairs of the Company.
D). You shall not during your employment and at all times thereafter do or say anything that may injure directly
or indirectly damage the business and / or reputation of the Company.
E). You shall maintain utmost confidentiality with regard to your compensation and benefits. You shall not discuss
your compensation and benefits with anyone, but with the Supervisor you report to.
F). You shall sign and be bound by the following:
i. The Proprietary Rights and Non-Disclosure Agreement (NDA)
ii. The Code of Business Conduct and Ethics
iii. Prohibition on Disclosure or Use of Inside Information
iv. Default User Rights on GSF Network

9. Separation from the Company


A). In case you intend to resign from the services of the Company at any point in time, you are required to serve
30 day’ notice period starting from the date of resignation.
B). The Full & Final Settlement will be done 30 days after the completion of your Notice Period.
C). The Company may, at its sole discretion, permit you an early release by;
i. Adjusting the vacation leave accumulated towards a part of the notice period (whether in part or whole) or
ii. Allowing you to pay up for the notice period in lieu thereof on your annual gross compensation.
iii. If your service is being terminated by the Company on the ground of Misconduct or misdemeanor or
unsatisfactory performance or as consequence of any other disciplinary matter(s), the Company may release you
on immediate basis by paying you the salary for the Notice Period starting from the date on which Company
informs you of such matter.

Please note that the Company will not pay the Notice Pay in case your service is being terminated on the ground
as mentioned in 1 (a) above.

Non-Solicitation Agreement

Employee and Employer have entered into an employment relationship that requires the following terms for both
parties’ mutual well protection and satisfaction.

Employee acknowledges that he/she will acquire considerable knowledge and expertise from the Employer as
well as from vendors, subcontractors and other employees in the course of carrying out their job duties.
Furthermore, Employee acknowledges that he or she may be able to use such knowledge in a manner detrimental
to the Employer. Therefore, employee agrees to the following:

▪ Employee will not, for a period of 6 Months following termination of his or her employment approach, entice,
solicit, or contact any individual in employment at Guardians Security & Facilities Pvt. Ltd. for any reason.

▪ Employee will not, for a period of 6 Months after termination of his or her employment. approach any customer,
affiliate, or business partner of the Employer for purposes of seeking employment or business arrangements in
competition with the Employer’s line of business.
▪ Employee will not, for a period of 6 Months following termination of his or her employment approach, entice,
solicit, or contact any individual in employment at Guardians Security & Facilities Pvt. Ltd. for any reason.
▪ Employee agrees to provide this contract to any and all subsequent employers of the Employee during the term of
this non-solicitation agreement.
▪ The Employee agrees that all provisions are fair and just. If at any time or point any provision is voided all other
provisions shall remain in effect.
▪ Employee acknowledges that any breach in this contract will be subject to court rulings in Guardians Security &
Facilities Pvt. Ltd. for direct and indirect damages.
• Any notice required or pertaining to this agreement shall be made in writing and delivered either personally or by
certified letter to receiving member.
• The terms and conditions included constitute the entire agreement between the parties and supersede any
communications orally or written previously between either party.
• If any or all terms of this Non-Solicitation Agreement are found to be invalid or unenforceable in a court of law,
then this Agreement and all remaining terms will remain in full force and effect as if such invalid or unenforceable
term had never been included with unenforceable term being replaced by a similar enforceable term as agreed by
both parties.

Both parties have appeared on this day and have read and agree with all terms of this Non-Solicitation Agreement
listed above.
