This Service Agreement ("Agreement" hereinafter) is made at Hyderabad, Telangana in
the mlnth of Aug 2022 by and between:

Toshf,a Transmission & Distribution Systems (lndia) Frivate Limited, a registered


compgny, having its unit at Rudrararn, Patancheru Mandal, Sangareddy District,
Telarr$arra - 502329, ltereinafter refen*d to as Client or customer which expression
shall,ounless repugnant to the context or meaning thereof, be deemed to mean and
include its successors, administrators and assigns, of the FIR$T PART.

NOW THIS AGREEMENT T'YITNESSETH AS FOLLOWS

The Service Provider has fully surveyed the area of the premises
and the requirements
of the Client regarding provision of Security Services and the Service provider
shalt
arrange, subject to the provision contained herein to safeguard the
materiats and
properties of the Client by posting its men in such a
manner and at such points as it
considers necessary. This would include patrolling are required
areas at shall times
during the day and night on24 hours basis.

OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider shall be responsible for the discipline of


the employees.

The employees engaged by the Service Provider will be in the employment


of the
Seruice Provider only and not of the Client.

The Service Provider shall solely be responsible for acts of commission


or omission of its
employees. The Service Provider will solely be responsible for the payment
of wages,
allowances, and other benefits of its employees and the Client
shall in no
concerned with the same. The Service Provider shall also be responsible

for the welfare
of its employees as per various Government Acts Regulation of
the State.

The Service Provider shall provide the number of personnel stipulated


by the Client and
shall arrange replacement as necessary, at its own expense, in case of sickness,
absenteeism, leave to its employees or the absence of the personnel
for any reason
whatsoever. On occasion when due to paucity of manpower, as it is
not immediately
possible to provide suitable relief for an absenteelabsentees,
the Service provider shall
see to it that no post is lefi unmanned and that the remaining security personnel perform
extra duties, which is subject to the condition of fulfilling the penaity clause, as per
Annexure 1.

The service provider has to fulfil its obligations from time to time as per
the Annexure 2.

PERIOD OF VALIDITY AND COITiMENCEMENT OF AGREEMENT

This Agreement shatl be in force from 21"t Aug 2022to 20m March
ilazgand is liable to
be terminated by one month on either side. ln failure of such notice,
the Compensation to
be paid by the Client to the Service Provider or vice versa will be equivalent
to ONE
Month's Service charges and totial billed days. Afier the expiry
of the Contract period, the
Contract is deemed to have been extended until an agreement is
anived in writing.
Termination and contract is subject to ONE Month's notice on
either side.

Any dispute arising out of this Agreement or that which may arise in
future will be
resolved on mutual settlement or arbitration in the first instance,
falling which the dispute
will be subject to Secunderabad Jurisdiction only.

FACILITIES

The Client shall provide the use of telephone at free of


cost for security personnel so as
to enable them to contact their office or any Officers of
the Client when required.

No employee of Service Provider will be contacted or employed


by the Client within a
period of 6 months of having left the services of
Service Provider. The Client may recruit
them only after a clear gap of six months fom the date of their
leaving the service of
Service Provider. ln breach of this clause the Client agrees
to pay to Service provider
some compensation on mutual agreement.

CONFIDENTIALITY

(i) The Service Provider acknowledges that material and


information which
the service Provider may acquire about the client's business
and the client,s clients,
including but not limited to, inventory management software programs,
staffing methods,
financial or other accounting systems and the Client's
other procedures and processes
as well as the identity of the Client's clients, are considered by the
Client to be
proprietaryand confidential.

(ii) The Service Provider agrees that all such information acquired hereunder shall
be held in confidence during the term of this Agreement and oh the termination or
expiration of this Agreement and, during such respective periods, the Service Provider
shall not reveal or use any such information without the prior written consent of the Client.
The Service Provider shall disclose such information or material only to those who have
reasonable need to know the same in connection with the performance of this
Agreement.

SUSPENSION / TERMINATION FOR BREACH OF THE ANTI-CORRUPTION


OBLIGATION

lf at any time the TTDI suspects that the Guardians Security & Facilities Pvt Ltd or
any of its employees, agents acting for or on behalf of TTDI has committed or is likely to
commit any breach of the Anti-Corruption Obligation, the TTDI may immediately
terminate the Agreement or on such date as it may specify, or suspend the Agreement
for such period as it may specify, in any case, by giving written notice to the Guardians
Security & Facilities Pvt Ltd Any suspension can be extended by the TTDI for
successive period(s) as it decided. Any termination can occur during or following any
period (s) of suspension.

FORCE MAJEURE, INDEMNIFICATTON AND LIABILITY

(i) Neither party shall be liable to the other for any failure or delay in performing its
obligations (other than payment obligations) hereunder if such failure or delay
arises from events beyond the reasonable control and without fault of the non-
performing party. Such failure or delay in performance shall only be excused for the
duration of the event or events, which caused the failure or delay in performance.
The parties hereto acknowledge that the amounts payable to the Service Provider
as compensation for the Security Services provided hereunder are based on the
value of the services rendered and are unrelated to other valuable considerations
including, without limitation, the Client's property or the person or property of others,

(ii) The parties understand and agree that The Service Provider does not represent
and cannot warrant that the Security Services furnished hereunder will prevent or
minimize the likelihood of loss, damage or injury. The Service Provider's
responsibility hereunder is solely limited to providing the Security Services as
herein described and the Service Provider has not been engaged as a consultant,
or otherwise, to provide an assessment of the Service Provider needs at
Facilities covered hereunder.

Service Provider:

The providing of services hereunder by the Service Provider shall not give rise to
nor confer any rights on any third party, and the Client agrees to indemnity, defend,
and hold harmless the Service Provider, its officers, directors and employees
against claims by third parties, except when it has been reasolrably established that
the Service Provider failed to perform Security Services hereunder, or was
negligent in that regard, or was directly involved in criminal acts or conspired or was
complicit in criminal acts, which caused or contributed to loss, damage, death or
injury to any persons including employees of the Client or the Service Provider or
damage to property. Additionally, the Service Provider agrees to indemnify, defend,
and hold harmless the Client, its officers, director and employees against claims by
third parties, but only to the extent that such claims are caused by the negligent or
wilful misconduct of the Service Provider or breach of its obligations under this
Agreement.

(iii) lt is also understood and agreed that neither the Service Provider nor the Client are
insurers, and that in no event will The Service Provider be liable to the Client or any
other party for indirect, consequential or special damages or lost profits resulting
from the services provided hereunder. The Service Provider agrees that the Client
will not be liable to the Service Provider or any other party for indirect,
consequential or special damages or lost profits resulting from the relationship
outlined hereunder. The Service Provider will indemnify the Client against any claim,
loss, damage occurred or caused to the goods or property of the Client or its clients
due to wilful acts or omissions or carelessness or negligence of the Service
Provider or Service Provider's assigned guards. lt is further understood and agreed
that in no event shall the Service Provider be liable for any loss, liability, damages,
costs or expenses resulting from the intentional and / or negligent acts or omissions
of the Client or of any of its officers, directors, employees or agents. Additionally, it
is understood and agreed that in no event shall the Client be liable for any loss,
liability, damages, costs or expenses resulting from the intentional and/or negligent
acts or omissions of the Service Provider or any of its officers, directors, employees
or agents.

(iv) Client shall not be responsible for death, injury or accidents to the personnel
deputed by the Service Provider, which may arise out of or in the course of their
duties on or about Client's Facilities, property and premises and in the event that
Client is made liable to pay any damages or compensation in respect of
personnel, the Service Provider hereby agrees
compensation upon demand.

PILFERAGE / THEFT

The Service Provider in case of any theft / pilferage during the tenure of the Agreement
with the CIient will depute its investigators to conduct the preliminary enquiry and submit
the report to the Client. lf in the report it is found that the Service Provider Security
personnel are involved either due to negligence / connivance, the Service Provider will
agree to compensate limiting its liability to maximum of its actual cost assessed by the
Client. The Client on its own will report theft / pilferage cases to the police station under
its jurisdiction and the Service Provider will assist them in this matter.

SEVERABILITY

lf any portion of this agreement shall be rendered illegal or unenforceable, in whole or in


part, by the laws, regulations or public policy of any jurisdiction, including without
limitation by a requirement, directive or guidance of the concerned Regulatory Authority
in lndia, such provision shall to that extent be deemed not to form part of this agreement
but the validity or the enforceability of any other provision of this agreement shall not be
affected.

NOTICES & COMMUNICATIONS

(i) All notices and other communications between the Client and the Security Service
Provider shall be deemed to have effectively served if it is in writing and shall be
delivered or sent by personal delivery, electronic mail, facsimile, transmission, or
registered or certified mail (return receipt requested), postage prepaid to the
relevant party, at the address as mentioned hereinabove or facsimile numbers or
such as have been notified in writing by such party to the other not less than 15
days in advance.

( ii) Any change in the above address of either of the Party shall be intimated to the
other Party in writing within fifteen (15) days of change either by regd. Post or by
personal delivery. lf no such change is intimated, service at the above address will
be deemed as proper service.

ARBITRATION

The Parties hereby expressly agree that if any dispute or difference arises in connection
with this Agreement, the same shall in the first instance be referred for Arbitration by a
single Arbitrator to be appointed by both the parties with mutual consent. The award of
the Arbitrator aforesaid (hereinafter referred to as "Arbitral Award"), shall be final and
binding on the parties. The Parties expressly agree that neither the validity of Arbitration
proceedings nor the Arbitral Award shall be questioned on the ground that the Arbitrator
is an employee of or otherwise connected with or interested in the business of Exel. lt is
also expressly agreed that neither party shall have the right to approach the court for any
interim relief pending the grant of Arbitral Award as above. The venue of the Arbitration
shall be Telangana and the Arbitration proceedings shall be conducted in English
language.

VACATING THE PREMISES

On expiry or earlier termination of this agreement for any reason whatsoever the Security
Service Provider and the security guards shall vacate the said premises of the Client
without any disruption /hindrance/probtem of any nature and without causing any
damage to the premises / property or to the employees / officers / personnel therein
and the Client shall tender all dues of Bills on reconciling the accounts of Service
Provider, submit cheques after deducting the claim, if any from the amount due to the
Security Service Provider in full and final settlement within a week time, after handing
over of charge.

The Client agrees to pay the Service Provider and the Service Provider agrees to accept
from the Client, Service Charges for the said Services provided. Service Charges shall
be as per rates agreed in Annexure 3 or mutually amended from time to time. The
Service Provider will submit an invoice, within 5 days of closing of the pay cycle, applying
the service rates as set forth in the rate schedule attached hereto and incorporated
herein as Annexure 3.

"Penalty clause; lt is understood between the parties that incase if the Service Provider,
ie., the service provider is unable to meet the required manpower in any particular wage
month and in such case, if the engagement of over time is more than 2;S% man days
of
the allowed strength, 2.5o/o of the service charge will be deducted from that particular
month service charge. lt will apply for all the months during the agreement period".

Security Supervisor: Age parameter 25 to 45years

Security Guard: Age parameter 25 to 35 years

Educational qualification :

Security Supervisor: 12ih pass (known languages Telugu, Hindi, English), Computer
Knowledge, with good height and physique, physically and mentally fit with good vision
and minimum five 5 years of experience in manufacturing sector.

Security Guard: 1Oth pass (known languages Telugu, Hindi, English) good hand writing
in
English with good height and physique, Physically and mentally fit witn gooO vision
and
minimum two 2 years of experience in manufacturing sector.

Service Provider shall at its expense conduct, prior to the employment of any employee
or employees, a background Security Check & Police Verification and gives a certificate
of verification on Client letter head.

Service Provider shall provide all the details of the new Personnel deptoyed in TTDI, like
ESI & PF enrolment, medical fitness, Aadhar, Pan, educational qualification, present
addresslpermanent address with mobile number and alternate contact number, posting
order for attestation and verification with original documents at Time Office.

The newly deployed security personnel has to work as OJT for three 3 days and after
completion of OJT only will be entitled for wages.

The Service Provider shall at its expense provide Service Provider's Personnel with
Uniforms/Raincoats/GumbootsMinter wear to TTDI's satisfaction. Service Provider shall
also provide the Provider's Personnel with identity badges containing recent passport
sized photograph of the person shall be worn and prominently displayed by the
Provider's Personnel at all times that the Provider's Personnel are on the TTDI p.remises.

TTDI shall have the right, at any time, to request removal of any of Service Provider's
Personnel whom TTDI deems to be unsatisfactory. Service Provider shall immediately
remove such employee(s) and if requested by TTDI, provide replacement acceptable to
TfDl within two (2) days of notice or provider shall use reasonable efforts to find
promptly another interim solution acceptable to TTDI, but in no event later than five (5)
days after the employee(s) is/are removed. Service Provider agrees to ensure the
continuity of Service Provider's Personnel assigned to perform the services or any
thereof and any removal by Service Provider may only be allowed with TTDI's prior
written consent for the removal and a proposed replacement acceptable to TTDI.

It shall be the sole responsibility of the Service Provider to ensure that trained and
competent staff are deployed to fulfil the obligations under this Agreement and shall
provide such staff at its own cost. The Service Provider will ensure that their staffs
undergoes such training in Security, major & minor Firefighting operations and any other
security related areas as may be considered by the TTDI from time to time.

Onsite training

Service Provider will ensure training to all security staff twice in a month, only on
Sunday's with consent of TTDI and to be documented for records.

Night Surprise Checks

Service Provider will ensure night checks once in a week, four (4) checks in a month and
to be documented for records.

Operational Day Visits

Service Provider will ensure day visits twice in a week and to be documented for

The Provider will be responsible as employer of its own staff to maintain security records
as also all Personnel records such as Payrolls, Attendance Sheets, Leave Records, etc.
which would be readily available for scrutiny by TTDI authorities when they desire.
Permissions, leaves to Provider's Personnel need to be recommended by Provider's
authority with suitable replacement and approved by Head Security and above authority
of TTDI. Planned leaves need to be applied well in advance for approval from Service
Provider and TTDI authorities.

ln the event of theft or loss of the property or any unlawful activities occurred at TTDI, the
Provider will be responsibte for assisting in reporting the matter to the Police (for which
the FIR has to be filed by TTDI under the law) and subsequently for follow-up with the
Police for investigation and in the courts for speedy disposal of cases. ln the event of
theft or loss of the property or any unlav'rful activities done by Provider's Personnel, then
the liability of the Provider will be subject to legal course of action against their
Personnel(s) (for which the FIR has to be filed by Service Provider under law).

The Service Provider is responsible for providing accommodation and transportation to


their Personnel. Provider's Personnel shall reportto duty fifteen 15 minutes prior in all
the shifts A, B, C and G as per the scheduled timings of TTDI and will nol be allowed to
travel in TTDI hired buses. Subsidized breakfast and meals shall be provided by TTDI on
chargeable basis, which will be deducted from the invoice on monthly basis.

lnvoicino:

Provider shall submit the bills to lTDl on a rnonthly basis as per attendance cycle thirty
30 days, i.e., from 21st of every month to 20rh of the next month, followed by bills
submission in between 21sr to 24th of every month. lt may vary as per the Client's
requirement from time to time.

The Service Provider and the Client shall review the above requirement jointly and any
suggestion for the increase or decrease shall be mutually discussed at short intervals.

The Service Provider shall provide extra persons if required by the Client during the
period of this Agreement at the rates to be agreed mutually as per the below Annexure
rate chart.

The below mentioned rates are subjected personnel to revise based on DA revision as
per the labour department notification from time to time or any other statutory obligation
viz ESl, PF, GST etc. or any other act being applicable PAYMENT.

Non-payment of the bill within the stipulated period shall be deemed as breach of the
terms and condition of this contract. For failure to make payment'the Service Provider
reserves the right to withdraw their men without any prior notice and thereafter the
Service Provider will not be liable for any compensation in case the Client suffer loss.
However, if any such situation arises, both the parties shall have to come to an amicable
solution without hampering the services.

The Service Provider shall provide proper uniform, which contains of Pant and Shirt, Cap,
Lane yard with Whistle, Belt, Shoes, Badges, etc. lf uniform other than normal is required,
shall be provided by the Client.

The Service Provider shall arrange periodical surprise checks during, day or night to
supervise the performance and turn out of the security force provided by it and send
periodical reports to the Client.

The Service Provider shall ensure that no member of security forces provided by it wil!
be a member of the Trade Union of the Ernployees of the Client or take any lnterest in
their activities or involve himself in Trade Union activities of the employees of the Client.

The Service Provider agrees to maintain fire'fighting equipment at their Client cost, as
part of their Services and also render First Aid Services in case of any accidents. ln such
case, mutual understanding and prior discussion is mandatory to take up this task.

security at its location and th* contractor has represented to the company that it has the

of this contract at the N*utand Laboratories Limited (Untt-3 ,Gaddapotharam, Tetangana &
Corporate Officc - and at alt such ptaces / tscations a$ rnay be mentioned from time to
time, by deptoying adequate number of seeurity guards / personnel so as to futty secure atl
the prop€rties of the cornpany at the factory prernises, and such peraonnel as may be
required hy the cornpany frorn time ts time ta safeguard them fulty from theft, darnage,
atta(k, accidents like fire, floodr et{. Th€ cantractor rha{l render services of the reception
cum tslephone operator to the satisfactory of the cCImpany during office hours"

nor shall they be entitled to make any claim with the cornpany either with regards to iheir
emp{oyment / non.employrnent or dues.

The contractor sha{l ensure that the emptoyees personnet deployed by it/hinr at the
various locations under thit contract shall be wetl dressed in neat uniforms and shalt not
indulge in any acts likely to be detrirnental to the interests of the company including being
afflicted by any contagious disease" Under any such circumstances or for any otnei
banafide reatsns, the company shalt be entitled to instruct the contractor ncl ts deptoy
any of ruch ernployees / personnet, in which eyent; the contractor shatl withdraw
forthwith luch employees / personnel,

The contractor shatl ensure that att persong / vehic{es "coming in" or ,,going out', of any of
the premis* being safeguarded by the contractor under his presents, sliall be subjected to
thorough chech, as may be required by the cornpany from tirne to time.

ln th* event of theft or loss of property of the company, the contractor witt be responsibte
for assisting 'in reporting th€ matter to the police {for which the FIR has to be filed by the
€ompany under the taw) and subsequentty for foll.ow-up with the police for inveltigation.
The contractor wi{t cornpensate the company for the [o*s, actuat cost sf the items if
prrved beyond doubt that the toss has been caused on negtigence on the part of the
$e(urity staff and lo the extent the b{ame for the loss is apportioned. The crimjnal
negligence and / or collusion of the contractor's personnel may be determined by a
Joint
enquiry comprising representativer of both the parties and not betow the ievet ot
*xecutives of the compani*s. The liabitity of the contractor witt be subject to the actual
csst CIf the iterns lost as already mentioned and to the extent biame apportioned. Subject
to not more than one-month bill amount,

The contractor shal{ also undertake fire fishting and other exercises as may be required to

mentioned ineluding the factory

The contractor shall either initiate any such legal. action which may be required by the
eom8ny er shall assist the rolnpany to file in any such tegat action that may be takin by
the. company against any person or emptoyee af the contraetor to prev*nt free access to

in statue based on the bill raised by the csntractor after the closure of the financial year,

sha{l submit thr proof of Lhe same.

This contract is efrective from 0l April'l2 and is vatid till Euch time .! one of the /
both tha parti€s dectde to terminate the same with prior written notice of one month
or payment in lieu thereof, without assigning any reasons.

Upon the contractor rendering att the services envisaged under this contract tn the
satisfaction of the company and upon itlhe is sr.rbmitting the monthly bitls, covering the
service charges etc, the company shalt pay, during the first week of the following month in
which such bill has been raised, subject to deduction of lncorne Tax at Source.

The contractor shatt be entitted to the payment again:L the bitls as agreed. The bill shoutd
be inclurive of all charger viz., Satary, Bonus, Uniformr and Statutory financiat obligations
such as P.F", ESIC., Leave Relief , etc., which the contractor shalt have to bear.

SST Tax as levied by the Government of lndia, Aitinistry of Finance and Department of
Revenre will be paid by the company to the cofttractsr"

That upon the expiry of this contract or srl the deternrination under the foreEoing clause,
the cnntractor shalt immediatety wilhdraw al.t hfs enrployees I personnel from the
respectiv* premises wlthout any tiabitity an the company whatsoever. Pending bills of ths
contra{ior shatt be cleared within 7 days of terrnination of csntract, subject ta production
of no due crrtificate by the contractor,

The notices to be served on the parties under thls contract shatt be addresred to the
respective addresses as mentioned herein above ar as may be notified in wriliry by either
party if there is any change. Such notices nray be sent hy registered patt o. through
courier and they shall be vatid.

Any d'ispute arising under this contract shatl be settted by mutual discussions. Shoutd,
however, thare be no sett{ement, the courts situated in Hyderabad Sistriet alone shaltr
have jurisdiction to deat with any such dispute$, to the exclusion af the jurisdietion of any
other courts, in vienx of the contfaet having to be ex€cuted at and th* accsunts having to
be settted ther*.
