WHEREAS the Company is engaged in hospitality business and whereas the Purchaser desires to purchase
Package of the company and accordingly he/she has gone through all the Terms & Conditions of the Package
Agreement & fully understand the nature of the Agreement "VISTARAA HOTEL & RESORTS INN SUITES PVT.
LTD." explained all the Terms & Conditions of the Agreement to the Purchaser.

A stay for a period of 6N/7 Days per year forthe next Years from the date of this Agreement;

The VHRIS mearrs VISTARAA HOTEL & RESORTS INN SUITES PVT. LTD. a private limited company incorporated
under the provisipft pf the companies Act 2013 which term where applicable shall include its
successors-in-infft{t anO assigns VHRIS package plan offered by VHRIS with entitlements and privileges as specified
herein.

Package includes any person(s)/company/firm in whose name the VHRIS agreement certificate is issued on realization of
payment from purchaser .in case of joint application the first applicant will be treated as principal purchaser

Package price means total fees payable towards package as per the price structurefixeci Uy VHntS from time to time and
shall comprise of a non refundable one time Admission (Package) fee fcr buving VHRIS Package

A Furchaser understands that the Package includes stay only anC ali other benefits like Food, Pick and cirop,
sightseen etc shall be borne by the purch and these services shaii be provided on request.
 PACKAGE USAGE RULES

purchaser is entifled for 6N/7 days stay every year in the apartment (Gard) specified in the certification of package in
any oftheVHRlS associated hotels and resorts during the package usage period

7. purchaser understands that the reservation will be done on first come first serve basis and are consequently subjected

to availability and eligibility. Booking window opens 90 days before the check-in time and request for booking can
only

be entertained through email/online ,no verbal or any other mode of communication will be accepted

B, purchaser understands that the he/she is only eligible to take holidays in the locations provided by the company. lf
purchaser wants to avail his package nights in other locations prior to the locations provided by VHRIS then he needs
to deposit his/her week and pay exchange cost .

purchaser understands lhat the locations/Hotels/Reso(s associated with VHRIS might change/upgrade from time to

time and if the demanded Resort/Hotel is not available then company can provide another Hotel/resort to the
membe(Su bject to availabilitY).

10. prrrchaser understands that Gold card package entitles him/her for one room and diamond card package entitles

himiher for t\iio rooms. However ii a gold card purchaser demands for more than orre room an:j Ciamond
card

purchaser demands for tvro rooms then it can only be provided by the company if there !s availability of rcoms in tnat
particular hotels/resorls associated with VHRIS by reducing package nights of the Purchaser or on Tarif{ basis

12 Renting of package Nights/Days can be done through your personal contacts, VHRIS cioes not engage in renting of
Days/Nights from package of the purchaser

13. purchaser understands that AMC charges needs to be paid from first year and needs to be pald upfront before
utiljzation of week of that particular year as stipulated by VHRIS from time to time which rvill be towards maintenance
of properties associated with VHRIS. Purchaser understands that he/her cannot avall his/her holiday entitlement
unless the entire AMC due to paid AMC for Gold card (one room) -Rs 9000 AMC for Diamond card(Two rooms)-Rs
1 6000

.14. The AMC may be revised from time to time. The Annual maintenance costs are payable online and are excluding GST

and needs to be paid on time. AMC is non refundable and nonpayment of AMC wouJd amountto gross breach of term
and condition of this agreement. Delay in Payment of AMC beyond one year from the date of payment mentioned in
demand letter. shall result in termination of the package with written intimation from side of VHRIS

purchaser that only after submission of all the necessary documents and satisfactory verification
by VHRIS, booking vouchers will be issued to the purchaser to the dddress/E-mail provided in this
Agreement.

Y 17. ARBITRATOR-Purchaser understands that in case of any dispute between the company and the purchaser will settle only
through current applicable arbitration act. Arbitrator will be appointed by the VHRIS Company and his/her decision will be
abide by all the concerned Paities (company and purchaser)

18. Purchaser understands that the benefits and terms of the package set out on this agreement are final and and binding on
VHRIS and purchaser and purchaser understands that this Agreement ( in the printed from ONLY) SUPERCEDES any
communication whether written or oral or any variation or hand written remarks rewriting the printed Agreement made by the
Agents and/or representatives of VHRIS to this Agreement and/or any other written communication issued by VHRIS
representatives

19 Purchaser hereby declares that particulars given above are true, correct and completely in order. If any transaction is delayed
or not affected at all for the reason of incomplete or incorrect information, purchaser shall not hold VHRIS responsible for any
loss/ damages/inconvenience caused due to the same

ZU Purchaser confirms that he/she shall not use the offer if any, or the facilities offered pursuant to the offer if any for any
improper or alleged or unlawful purposes/activities or adopt or alter the same for any improper or illegal or unlawfu! gain

21 . This membership package is non-refundable

22. Purchaser understands the benefits available under the scheme which is more particularly listed out in this Agreement.
Pui-chaser further under-slands that no benefits other than those in rnis Agreernent',^rill be available to him/her.

zJ. Purchaser acknowledges and confi!'ms that all the terms and conditions of VHRIS, shall be fully and completely binding on
purchaser on signing of this Agreement by purchaser and that any furlher amendments to the same shall also be binding on
purch aser.

24. Purchaser confirms that this agreement is accepted without any force and confirms thatthis
agreement doesn't create any undue financial burden on his/her {amily

)q The VHRIS consents to be regularly communicated via phone/mail/sms, updates on new schemes & other VHRIS value
addition offers

26 Purchaser acknowledges thal he/she has entered into this agreement at his/her free\,vill and accord artd there is no

compulsion or coercion or undue lnfluence exercised by VHRIS and/or its agents/representatives

27 Now withstandinq anything stated herein above VHRIS shall not incur any liability if it is not in position to fulfill its obligations
by reason of war, civil commotion, act of god, any notification frorn any court of law or government or any other person
beyond the reasonable control of VHRIS
