CODE OF BUSINESS CONDUCT

We understand the following policies under the PHINMA Code of Business Conduct:
 Gifts and Gratuities  Whistleblowing
 Anti-Fraud  Conflict of Interest
As a vendor of PHINMA, I agree to comply with relevant provisions of the above Code together with
the specific policies contained therein.

INTEGRITY PLEDGE
We share and embrace the letter and spirit of PHINMA’s commitment to Integrity. Therefore, we
commit to sign the Integrity Pledge within 60 days upon the execution of this Integrity Pact.

NON-COLLUSION
We will not collude, consult, communicate, or agree with any other competing vendor for the purpose
of restricting competition.

NON-BRIBERY
We will not make any attempt to offer, directly or indirectly, bribe, with gifts and gratuities, to any
employee, officer and director of PHINMA to gain or induce favourable results for our Company.

ANTI-FRAUD
We will not participate in any fraudulent activity involving transactions with PHINMA, including but not
limited to kickbacks, bid-rigging, and false billing.

COMPLIANCE WITH LAWS

We will comply with all applicable Philippine laws, statutory and regulatory requirements, including but
not limited to the following:
• Labor
• Taxation
• Environment
 OFFICIAL INVESTIGATIONS
We affirm that we will cooperate with duly appointed representatives of PHINMA in the conduct of
official fact-finding investigations into alleged violations of the PHINMA Code of Business Conduct.

CONFLICT OF INTEREST
We affirm that we are not involved in any activity and have no outside interest that conflict or suggest
a potential conflict with the best interests of PHINMA.

CERTIFICATION
By signing in this form, I certify that 1) I am duly authorized to represent our Company and sign this
Integrity Pact in its behalf, and 2) all the above information is true and complete to the best of my
knowledge.

I understand that any misdeclaration and/or violation of this Integrity Pact may result to PHINMA taking
actions against our Company including but not limited to disaccreditation, prosecution, recovery of
losses and/or cancellation of contracts.
