NON COMPETE AGREEMENT

I. Parties

This Non-Compete Clause is entered between C&C Precious Gems Online Boutique, a company
organized and existing under the laws of California, USA, with its principal place of business located at
2600 W Picadilly Way, Anaheim, California, USA and Allyssa Joy Halog an employee under the above
mentioned company.
Company and Employee are collectively referred to as the "Parties."

II. Scope of Restriction

Employee agrees that during the term of the agreement between the Parties following the termination or
expiration of the agreement, Employee shall not directly or indirectly engage in any activities or provide
products or services that are in direct competition with the business interests of the Company, within the
geographical area of the USA. The prohibited activities include but are not limited to:

(a) Supplying goods or services that are similar to or compete with the goods or services provided by the
Company;

(b) Establishing, owning, managing, operating, or investing in any business that competes with the
Company;

(c) Soliciting or accepting business from any customer or client of the Company for purposes of offering
competing goods or services.

III. Consideration

In consideration of the Company's promise to enter into the agreement and provide Employee with access
to its proprietary information, customer base, and business opportunities, Employee acknowledges and
agrees that this non-compete restriction is reasonable and necessary to protect the Company's legitimate
business interests.

IV. Confidential Information

Employee acknowledge that during the term of the agreement, they may have access to confidential
information, trade secrets, customer lists, pricing strategies, marketing plans, and other proprietary
information belonging to the Company ("Confidential Information").

Employee agree to maintain the strict confidentiality of such information both during and after the term of
the agreement, and not to use or disclose such Confidential Information to any third party, except as
required in the course of performing their obligations under the agreement.

V. Enforcement

In the event of a breach of this Clause by the Employee, the Company shall be entitled to seek injunctive
relief, as well as any other legal remedies available to it. The Parties agree that any disputes arising out of
or in connection with this Clause shall be subject to the exclusive jurisdiction of the courts located in the
Philippines, or the United States.

VI. Severability

If any provision of this Clause is found to be invalid, illegal, or unenforceable, the remaining provisions
shall continue to be valid and enforceable to the fullest extent permitted by law.

VII. Business Travel Opportunity

If an employee was given the opportunity to travel out of the country for events related to the business,
he/she should stay employed at the company for at least a year more before submitting his/her resignation.

VII. Entire Agreement

This Clause constitutes the entire agreement between the Parties with respect to the subject matter hereof
and supersedes all prior discussions, negotiations, and understandings, whether oral or written.

By signing below, the Parties acknowledge that they have read and understood the terms of this
Non-Compete Clause and agree to be bound by its provisions.
