SUB-CONTRACT AGREEMENT

This SERVICES AGREEMENT (“Agreement”) is entered into this 14th day of July 2023 at
(Morong, Bataan), by and between:

(Actual Ground Construction), a company duly organized and existing under the
Philippine laws, with business address at (Burgos st. Poblacion Morong, Bataan),
represented herein by its Owner. (Jasper Ryan S. Gonzales) and referred herein as
the “(Contractor)”.

and

(Jeffrey Conception Belanio)., a private contractor with address Poblacion,

Morong, Bataan referred herein as “(Sub-contractor)”;

(Actual Ground Construction) and (Jeffrey Conception Belanio) individually referred to as

the “Party”, and together, the “Parties”.

WITNESSETH, That:

WHEREAS, (Actual Ground Construction) is engaged in the, construction, of CHB Perimeter

Fence Wall and Barbed Wire Fence located at Bulacan (the “Marilao EHV Substation Perimeter
Fence Project”);

WHEREAS, Jeffrey Conception Belanio, desires services for the Sub-construction of the CHB
Perimeter Fence Wall and Barbed Wire Fence located at Bulacan (the “Marilao EHV Substation
Perimeter Fence Project”);

WHEREAS, Jeffrey Conception Belanio, representing itself as technically and logistically

capable, has offered to undertake the aforementioned services;

WHEREAS, (Actual Ground Construction) has accepted the offer of (Jeffrey Conception
Belanio);

NOW, THEREFORE, in consideration of the recitals above, and intending to be legally bound
by the terms and conditions of this Agreement, the Parties agree as follows:
 ARTICLE I
GENERAL PROVISIONS

1.1. Cooperation. (Contractor) and (Sub-contractor) shall cooperate in good faith to conduct all
agreed activities as specified in this Agreement.

1.2 Information. Contractor shall provide Sub-contractor with data and information regarding the
Marilao EHV Substation Perimeter Fence Project which are relevant to the conduct of the Services
in Article II.

ARTICLE II
SERVICES

Scope of Services. Sub-contractor shall provide the following services (the “Services”) to in
relation to the various Civil Sub-construction works of the Marilao EHV Substation Perimeter
Fence Project;

Supply of labor for Civil Works, scope of work are as follows:

1. Hauling of Materials (Vehicle provided)

2. Rebar Setting and Installation
3. Formworks Installation
4. Concreting (Lean concrete, Foundations, Columns and Beams)
5. CHB Laying and mortar filling
6. Plastering and Tooling (Smooth Finish both side
7. Painting (2 coat primer and 1 coat finishing paint)
8. Cleaning and Handover
The above Services shall be in accordance with the layout and plan attached here to as Appendix A
which is an integral part of this Agreement.

Provide all materials and labor necessary and related to the above scope of Services.

Obtain all necessary permits in relation to the renovation and construction at its own cost.

Performance of Services. The Services shall be performed and completed in accordance with the
following:

Compliance with Safety Rules. Jeffrey Conception Belanio shall perform the Services in accordance
with the applicable regulatory safety requirements of owner and related government agencies (the
“Safety Rules”). Any violation by Jeffrey Conception Belanio of the Safety Rules within the term of
this Agreement shall cause the suspension or termination of this Agreement depending on the gravity
of the violation, without prejudice to the right of owner to be indemnified from the any damage or
injury caused by the violation.
Liabilities of Sub-contractor shall be solely liable for the following:

Any liability, loss or damage incurred during the performance by Jeffrey Conception Belanio of its
obligations under this Agreement;

Any loss or damage to owner properties or such properties for which owner is accountable arising
from theft, pilferage, robbery, and other unlawful and destructive acts occurring or committed by any
of the personnel, or due to the act, omission, fault or negligence of Jeffrey Conception Belanio or any
of its personnel; and

Any and all damages, losses, liabilities, obligations and claims, monetary or otherwise, for any
accident or loss of life or injury to third parties or their property arising from, on the occasion of, or
in connection with the performance by Jeffrey Conception Belanio, of the Services or any of its
obligations under this Agreement due to the act, omission, fault or negligence of Jeffrey Conception
Belanio or any of the Personnel.

Inspection by Contractor. During the conduct and after the completion of the Services, Contractor
shall have the right to inspect and evaluate the progress of the Services.

Representations and Warranties of Jeffrey Conception Belanio. Jeffrey Conception Belanio

hereby represents and warrants that during the effectivity of this Agreement:

He is validly existing and in good standing under the laws of the Philippines and has all the requisite
power, authority and legal right to own and carry on its business.

He has the power to enter into the transactions involved in this Agreement and to perform its
obligations thereunder.

Jeffrey Conception Belanio, shall be responsible for repair or replacement of any defect or deficiency
and/or loss or damage (the “Defects”) to any part of the Services which may appear or occur within
the warranty period of twelve (12) months from the date of acceptance by OWNER (the “Warranty
Period”) which arises from (i) defective materials, workmanship or plan, or (ii) and negligent act or
omission by Jeffrey Conception Belanio during Warranty Period.
Jeffrey Conception Belanio shall correct and cure the Defects as soon as practicable at its own cost.
CONTRACTOR shall promptly notify SUB-CONTRACTOR in writing of any Defects arising under
this warranty. SUB-CONTRACTOR shall improve, repair or replace the Defects within fifteen (15)
days from receipt of written notice from CONTRACTOR. If SUB-CONTRACTOR should fail to
correct and cure the Defects within fifteen (15) days from the receipt of written notice from
CONTRACTOR, then CONTRACTOR may proceed to take such remedial action at Jeffrey
Conception Belanio’s risk and expense without prejudice to any other rights which contractor may
have against SUB-CONTRACTOR under this Agreement.

Indemnification by CONTRACTOR

shall hold ACTUAL GROUND CONSTRUCTION free and harmless from any
liability for the damages, losses, obligations and claims; provided, that if CONTRACTOR shall be
charged and be held liable therefore, Jeffrey Concepcion Belanio shall defend CONTRACTOR
before against any third party, agency, office, tribunal or court, and shall assume such liability
principally and directly for the benefit of CONTRACTOR

If for any reason, CONTRACTOR is made to pay such damages, losses, obligations and claims,
Jeffrey Conception Belanio shall reimburse CONTRACTOR for any and all payments that it may
make, as well as all expenses and costs, including but not limited to litigation expenses and legal
fees, that may be incurred by ACTUAL GROUND CONSTRUCTION in connection therewith.

Bellamor Belista Barrameda authorizes OWNER to deduct all such payments from any amount that
may be due to Bellamor Belista Barrameda under this Agreement until they shall have been paid in
full.

ARTICLE III
TERM AND TERMINATION

This Agreement shall become effective upon signing and shall terminate upon completion of the
Services, unless terminated earlier by the Parties in writing and Parties agree that time is of the
essence of this Agreement.

ARTICLE IV
FEES AND TERMS OF PAYMENT
4.1. Fees. For and in consideration of the Services, CONTRACTOR shall pay a total of Seven
Thousand Five Hundred Pesos Only (Php 7,500.00) per span for finished CHB Fence and
One Hundred Thousand Pesos Only (Php 100,000.00) for completed installation of
2,173Ln.m Barbed Wired Fence as per Approved Plan (the “Fee Amount”), net to be
collected from ACTUAL GROUND CONSTRUCTION by Jeffrey Conception Belanio,
will be depending on their actual accomplishment.
Terms of Payment. ACTUAL GROUND CONSTRUCTION shall pay to Jeffrey Concepcion
Belanio the Fee Amount subject to the following terms:

1. SUB-CONTRACTOR shall submit a billing based on their actual accomplishment

and billing shall not be greater than the amount of their actual accomplishment.
2. CONTRACTOR shall pay submitted billing within 1-2 weeks after it has been
checked and approved.
3. Cash Advances and other expenses that should be provided by SUB-CONTRACTOR
but has been provided by CONTACTOR instead, shall be deducted to the billing
4. CONTRACTOR shall pay billing only to Jeffrey Concepcion Belanio unless
otherwise, a person has provided authorization from SUB-CONTRACTOR with copy
of its ID and originally signed authorization letter.

ARTICLE V
MISCELANEOUS

Assignment. Jeffrey Conception Belanio shall not assign any of its rights or obligations under this
Agreement to any entity or person. ACTUAL GROUND CONSTRUCTION may assign this
Agreement without prior written consent to: (i) any affiliate or (ii) any entities as required by its
financing documents.

Amendment. No amendments or modifications of this Agreement shall be valid unless mutually

agreed to by the Parties and unless reduced into writing and signed by the duly authorized
representative of each Party.

Limitation of Liability. In no event shall either Party has any liability to the other Party or its
affiliates, contractors or subcontractor for any special, indirect, exemplary, punitive or consequential
loss or damage, including damages or claims in the nature of loss of revenue, income, profits or
investment opportunities.

5.1 Force Majeure. Any delay in or failure of performance of a Party shall not constitute a Default
hereunder if and to the extent caused in whole or in part by the occurrence of any contingency beyond
the reasonable control of such Party that cannot be cured by such Party’s exercise of commercially
reasonable efforts (“Force Majeure”). For purposes of this Agreement, “Force Majeure” shall
include, without limitation, war, military conflict, sabotage, insurrection, riot or other act of civil
disobedience, act of public enemy, act of government or any agency or subdivision thereof affecting
the terms of this Agreement or otherwise, judicial action, labor dispute, accident, fire, explosion,
flood, severe weather or other act of God.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the day and year first
