Introduction :
With reference to the above subject and subsequent discussions we had with you, we are pleased to place the work order for Annual
Maintenance Contract for CCTV Surveillance from March -2025 to February-2026 (12 Months) @ Praneeth Pranav Knightwoods Project.

We are pleased to award this order to you to carry out the above works. The Total Order amount is Rs. 1,71,800/- (Rupees: One Lakh
Seventy One Thousand Eight Hundred only) excluding all taxes based on your offer referred to above and our discussions.

Technical Specification :
1. Period of Contract: The contract is valid for Annual from March 2025 to February 2026 (12 Months).

2. Maintenance of Parts: Maintenance of the Cameras, POE Switches and Media Converter.

CCTV Surveillance System includes Camera Visibility Test, NVR Recording Test, NVR Settings Verification and Disk Error Check.
Replacement of CCTV parts and some consumable items are not covered under AMC.

3. Quality of Spares: The equipment parts replaced must be new and equivalent to the performance of existing parts.

4. Additional Charges: The AMC cost includes the travelling cost for rendering service throughout the annual period for one or all systems.

5. Any product-related complaints raised and informed need to be solved within 48-72 business hours.

6. Working Hours: The maintenance work shall normally be done during the working hours of the Client. However, in case of emergency
maintenance may have to be done beyond office hours and even on holidays prior arrangement through proper communication should be
worked out in all cases by the servicing agreed by agencies.

Client Scope:

1. Provide proper power source and backup to the equipment.

2. Ladder for working purposes.

Payment Terms :
1. Escalation: The price mentioned in this Work Order shall remain firm for the entire duration of the Contract. No claim on the increase in
rate will be entertained towards an escalation in labor charges or other incidentals etc. The contract price is based on prevailing rates of
taxes and duties. Prices are inclusive of labor charges, tools & tackles, shifting & inter-carting of all materials & consumables to all levels &
leads, working at all floors & levels, and all miscellaneous works/incidentals, etc., as applicable.

2. Variation in Quantities: The quoted rate shall not alter on account of any variation/deletion nor shall it vitiate the Work Order in any way.
We reserve the right to delete/modify/addition of any items during the course of the contract.

3. Payment shall be made after receipt of the certified bill at the Site office with actual measurements as per the approval given by the site
engineer against regular RA bills. The contractor shall raise bills as per work done at the site and payments will be made within 15 days from
the date of submission of the bills.

3.1. 25% of the Item Rate will be paid every quarter (3 Months).

4. Taxes:

4.1. All the applicable taxes Inclusive of ESI and EPF as per statutory norms are included in the contractor scope

4.2.The contractor has to remit GST as per the applicable TAX laws and file GSTR-3B and GSTR-1 as per the due dates specified by the
government.

4.3.Further, the invoice details along with the payment of the GST amount have to be reflected in our GSTR-2A at the end of the filing
period.

4.4.If this is not complied with, the company has every right to take necessary action like recovery of the GST Amount paid on the bills so far
and other actions as deemed fit against the contractor.

5. Schedule of the Work:

5.1 Start of work: The contractor shall mobilize all the necessary tools, equipment, and Manpower within one week from the date of the
issue of the work order.

5.2.Time Schedule: Time is the essence of the contract. The time period for the completion of the scope of work shall be as per the
requirement of the Project Schedule. The contractor may commence execution of the work on the start date and shall carry out works and
complete them as per site condition

5.3.Extra Items of Work: Not Applicable

Others :
1. Workmanship: The contractor shall carry out the works to the entire satisfaction of the company, in accordance with the drawings and
specifications, written instructions, directions, and explanations, as may be given by the architect and the company. If any stains, lumps, and
damages are found then it is the responsibility of the contractor to clean it and repair the damage that occurred on a daily basis. If the
contractor fails to do so then the cost incurred for cleaning or damage done will be debited from the contractor's account.

2. HouseKeeping: Housekeeping at the site should be of the highest order. All the waste generated should be disposed of on a day-to-day
basis. Waste should not be dumped everywhere at the site. Shifting and removal of waste from the site shall be done on a daily basis or on
mutually agreed periodicity. The client retains the right to deduct a part of your running bill if the housekeeping is found inadequate or
wanting. The retained amount shall be released on satisfactory completion of housekeeping.

3. Damages for non-completion: If the contractor fails to complete the works by the due date as per the schedule given, Scope of works
and despite repeated instructions, if the contractor fails to show satisfactory progress of the work, the employer may take suitable action as
deemed fit, including laying of liquidated damages, not exceeding 0.5% of the contract price for a delay of every week or part thereof,
subject to a limit of liquidated damages levied under the clause to 5% of contract price without prejudice to any terms and conditions of the
contract.

4. Dispute Resolution: Any dispute arising from the interpretation or execution of this contract which cannot be settled amicably shall be
referred to a panel of three arbitrators one appointed by the Employer and the other one by the Contractor and these two arbitrators shall
appoint the presiding arbitrator and resolved under the provisions of Indian Arbitration & Conciliation Act 1996 and the rules of International
Chamber of Commerce, which shall be binding on both the parties. The pendency of such a dispute shall be independent of your obligations
with regard to the said Works and shall not result in the suspension of the said Works.

5. Labour, Insurance & Others:

5.1.The Contractor shall employ labor in sufficient numbers either directly or through subcontractors to maintain the required date of
progress and of quality to ensure workmanship to the degree specified in the contract and to the satisfaction of the Engineer –in –charge.

5.2.The contractor shall not employ, in connection with the works, any person who has not completed 18 years of age. The Contractor
shall pay to labor employed by him, either directly or through subcontractors, wages not less than fair wages, as defined in the Contractor’s
Labour Regulations.

5.3.The Contractor shall in respect of labor employed by him, either directly or through subcontractors, comply with or cause to comply with
contractor’s labor Regulations in regard to all matters provided therein. The Contractor shall comply with the provisions of the Payment of
Wages Act, 1936, Minimum Wages Act, 1948, Workmen’s Compensation Act 1923, Industrial Disputes Act, 1947, Maternity Benefit Act
1961, or any modifications thereof or any other law relating thereto and rules made thereunder from time to time.

5.4.The Contractor shall be liable to pay his contribution and the employee’s contribution of the State Insurance Scheme in respect of all
labor employed by him for the execution of the contract, in accordance with the provision of “The Employees State Insurance Act, 1948” as
amended from time to time. The Contractor shall apply to the ESI Authorities, get himself registered with them, and obtain a code
Number. The contractor shall pay the remittances under his Code Number only.

5.5.The Contractor shall be liable for his contribution and the employee’s contribution towards PF as per Provident Fund Rules and
Regulations, in respect of all labor employed by him for the execution of the contract. The Contractor shall apply to the PF Authorities, get
himself registered, and obtain a code number from them. He shall pay the remittances toward PF under his code number only.

5.6.The Contractor shall provide at your cost insurance coverage for all the workers, labor, workmen’s compensation policy, and third-party
liability. The Contractor shall be wholly responsible for full compliance with the provisions under all labor laws.

5.7.The contractor must provide proof of compliance with the above; in the event of non-compliance with the above Client shall deduct the
same from your bills and pay to the concerned statutory authorities.

6. First Aid Equipment: The Contractor shall establish a fully equipped and staffed first aid center on the Site to deal with accidental injuries
and workers' health.

7. Safety & Quality:

7.1.Safety measures should be strictly followed at all levels by adopting the necessary safety measures like Helmets, Gum Shoes, Safety
Belts, Masks, etc., and all risks of loss or damage to physical property and of personnel injury which arise during the performance of the
contract are the responsibility of the contractor. Quality shall be observed at every stage of work. The work should be executed in
accordance with the standard specifications and requirements of the quality control dept. of Venkata Praneeth Developers Pvt Ltd.

7.2.If the contractor fails to improve the standards of safety in its operation, to the satisfaction of the Client, after being given a reasonable
opportunity to do so and/or / if the contractor fails to take appropriate safety precautions or to provide necessary safety devices and
equipment or to carry out instructions regarding safety issued by the authorized Client official, Client shall have the right to take corrective
steps at the risk and cost of the contractor, after giving a notice of not less than seven days, indicating the steps that would be taken by
Client.

7.3.In the development and implementation of its Safety and Health Plan (S&H Plan) and performance of the Work, the Contractor shall
conform and comply with the Owner’s “Environment Health and Safety Guidelines”. In the performance of the Work under this contract, the
Contractor shall establish and maintain a security program, implementing and supplementing Project security requirements. This shall
include a written Security Plan which shall be submitted to the Owner for review and approval within five (5) calendar days after contract
award and in any event prior to commencing work at the Jobsite. The owner shall review and revert with comments, if any, within two (2)
days. Such program shall include:

1. Controlled access to office, warehouse, material, and equipment sites.


2. Physical security of the office, warehouse, material, and equipment sites, including periodic security checks of all work areas
assigned to the Contractor.
3. Control of material and equipment packaging, transportation, and delivery to the Jobsite.
4. Accountability procedures for storage, requisition, and issue of material and equipment.
5. Personnel security to include, but not limited to, compliance with Project work rules (access, badging, prohibited activities, and items,
etc.)
6. Communications security includes, but is not limited to, the use of radios, radio finders, beacons, etc.
7. Compliance with the Project Emergency Response Plan to include, but not limited to, emergency notification lists, personnel
accountability procedures, etc.
8. Compliance with all Project security programs and the coordination measures, with the Owner and others on the Jobsite, established
for that purpose. Prompt reporting of incidents of loss, theft, or vandalism to the Owner is subsequently detailed and provided in
writing.

8. Indemnity: The Contractor hereby indemnifies and keeps indemnified and holds harmless the Company against and from all claims,
actions, suits, demands, liabilities, charges, and any / all proceedings and any/ all losses or damages or cost or expenses including legal
fees and expenses) including third-party claims that may be suffered, incurred, or expected to be so suffered or incurred by the Company on
account of anything done or omitted to be done by the Contractor in connection with this Work Order / Subcontractor any part thereof, the

Works and performance of its obligations, duties, responsibilities or liabilities under this Work Order/ Subcontractor otherwise.

9. Notice: Notices hereunder shall be in writing and shall be deemed received when sent by personal delivery or by mail, Registered Post,
and properly addressed at the locations set forth below or by facsimile transmission to such numbers as the parties may specify provided
that successful transmission of the notices is confirmed by the sender’s facsimile machine

10. Force Majeure:

10.1.Any delay or impediment in the fulfillment of its obligation by either party by reason of force majeure, such as acts of nature like floods,
earthquakes, or epidemics. Acts of war, civil war, and transport strike shall constitute excusable delay, and no compensation or idle time
payment shall be made for such delays, but the extension of time for such period shall be granted by us after examining the merit of the
case for such each individual happenings.

10.2.No party is liable to another party for any failure to perform its obligations under this Agreement if caused by a Force Majeure Event. If
a party’s performance under this Agreement is affected by a Force Majeure Event: then such affected party must immediately notify the
other party in writing, and give the details of the Force Majeure Event; the parties will consult each other on the action required to address
the impact of the Force Majeure Event; the affected party will take all steps necessary to address the impact of the Force Majeure Event;
and a party may terminate this Agreement, upon giving fifteen (15) days’ notice to the other parties, if the Force Majeure Event continues for
more than two months and the impact of the Force Majeure Event cannot be addressed satisfactorily.

11. Termination of Contract:

11.1.Either Party is entitled to terminate this WO by giving notice in writing to the other party if the other Party commits any material breach,
non-observance, or non-performance of its obligations as per the WO and fails to or does not remedy the same within seven (7) days of
receipt of written notice of such failure or breach.

11.2.Venkata Praneeth Developers Pvt Ltd has the right to terminate or curtail the scope of works, due to non-performance and bad
workmanship of the contractor, by giving seven (7) days clear notice and will be at liberty to execute the work through a third party at your
risk and cost.

11.3.Upon Termination the Contractor shall cease all further work, except for such work as the Company may specify for the sole purpose of
protecting that part of the Works already executed and the contractor shall deliver to the Company, all Contractor’s Documents including
drawings, specifications, and standards and other documents prepared by the Contractor, if any as at the date of Termination.

11.4.No amount shall be due and payable to the Contractor in the event of termination of the Work Order unless and until the Works as
contemplated herein are completed in entirety, the Taking Over Certificate for the entire Works have been issued and all payments finally
due on any account to the Company and/or another contractor (s) engaged in respect of the outstanding Works have been finally paid and
settled. On completion of the outstanding Works by the Company and/or another contractor (s), the cost, expenses, charges etc., incurred
for completing such outstanding Works either itself or through another contractor(s), shall be determined and settled in the following means:

11.5.The sum which is already paid to the Contractor under this Work Order/ Contract; plus, the costs, expenses, and charges subsequently
incurred by the Company in completing the outstanding Works, either itself or through another contractor (s), exceeds the Contract Amount,
then the Contractor shall be liable for paying such excess amounts, which is over and above the Contract Amount to the Company. The
Contractor undertakes to pay such amounts within 30 (thirty) days of receipt of the demand notice issued by the Company.

11.6.Notwithstanding any other provision contained herein to the contrary or otherwise and without prejudice to any other rights and
remedies available to the Company under the Work Order and the Applicable Laws, no amount shall be due and payable to the Contractor
in case any of Contractor’s breach or default results in the termination of this Work Order.

12. Jurisdiction and Governing Law: The Courts at Hyderabad shall have exclusive jurisdiction with regard to any matter or dispute arising
out of this Work Order. The Laws of India will apply to this Work Order.

The Work Order shall be governed by and interpreted in accordance with the Laws of India and the Courts of Hyderabad have non-exclusive
jurisdiction in any legal proceedings arising out of or relating to this work order.

Kindly acknowledge the Original set of the “Work Order” enclosed and return one set of this order duly signed as a token of your
acceptance.
