Interior Design Contract

This Interior Design Contract (hereinafter referred to as the "Contract") is entered into as of
January 27, 2024, by and between EVAN GUNNELL, with a mailing address of 7715 W 80th
St, Playa Del Rey, CA 90293, (hereinafter referred to as the "Client") and SP DECOR, with a
mailing address of 10215 Estuary Lakes Dr, Tampa, FL 33619 (hereinafter referred to as the
"Interior Designer"), collectively referred to as the "Parties", both of whom agree to be
bound by this Contract.

1. Purpose. The Client hires the Interior Designer to provide the following services related
to interior design:
Interior Finishes: This includes flooring, wall finishes, painting, ceiling installations,
cabinetry, and door and window installations.

(hereinafter referred to as the "Interior Design Project").

2. Project Location. The Interior Design Project will be located at the following address:
7715 W 80th St, Playa Del Rey, CA 90293

3. Interior Design Project Description. Design Concept Presentation: A visual presentation


showcasing the overall design concept, including colour schemes, material selections,
furniture layouts, and inspiration images.
Floor Plans and Layouts: Detailed drawings or digital renderings illustrating the proposed
furniture arrangement, spatial planning, and flow of the interior spaces.
Material and Finishes Schedule: A comprehensive document listing the specific materials,
finishes, and textures to be used in different areas of the project, including flooring, wall
treatments, lighting fixtures, and other decorative elements.

Furniture, Fixtures, and Equipment (FF&E) Specifications: A detailed inventory and


specifications list of all furniture pieces, fixtures, and equipment to be used, including brand,
model, dimensions, and any customisation details.

4. Revisions. The Client shall be entitled to 2 revisions. Any revisions beyond 2 shall be
chargeable at a rate of $100,000.00.
5. Materials. The Interior Designer agrees to furnish the materials necessary to perform the
Services in accordance with the terms and conditions contained in this Contract and at the
expense of the Client.

The Interior Designer will be required to supervise the construction or remodelling work
required for this Interior Design Project.
6. Schedule. The Interior Designer will complete the Services in accordance with the
following schedule.
The Client agrees that all dates are subject to change if they request any changes or

additions to the Services. The completion date is further subject to weather conditions.

Start Date: August 10, 2025

Substantial (40%) Completion Date: September 10, 2025

Full Completion Date: October 12, 2025

7. Terms of Agreement. This Contract is in full force and effect from the start date of this
Contract until this Contract has finished.

8. Compensation. The Client and the Interior Designer agree to the following Payment and
Payment Terms:
The total fee for the Interior Designer's services shall be $1500000.00. The prepayment due
upon the execution of this contract shall be $800000.00 and the remaining balance due
upon completion of all Services shall be $700,000.00.

9. Modifications. Any changes and/or modifications to this Contract must be made in


writing to be signed by both Parties.

10. Termination. The Client can terminate the Contract by giving written notice:
• If the Interior Designer commits any breach of this Contract and fails to correct the
breach within 7 days notice of the breach;
• If there is any failure by the Interior Designer to provide services of an acceptable
standard and to the reasonable satisfaction of the Client.

The Interior Designer can terminate the Contract by giving written notice:
• If the Client fails to make the payments required and set forth in the Contract within
7 days notice of failure to make a payment;

If the Client commits any other material, non-financial breach and fails to correct the
breach within 5 days notice of the breach.

11. Confidentiality. Any information or knowledge obtained during the term of this Contract
about the Client is considered confidential.
Should the Interior Designer or actions of their employees lead to the Client's confidential
information being disclosed to any unauthorised parties, the Client shall have the right to
seek legal action in accordance with the law.

12. Return of Property. Upon the conclusion of this interior design Contract, either by
termination or completion of the terms of the Contract, all property given to the Interior
Designer by the Client, such as keys, entry codes, etc. shall be returned in the condition it
was given.

13. Relationship of the Parties. The Interior Designer is an independent contractor. Neither
Party is an agent, representative, partner, or employee of the other Party. The Parties
understand this Contract is not an exclusive arrangement. The Parties agree that they are
free to enter into other similar agreements with other parties. The Interior Designer agrees
that they will not enter into any agreements that conflict with their obligations under this
Contract.

14. Limitation of Liability. The Parties each agree to indemnify and hold harmless the other
Party, its respective affiliates, officers, agents, employees, and permitted successors and
assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages,
expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result
from the negligence of or breach of this Contract by the indemnifying party, its respective
successors and assigns that occurs in connection with this Contract. This section remains in
full force and effect even after termination of the Contract by its natural termination or the
early termination by either party.

15. Legal Fees. In the event of a dispute resulting in legal action, the successful party will be
entitled to its legal fees, including, but not limited to its attorneys' fees, collection fees and
the like.
16. Sever-ability. In the event that any provision of this Contract is deemed invalid or
unenforceable, in whole or in part, that part shall be severed from the remainder of the
Contract and all other provisions should continue in full force and effect as valid and
enforceable.

17. Legal and Binding Contract. This Contract is legal and binding between the Parties as
stated above. The Parties each represent that they have the authority to enter into this
Contract.

18. Governing Law and Jurisdiction. The Parties agree that this Contract shall be governed
by South Carolina law.

19. Entire Agreement. The Parties acknowledge and agree that this Contract represents the
entire agreement between the Parties. In the event that the Parties desire to change, add,
or otherwise modify any terms, they shall do so in writing to be signed by both Parties.
The Parties agree to the terms and conditions set forth above as demonstrated by their
