Webnue, LLC MSCL Holdings, LLC Agreement and Terms and
Conditions
This agreement ("Agreement") is made on ______________________________________ , 20____ by and between
______________________________________________________________________________ ("Client" as selected
in your signature page) and Webenue, LLC & MSCL Holdings, LLC and/or its Affiliates and Subsidiaries
(the "Company").
This Agreement can only be completed by the new Client.
I understand that there is no requirement beyond completing this application and no purchase of sales
or training materials are required to operate my business. I acknowledge that any purchase of sales
aids, training materials or training is strictly voluntary.
I understand that:
Webenue, LLC & MSCL Holdings, LLC is in the business of Niche based Websites with affiliate ties to other
companies of the Client's choosing.
I also agree to be bound by Webenue, LLC & MSCL Holdings, LLC's Terms and Conditions, which are attached
and I have read and understand.

For purposes of this Agreement and its Terms, Webenue, LLC & MSCL Holdings, LLC its parents, subsidiaries and
affiliates shall be referred to as "Webenue.


Therefore, It is agreed that:
Definitions
1.1 "Cli ent" means a busi ness or indivi dual that agrees to the terms and conditions of this
Agreement set forth. A business or individual who has elected to participate in the services that Webenue, LLC &
MSCL Holdings, LLC has developed.

1.2 Territory means an Internet territory defined by keywords and keyword phrases. Used in .
pay-per-click advertising, website indexing and optimization.

Contract Period
2.1. The Contract period for the Agreement is for one (1) year from date of acceptance and shall
continue and automatically renew for additional one (1) year terms unless written notice of termination is
received at least thirty (30) days prior to the auto renewal date.

2.2. Upgrading packages or optional marketing services or website upgrades, can be done at any
time upon approval of both you and Webenue, LLC & MSCL Holdings, LLC. Upon any upgrade or
change in status, the terms of this Agreement shall still apply as well as any other additional terms
that may be agreed between you and Webenue, LLC & MSCL Holdings, LLC (provided such
additional terms are in writing) and shall automatically extend the term of this Agreement one (1)
year from date of the upgrade or change status and the Agreement shall continually and
automatically renew for additional one (1) year terms unless written notice of termination is
received at least thirty (30) days prior to the auto renewal date.

2.3 Advertising, other than PPC, may be finished prior to or may continue to affect the clients
business after the one year term.
Responsibilities
3.1 Webenue, LLC & MSCL Holdings, LLCAgrees:
a. To fulfill all advertising packages, including but not limited to: Fulfillment includes
custom blog creation, Custom blog services, custom article creation, SEO Services,
custom email campaigns, message creation, keyword selection, PPC ad creation, Press
Release creation and Distribution, and all administrative duties created thereby.
b. Fulfilled package shall be itemized in the Service Invoice.
c. To handle or reply via phone and email to all incoming responses to the ad campaigns created for
the client.

d. To handle or reply to all incoming prospects generated by means other than the ad campaigns
created for the client

e. To provide ongoing customer service, account monitoring and website updates for the
contract term.
f. To provide training and ongoing motivational programs for the Webenue, LLC
clients.
g. To post changes to the Webenue, LLC & MSCL Holdings, LLC Terms and Conditions and the
Agreement
on their main site, seen at www.gowebenue.com/terms as well as make a reasonable
attempt to contact the client in order to alert them of any such changes.

3.2 Client Agrees:
a. To follow the company's recommended practices of promoting my website.
b. To use its best efforts to learn about and grow its business with the assistance of Webenue, LLC
& MSCL Holdings and the various resources that are and will be continue to be available.

c. To protect Webenue, LLC & MSCL Holdings, LLC trademarks and trade name by obtaining the
Companys written permission prior to my use in any advertising (including but not limited to the
Internet) or literature other than Company-published material.

d. As a Business Owner, to assume sole liability for all self-employment (Social Security), income taxes,
and other reports required by my activities as Business Owner and to abide by all federal, state and
local laws governing my web-based business.

e. I understand that as a Business Owner, I am free to select my own means, methods and
manner of operation and that I am free to choose the hours and location of my activities
under this Agreement, subject only to the terms of this Agreement and all Webenue, LLC &
MSCL Holdings, LLC Terms and Conditions. As a Business Owner, I am responsible for my
own business conduct, decisions, taxes and expenses.

f. As a Business Owner, I will provide Company with all legal and tax documentation required by law.
These documents will include, but are not limited to: this agreement; a completed W9, disclaimers, and
service payment invoices for the program.

g. In the process of selling or otherwise promoting the products or services that Webenue, LLC
& MSCL Holdings, LLC markets, I agree that I, will operate in a lawful, ethical and moral
manner and I agree to make no false or misleading statements regarding the various
relationships between Webenue, LLC & MSCL Holdings, LLC.

4. I understand that this Agreement is not binding until received and accepted by Webenue, LLC &
MSCL Holdings, LLC. I agree to timely pay for any products, materials or services or other items
that I purchase from Webenue, LLC & MSCL Holdings, LLC. In the event that I am delinquent with
respect to such payments, I acknowledge that Webenue, LLC & MSCL Holdings, LLC will use any
legal remedies to secure payment.
5. I acknowledge that as a Business Owner, I am not guaranteed any income nor am I assured of
any profits or success, and I certify that no claims of guaranteed profits or representations of
expected earnings that might result from my efforts.

6. I understand that Webenue, LLC & MSCL Holdings, LLC offers various services and such services may
change from time to time without notice. Further, I understand that Webenue, LLC & MSCL Holdings, LLC
strongly recommends users marketing to assist in business growth.
7. I agree to keep accurate records and shall not engage in or perform any misleading, deceptive or
unethical practices. I further agree to abide by all federal, state, and local laws and regulations governing
the sale or solicitation of the products and services marketed by Webenue, LLC & MSCL Holdings, LLC,
including but not limited to, any and all permits and licenses required to perform under this Agreement.
8. Webenue, LLC & MSCL Holdings, LLC may terminate this Agreement pursuant to its Terms and Conditions
or in
the event that I breach any part of this Agreement.
9. I acknowledge that Webenue, LLC & MSCL Holdings, LLC markets products and services to end customers
at

rates established by Webenue, LLC & MSCL Holdings, LLC or its carrier/supplier/service provider(s) from
time to time and that those products, services and rates shall be subject to change without prior notice.
10. Webenue, LLC & MSCL Holdings, LLC shall periodically make various sales literature, promotion materials,
training and other products or services available. I, however, am under no obligation to purchase any
quantities of those materials or services at any time. Rather, I will have the option to order and purchase
any materials or services, which I may choose.
11. I understand and agree that the Terms and Conditions set forth in this agreement are binding upon me. I
further acknowledge that Webenue, LLC & MSCL Holdings, LLC fully reserves its right to modify this
Agreement, the Webenue, LLC & MSCL Holdings, LLC Terms and Conditions at any time by
providing me with written notification or verbal communication through the Webenue, LLC &
MSCL Holdings, LLC website (www.gowebenue.com/terms) or such modification through other
written or verbal communication from Webenue, LLC & MSCL Holdi ngs, LLC. For purposes of
this Agreement, my address as indicated on this Agreement shall be deemed to be my correct
address unless and until written notification of a change of address is provided by me to
Webenue, LLC & MSCL Holdings, LLC.

Notice of Cancellation.

I may cancel this transaction, without any penalty or obligation, for a full refund, within
three (3) business days from the date of this Agreement, exclusive of the date of signing or
if processed electronically the date of this Agreement is submitted to Webenue, LLC & MSCL
Holdings, LLC for processing. I understand that if I cancel after the three (3) day period,
I am not entitled to a full refund. This limitation is not applicable in Georgia or if
superseded by any state law. If I cancel within the three (3) business days from the date
of this Agreement, any payments made by me under this Agreement and any instrument
executed by me will be returned within fifteen (15) business days following receipt by
Webenue, LLC & MSCL Holdings, LLC of my Cancellation Notice. To cancel this
Agreement, I must mail, via registered or certified mail, return receipt requested, or
deliver personally to Webenue, LLC & MSCL Holdings, LLC a signed, dated copy of a
Notice of Cancellation, or send a telegram to Webenue, LLC & MSCL Holdings, LLC, 11024

inconsistent with Webenue, LLC & MSCL Holdings, LLC' s policy, such state law shall be in
