Pendahuluan

BAB 1 PENDAHULUAN
Pasar modal merupakan suatu sarana yang disediakan dalam rangka mencari
sumber pembiayaan maupun sebagai sarana investasi yang melibatkan
seluruh potensi dana masyarakat. Pasar modal pun dijadikan alternatif
pendanaan baik bagi pemerintah maupun swasta.
Pasar modal juga menjadi salah satu indikator pertumbuhan ekonomi suatu
negara sebab pasar modal sangat berkaitan dengan kemampuan masyarakat
suatu negara untuk mengeluarkan modalnya dalam melakukan investasi.
Indonesia telah memiliki peraturan khusus mengenai pasar modal, yaitu
didalam UndangUndang Nomor 8 Tahun 1995 tentang Pasar Modal
(Selanjutnya disebut UUPM). Pasar modal diartikan sebagai suatu kegiatan
yang berkenaan dengan penawaran umum dan perdagangan efek,
perusahaan publik yang berkaitan dengan efek yang diterbitkannya, serta
lembaga dan profesi yang berkaitan dengan efek (Pasal 1 angka 13 UUPM).
Kegiatan yang ada dalam pasar modal adalah kegiatan penawaran dan
permintaan efek dan telah diatur secara rinci oleh Bursa Efek Indonesia
(Selanjutnya disebut BEI) sebagai pihak yang memiliki wewenang untuk
mengatur dan mengelola perdagangan di bursa. Disis lain, dunia pasar modal
yang tergolong highly regulated masih memiliki permasalahan-permasalahan
terutama terkait dengan kejahatan pasar modal, salah satunya insider trading.
 Pemegang saham minoritas
Pemegang saham minoritas merupakan salah satu pihak yang rawan terkena
dampak insider trading. Menurut penulis, pihak-pihak yang dapat dikatakan
sebagai pemegang saham minoritas adalah pihak yang memiliki saham emiten
dalam jumlah sedikit dan bukanlah pemegang saham yang memiliki kendali

arah emiten atau dapat dikatakan bukan pemegang saham
pengenadli. Lebih lanjut, pemegang saham minoritas merupakan pemegang
saham yang memiliki saham emiten kurang dari 5% (lima perseratus) dari
jumlah seluruh saham yang diperjualbelikan emiten di pasar modal. Hal tersebut
didasarkan pada ketentuan Pasal 87 ayat (2) UUPM dan Pasal 2 ayat (2) POJK
nomor 11/POJK,04/2017 tentang Laporan Kepemilikan atau Setiap Perubahan
Kepemilikan Saham Perusahaan Terbuka.

Pada umumnya, pemegang saham minoritas tidak memiliki akses yang besar untuk segera
mendapat informasi mengenai perusahaan dimana ia menanamkan modalnya. Pemegang saham
minoritas baru mengetahui adanya

Hal tersebut menjadi salah satu penyebab praktik insider trading sangat rawan

kecepatan dalam menerima informasi material. Pemegang saham minoritas yang ikut berinvestasi
dalam pasar modal Indonesia dapat menggambarkan iklim investasi yang baik di Indonesia.
Pemegang saham minoritas sudah menaruh kepercayaan pada pasar modal Indonesia dalam
menginvestasikan modalnya meskipun mengetahui bahwa modalnya tidak selalu menghasilkan
keuntungan apabila tidak dibarengi oleh kemampuan dalam menganalisis pasar.
 Insider trading
Insider trading merupakan istilah yang mengacu kepada praktik dimana orang dalam
(corporate insider) melakukan transaksi sekuritas dengan menggunakan informasi
eksklusif yang mereka miiliki yang belum tersedia bagi masyarakat. Informasi
eksklusif yang dimiliki seseorang akan menempatkan dirinya pada posisi yang
diuntungkan (informational

Praktik insider trading memberikan kedudukan yang lebih menguntungkan bagi

sehingga pihak lain tersebut tidak dapat mengambil keputusan untuk membeli
atau menjual saham yang dipegangnya (Tandi Pada Palayukan, dkk,
2013: 93). Hal tersebut sangat merusak citra pasar modal sebab pasar modal
dibangun atas dasar kepercayaan antara sesama pelaku pasar modal dan
memberikan hak yang sama untuk melakukan aktivitas transaksi efek.
Sulitnya pembuktian terhadap praktik insider trading menyebabkan
ancaman tersendiri bagi para investor, terutama pemegang saham
minoritas yang cenderung untuk bersikap diam ketika terjadi insider
trading sebab tidak mengetahui apa yang harus diperbuat dan kepada
siapa harus mengadukan hal tersebut. Perlindungan hukum bagi
pemegang saham minoritas harus menjadi perhatian khusus bagi otoritas
pasar modal, sebab pemegang saham ini selalu mengandalkan informasi
yang tersedia di pasar secara resmi.
Perlindungan hukum yang baik juga ditujukan agar pemegang saham
minorias merasa terlindungi hak-hak nya dalam berinvestasi di pasar
modal Indonesia sehingga merasa terjamin dan tidak jera dalam
berinvestasi.
 Metode Penelitian
Jenis penelitian yang penulis gunakan pada artikel ini adalah penelitian
hukum normatif. Penelitian hukum normatif adalah penelitian hukum
yang dilakukan dengan cara meneliti secara mendalam norma-norma
hukum atau asas-asas hukum. Bentuk penelitian ini adalah penelitian
bersifat preskriptif, yaitu menganalisis koherensi antara norma hukum
dan prinsip hukum, antara aturan dan norma hukum serta koherensi
antara tingkah laku dengan norma hukum (Peter Mahmud Marzuki,
2014 : 41-42). Pendekatan penelitian yang penulis gunakan adalah
pendekatan perundang-undangan dengan teknik pengumpulan bahan
hukum melalui studi kepustakaan. Data yang diperoleh berasal dari
data sekunder, yang terdiri dari analisis pada bahan hukum primer
dan bahan hukum sekunder, yaitu peraturan perundang-undangan,
buku-buku, jurnal, surat kabar dan artikel ilmiah lainnya.
 Simpulan
Bentuk perlindungan hukum yang diberikan kepada pemegang saham
minoritas ketika terjadi insider trading dapat dibagi menjadi 2 (dua)
bentuk, yaitu:
1. Perlindungan hukum berdasarkan sistem auto rejection yang berperan
untuk menekan kerugian pemegang saham minoritas ketika ketika
insider trading. Pengaturan mengenai batasan harga tertinggi dan
terendah dalam satu hari bursa menjadi cara agar keuntungan yang
didapat oleh pelaku insider trading dan kerugian yang dialami
pemegang saham minoritas dapat ditekan.
2. Perlindungan hukum melalui upaya pemegang saham untuk
mengajukan gugatan perdata ke pengadilan. Pemegang saham
minoritas diberikan kesempatan oleh undang-undang untuk
mengajukan gugatan perdata kepada pihak-pihak yang terlibat insider
trading. Gugatan perdata dimaksudkan sebagai upaya pemegang
saham minoritas untuk mendapat ganti rugi dari pelaku insider trading
