Background (i)

PT Pertamina Hulu Energi (PHE) is the strategic operating arm of PT Pertamina


(Persero) in managing
upstream oil-and-gas business activities. So far, PHE has been managing portfolio
and/or operational
of 57 subsidiaries, 8 joint ventures and 2 affliated companies that manage oil-
and-gas blocks domestically
and internationally, as well as running in oil-and-gas downstream business
activities and services.
Background (ii)

 The operation of PHE has been a realization of the oil-and gas


upstream business activity management strategy based on Law No.22
Year 2001 on Oil and Gas dated on November 23, 2001 by PT
Pertamina (Persero). Based on the regulation, PT Pertamina (Persero)
is obligated to separate the upstream and downstream operational
activities of oil and gas.
Background (iii)

 PT Pertamina (Persero) has repositioned the management of its upstream


working areas where they were previously managed by PT Pertamina
(Persero) cooperating with third parties. Then its management was
handed over to PHE to replace the position of PT Pertamina (Persero)
by transferring the Participating Interests in oil and gas blocks to PHE
subsidiaries based on the approval of PT Pertamina's (Persero) Board
of Directors and Board of Commissioners on November 6, 2007 and
September 18, 2007
