General Standards of Directors
a.) A director shall discharge the
duties as a director, including the
duties as a member of a committee.

 In a manner that reasonably
believes to be in the best interest
of the cooperative.

b.) In discharging his /her duties, a director is
entitled to relay on information, opinions,
reports, or statements and other financial data if

Director Conflict of Interest
This occurs when Director’s transaction is
not agreed by the cooperative and the
general assembly.

For instance,
• If the material facts of any transaction with the
cooperative or committee authorized, approval of any
transactions were not properly ratified by the members
and officers cooperative, will be fair. Otherwise, it
consider fair and decided properly by the general
assembly and the board of directors.
