PERFORMANCE OF CONTRACT
According to Section 37 of the Indian Contract Act, “The parties
to a contract must either perform, or offer to perform, their
respective promises, unless such performance is dispensed with or
excused under the provisions of this act, or of any other law.”
WHO CAN DEMAND PERFORMANCE
 PROMISEE - It is only the promisee who can demand performance
of the promise under a contract.
 LEGAL REPRESENTATIVES - In case of the death of the
promisee, his/her legal representatives are entitled to enforce the
performance of the contract against the promisor.
WHO CAN PERFORM PROMISE
 PROMISOR - If a contract indicates that the parties intended for the promisor to fulfil the promise himself, then the
promisor is obligated to perform the promise.

 LEGAL REPRESENTATIVE - If the promisor dies before performing the promise, then the legal representatives
become responsible for the same. If the promise involves the utilization of personal skills or expertise, then the
consideration ceases with the death of the promisor.

 AGENT OR THIRD PARTY- If the contract does not require the personal consideration of the promisor, then
the promisor can employ a competent person to perform the promise.
 JOINT PROMISOR - When two or more persons make a joint promise, the promisee may, in the absence of
express agreements to the contrary, compel any one or more of such joint promisors to perform the whole
promise.
