The following are the different kinds of meetings:

(A)STATUTORY MEETING (SEC.165)

The first general meeting of the members of a


public company is known as the statutory
meeting.
According to sec. 165 of the companies act 1956
every public company limited by shares and every
company limited by guarantee and having a share
capital, shall hold the statutory meeting within a
period of not less than one month and not more
than six months from the date of commencement
of the business of the company.
Companies Exempted:

• Private companies
• Companies with unlimited liability
• Companies limited by guarantee, having no
share capital
• A private company converted into public
company after six months of its incorporation.

(B)Annual general meeting (sec.166)
Annual general meeting is another important
meeting of the members of the company. It is
compulsory for every company to hold an annual
general meeting every year. Every public and
private company is required to hold at least one
meeting of its members during the year. This
meeting is also called ordinary meeting.

(C)Extraordinary General Meeting
The statutory meeting and general meetings of a
company are called ordinary meetings. All
general meetings other than these meetings are
called extraordinary meeting.
Such meetings can be held at any time that the
directors think fit and in accordance with the
terms of the Articles of Association.
(D)Class meeting

Where the share capital of the company consist of


different classes of shares meetings of different
classes of shareholders may have to be called in
order to discuss the matters affecting them.
DIRECTORS’ Meetings
• These meetings are open to the members of the
Board of Directors of the Company:
There are two types of Director’s Meeting:
1.Meeting of board of Directors: are often held to
frame policies and to review the progress of the
Company.
2. Meetings of Committee : These meetings are
held as and when necessary and to send their
report or findings to the Management.
CREDITORS’ Meetings

• Creditors’ meetings are held to take decisions on


matters affecting their interests. These meetings
may be of following kinds:
a) Debenture holders’ Meetings.
b) Meetings of Creditors otherwise than in
winding up
c) Meeting of Creditors & contributories in a
Winding up
