Who is unpaid Seller ?


• A seller of goods is called as an unpaid seller in
the following conditions :
I. When the whole of the price has not been paid
or tendered.
II. When the price was paid through a negotiable
instrument which was dishonored by the
concerned person therein.
III. When the goods are sold on credit, the buyer
fails to pay on the due date of payment.
Rights of unpaid seller
• There are two kinds of rights of an unpaid seller .
They are as follows :
1. Right against the goods
2. Right against the buyer
1. Rights against the goods
• Right of lien
• Right to stoppage of goods in transit
• Right to resale
2. Rights against the buyer.
• Suit for price
• Suit for damage or non-performance of contract
• Suit for special damage and interest
