ARTICLE 13 - TERM
• A cooperative is established for a maximum duration of fifty
(50) years from the date of its registration, unless it is
dissolved earlier, or its duration is extended. The duration of
the cooperative term, as initially specified in the articles of
cooperation, can be prolonged for durations that do not
surpass fifty (50) years in any individual case through an
amendment of the articles of cooperation, in compliance
with the provisions outlined in this Code. It is important to
note that any extension of time cannot be requested until at
least five (5) years before the original or future expiration
date or dates, unless there are valid reasons for an earlier
extension as established by the Cooperative Development
Authority.
ARTICLE 14 – ARTICLES OF
COOPERATION
• In order to initiate the registration process, any cooperative
is required to submit the articles of cooperation to the
Cooperative Development Authority. These articles must be
signed by all organizers and duly recognized by them if they
are natural persons. If the organizers are juridical persons,
the articles should be signed by their respective presidents
or secretaries, and the signatures must be notarized by a
notary public.
ARTICLE 15 – BY LAWS
• Any cooperative that wishes to be registered under
this Code must establish bylaws that are in
accordance with the provisions outlined in this
Code. The by-laws are required to be submitted
concurrently with the articles of incorporation.
ARTICLE 16 - REGISTRATION
• A cooperative that is established in accordance with this Code obtains
legal recognition from the date when the Cooperative Development
Authority grants a certificate of registration, which is affixed with its
official seal. The Cooperative Development Authority is required to
process and make a final decision on all registration applications within
a maximum period of thirty (30) days from the date of submission. If the
authority fails to meet this deadline, the application is considered
approved, unless the delay is due to the fault of the applicant. In the
event that the application for registration is denied, it is permissible to
file an appeal with the Office of the President within a period of ninety
(90) days from the date of receiving the notification of refusal.
Additionally, it should be noted that if the Office of the President does
not take action on the appeal within a period of ninety (90) days after its
submission, it shall be deemed as an approval of the aforementioned
application.
ARTICLE 17 – CERTIFICATE OF
REGISTRATION
• The issuance of a certificate of registration by the
Cooperative Development Authority, bearing its
official seal, serves as definitive proof that the listed
cooperative has been lawfully registered, unless it
can be demonstrated that the registration has been
revoked.
ARTICLE 18 – AMENDMENT OF
ARTICLES OF COOPERATION AND BY -
LAWS
• Unless otherwise specified in this Code and for
valid reasons, any provision or matter stated in the
articles of cooperation can be modified by a two-
thirds (2/3) majority vote of all members with
voting rights, while still respecting the right of
dissenting members to exercise their option to
withdraw their membership as outlined in Articles
31 and 32.
