PREFACE

This PERSONNEL HANDBOOK (“Handbook”) of Zallas Technologies provides the employment policies, employee
programs and benefits, standard procedures and code of conduct of Zallas Technologies. This handbook is being adopted
with a view of promoting harmonious relations between the management and employees of Zallas Technologies, which is
the key to creating a working environment that is conducive to the attainment of the goals of the Company as well as the
goals of the employees within the organization. This Handbook was developed with the belief that each employee, owing to
his/her inherent positive nature, is capable of conducting himself in acceptable and upright manner.

The provisions of this Handbook shall constitute rules and regulations to which all Zallas Technologies employees,
regardless of employment classification, must adhere to. Compliance by all employees with the provisions of this handbook
is expected and is a requisite for advancement in the Zallas organization. The contents of this Handbook shall constitute an
integral part of all Zallas employment contracts.

Zallas Technologies reserves the right to add new rules, procedures or standards, amend, repeal or supplement
this Handbook or any part thereof, as the circumstances may warrant.

All employees are required to sufficiently acquaint themselves with the contents of this Handbook. A member of
“controlled” Handbook will be made available at the Zallas Human Resource Department. Employees may have access to
them during regular working hours.

Zallas Technologies’ employees shall refrain from releasing copies or disclosing the contents of this Handbook to
other organizations or individuals outside Zallas without the express authorization of the management.

Welcome to ZALLAS!
On behalf of everyone in the team - welcome! We are delighted to have you on board. Inside this handbook you'll
find the information you need to transition into the team and to your new work environment.

This handbook explains what we are all about, our workflow and procedures, the tools we use, and the policies
and procedures that will be followed by every personnel in the team in order to become highly productive and be the best
in what we do.

If you have questions that are not answered in this handbook, or you need to clarify something, don't hesitate to
ask your team leader (or any of our HR Admin personnel, for related inquiries).

The Teams
Project Management Team

The project management team takes care of overlooking the execution of project plans, ensuring that the proper
project management processes are observed: from analyzing projects, proposing solutions, producing prototypes, realizing
the solution and then delivery to the client. They also handle client relations and handling of resources.

Design Team

The Design team is responsible for creating designs based on consultation with the team and the project
requirements outlined from business objectives set by the client.

Development Team

The Development team is responsible for the development of web solutions in all aspects, from the front-end to
back-end building. They also make sure the product is delivered properly and promptly to the client.

Systems Administration Team

The Systems Administration team is responsible for the management, maintenance and ensuring 100% uptimes of
internal systems, servers and databases. They also handle all system access permissions, user groups and user accounts.

Admin Team

The Admin team is responsible for delivering support to all teams with regards to operations and maintenance,
including Human Resources management and Accounting.

Responsibilities and Expectations


Programmer Job Description

Programmers work as a team to take on the Development phase of a project, i.e., to perform coding, testing, and
troubleshooting assignments using the appropriate software as prescribed by design specifications. The programmer must
have prior experience in software development, strong analytical and technical ability, and excellent verbal and written
communication skills that allow for good teamwork.

 The programmer will work with the team to analyze a module's design specifications. A programmer may
be assigned to be the main architect who will be in charge of a project's main system design and
architecture.

 The programmer codes, tests, and troubleshoots programs using the appropriate software within the
allotted time for development. He/she must follow all standards, conventions and procedures of
development. The programmer will regularly submit progress reports of their assigned projects and other
tasks.

 The programmer will perform additional corrective measures to fix bugs and other errors on modules
he/she has developed based on the quality assessment report of the QA Specialist.

 The programmer should have written and verbal communication skills that will allow for coordination
between development personnel and QA Specialists. He/she will also do work for the documentation of
projects, the writing of user manuals, and other such technical writing work.

 The programmer will maintain confidentiality with regard to the information being processed, stored or
accessed.

The programmer must be willing to work flexible hours in response to needs of the systems being developed.

Designer Job Description

Web designers are responsible for the layout, visual appearance and usability of a website. Using a combination of
graphic design skills and technical knowledge of how web pages are created, the work involves:

 producing a design that will be attractive to the target user, has a logical navigation system and has all the
features required;

 deciding on how images and other material will be digitally optimized and presented for the web;

 ensuring that material on the web site is accessible to all groups including those with disabilities;

 testing the site for functionality in different browsers and at different resolutions;

Designers should be able to listen closely to the client and create pages that reflect what the client is looking for.
They also need to be flexible because they may be called upon to change their designs. Since Web sites are constantly
updated to remain current, a designer has to be able to work well under the pressure of tight deadlines and changing
demands.

QA Specialist Job Description

The main focus of the Quality Assessment Specialist will be to exhaustively test projects to identify bugs and errors,
ensure all specification requirements are met, and to produce and maintain documentation for such projects. Therefore
he/she is expected to have an eye for detail, good analytical abilities, and patience when going through the process. He/she
will ensure that all projects, fixes and content changes adhere to quality standards and processes.

 The QA Specialist must have complete understanding of established coding conventions, quality standards
procedures, and the design specifications of the project at hand. He/she must work in conjunction with
Development and QA management throughout the development process to ensure that these standards
are followed strictly.

 The QA Specialist should have written and verbal communication skills that will allow for coordination
between development personnel and other QA Specialists. He/she must also be able to do Technical
Writing work for the documentation of projects.

 The QA Specialist will analyze the performance of programs, track reported bugs, as well as manually look
for un-reported bugs. He/She will then submit them into our development team repository for correction.
He/he will also document programming problems and resolutions for future reference.

 The QA Specialist will maintain confidentiality with regard to the information being processed, stored or
accessed.

The QA Specialist must be willing to work flexible hours, including evenings and weekends, in response to needs of
the systems being developed.

SEO Specialist Job Description

 The SEO Specialist should have Excellent English skills (writing/speaking) that will allow for coordination
between development personnel and other SEO Specialists
 Must take the initiative to develop and maintain strong SEO knowledge related to the most popular search
engines (Google, Yahoo, MSN)
 Must take the initiative to research and apply, as well as share to his teammates, especially newly discovered,
SEO knowledge tips and tricks that by doing so would enhance his team’s knowledge and performance
 Study and learn required and necessary tools that are established company standards in doing SEO work
 Must enhance and train his ability to bring the websites/pages to the top 10 search results based on the given
keyword.

Getting Started
Zallas Email - Using the Webmail

All employees are provided with their own email accounts in the company domain upon employment. Electronic
mail is one of our primary means of communication. Through it we receive important company notices, assigned tasks,
instructions and files. Therefore it is the responsibility of every employee to keep themselves updated with new mail, and
to respond in a timely matter (within 24 hours, maximum).

To access your mail with a browser, simply navigate to


http://www.zallas.com/webmail and use the user name
and password provided by the company’s system
administrator.

Using Microsoft Outlook to manage mail

1. To send and receive email with your Zallas account using Outlook, you need to add it in the Outlook mail accounts. On
the main menu, go to Tools, then select Account Settings.

2. In the Account Settings window, click on new to add a


new account.

3. In the next window, tick the checkbox at


“Manually configure server settings or
additional server types”, then click Next.

4. In the following window, supply the


necessary information:

-Under User Information, fill in your name


and email.

-Under Server Information, select POP3 for


Account type, for Incoming Mail Server type
mail.zallas.com, and for Outgoing Mail
Server (SMTP) use mail.zallas.com.

-Under Logon Information, use the access


credentials provided by the system
administrator for your Zallas mail.

After filling up the form, click Next, and


Outlook shall now connect to the Zallas mail

server to add your account.

5. When you have successfully


added your account, click on
Finish, and close the Account
Settings window. Outlook will
begin to retrieve your mail from
the Zallas mail server, which you
can start to read afterwards.

Setting up Skype

Skype is a desktop application that allows users to make telephone calls over the Internet and has all the basic
features of other popular instant messaging applications.

Starting Skype

You can download the application installer from http://www.skype.com/. After installation, you can start the program and
log in using the Skype name and password provided by the system administrator.

Adding Contacts

After logging in, you may add


contacts by clicking on the
button and typing your contact’s
Skype name in the Add Contact
window. When you find your contact,
select them from the list and click
Add Contact at the bottom.

Calling Someone on Skype

Click on the Contacts tab on


the left side of the Skype window to display your list of contacts. Select the person you wish to call (you will see their details
in the main window), and then click on the button located just below your contact’s photo. You should hear ringing. When
the other party answers, you may proceed as in a normal telephone call. To hang up, click the red End call button. Skype-to-
Skype calls are free, but calls to phones require Skype credits.

Note: You must have a microphone and speaker (headset is recommended) to participate in calls.

Answering Calls

If someone is calling you, you will hear the sound of a telephone ringing and a floating call window will appear on
your screen. Click on “Answer” to accept the call or “Reject” to decline it. As soon as you decide to answer a call, a two-way
voice conversation will begin and the duration of the call will be visible. Either party can end the call at any time by clicking
the red “Hang up” button.

This important feature allows your Skype contacts to get in touch with you even if you are signed out of Skype, by
forwarding calls to your mobile phone. This requires Skype credits to use, which was already provided.

To start, on the menu go to Tools -> Options


then click on the Calls button in the Options
window. From there select Call Forwarding.

At the Call Forwarding window, tick the box


that says “Forward calls when I’m not on
Skype”. Then in the box below, type in your
mobile number. When that’s done, just click
on the Save button at the bottom of the
screen.

Using zProject

Zallas uses zProject, a web-based project management tool, to manage resources and
track progress on projects. Here, employees can update their progress on assigned
tasks, which may come from different projects.

To update your assigned tasks, open your browser to


http://zallas.com/internal/zproject/ and log in using the credentials provided by the
system administrator.

When you log in, you will be directed to your ToDo page.
Under the Tasks tab, you will find all the tasks assigned to
you, the projects that they belong to, the progress of the
task, the start and estimated finish date and duration. To
make updates on a task, you must view the task by
clicking on the task’s name.

The View Task page displays the task’s details and its task
logs. To make a new log, click on the New Log tab on the
top of the list (or the New Log button at the bottom-right
of the page) to switch tabs to the New Log form, and here
you can put in the details of your task log such as the
summary, description, hours worked, task progress and
more. Once done with supplying the details, just hit the
Update Task button on the lower right part of the form.

After making a successful task log, the new log will be added in the list of Task Logs. You may repeat the process
for future efforts to push the task to completion.

Generating Timesheets

To generate timesheets, click on


the Report tab of the navigation
bar on top of the page.

Then on the next page click on


the Time Sheets tab to view your
timesheet.

You can use the filter on the left side of the timesheet to set the desired date period to display. Then you Export the current
timesheet by clicking on the Export as Excel File button, and you will have the option to open or save the file to your computer.

Timekeeping with OrangeHRM

OrangeHRM is the web application used to keep track of each employee’s daily time records, much like an online
bandi clock. To begin its use, direct your browser to http://hrm.zallas.com and use the credentials provided by the system
administrator to log in.

To punch in, click on the Time tab in the main
navigation bar, and you will be directed to the
Punch In/Out page. The page automatically sets
the time and date to the current Central Standard
Time and Date setting. Just hit the In button at the
bottom of the form to make the log.

Punching out is done in just the same manner: log


in to the OrangeHRM page, click on the Time tab
and this time hit the Out button at the bottom of
the form.

Setting up GoToMeeting

GoToMeeting is a remote meeting and desktop sharing software, enabling users to meet with each other via the
Internet. To participate in web meetings, you will need Internet Explorer 6 or Firefox 2 (or newer versions of these
browsers), Javascript or Java enabled, broadband Internet connection, microphone and speakers (a headset is
recommended) and installation of the GoToMeeting software.

To download the application, direct your browser to


http://www.gotomeeting.com and click on the Join A Meeting
button on the left hand side of the home page. Wait a few
seconds while GoToMeeting downloads automatically. Then click
"Yes" or "Always" to accept the security credentials and follow the
prompts for further instructions.

If you are asked to enter a meeting ID, that means the software was
installed successfully. You do not need to enter a meeting ID yet, so
just select Cancel for now.

To join a meeting, open the email or instant message that contains


the meeting invitation. Open the link provided in the invitation.
The Attendee Control Panel and GoToMeeting Viewer Window will
appear and you will be entered into the meeting. To leave the
meeting, simply close the Attendee Control Panel.

Zallas Technologies utilizes a well-defined process for managing projects and developing applications. This process
is simple, flexible and easily-adapted to fit the specifications of any project.

Discovery

Discovery is the process of fleshing out your business needs. We ask a lot of thorough questions during this
process to help us gain a clear understanding of what the client’s strategies, objectives and goals are.

Design

Design is the process of developing the conceptual and physical design for the client’s project. It can be compared
to a blueprint of a building. This may include a prototype, list of software specifications, statement of work or a project
plan.

Development

Development is where the "blue print" is used and the plans take shape. We put together a solid execution
strategy to make sure the project plan becomes a reality.

Delivery

Delivery is the last and perhaps the most important part of the project. At this point, all the hard work starts to pay
off. We will implement and install the components that are needed to run the solution, as well as train the staff to ensure
the successful launch of the project. We also provide maintenance and troubleshooting as may be warranted.

Work Policies - The Way We Work

Task Logging and Timesheet reports

With Zallas, our clients can rest assured that every single move and or progress to their project is being monitored
and followed through – every single step of the way. This is made possible by zProject. It is the link to where a client may
touch base to their projects from developing to its actual launching.

All personnel are required to update their progress on each task using zProject, and to submit summaries of these
logs as required by the Accounting department, the HR department, and your team leader.

Keeping Skype on during shift

We treat each moment as treasures, thus we make sure that we constantly communicate through Skype. We could
be reached by our clients in an instant!

All personnel are required to be online with Skype and to have a headset and microphone ready anytime to
receive Skype calls. Each must also make sure that the audio input and output are optimal - acceptable mic volume and no
background noise. You may also use Skype to notify other personnel if you’re on break. Call forwarding must be set up in
case your Internet connection is compromised and you can’t be contacted through Skype.

Attending Meetings

Meetings may be announced via an email notice, or by Skype, and participants must be provided the details of the
meeting such as the invitation link or code, the meeting software of choice, and the time of the meeting (Staff shall
acknowledge receipt of these details). Staff shall do their best to express readiness to join the meeting at least 30 minutes
before the appointed time, and to ensure that they are capable of participating the meeting without problems in internet
connection and audio input/output (microphone and speakers are properly set up, no distracting background noise or
feedback).

Keeping email correspondence and response time

With Zallas, we believe that time is the essence in our industry and missing a single message or email from clients
and colleagues are the least thing that we would want to happen – We know, we have to be there to answer queries and to
enlighten confusion.

zCRM is the customer relationship management software that easily adapts to any business environment by

GoToMeeting / Dimdim

GoToMeeting and Dimdim are web-hosted remote meeting and desktop sharing services primarily used by Zallas
personnel to hold online meetings. All that one needs is an Internet connection, a Java-enabled browser and a mic and
speaker set to join in the conversation.

Skype

Skype is a desktop application that allows users to make telephone calls over the Internet and has all the basic
features of other popular instant messaging applications, making it one of the primary applications used for communicating
with other personnel and clients alike. All personnel are provided Skype credits to enable call forwarding to their mobile
phones and for calling mobile phones or landlines.

Camtasia

Camtasia is a screencasting program published by TechSmith. The program finds excellent use in capturing
recordings of prototype demos and tutorials.

Zallas Intranet

The Zallas Intranet serves as a virtual bulletin board for all zallas personnel plus more. Users can view each other's
profiles and blogs, send messages to each other, participate in team discussions, view company processes, policies and

Work Periods

Regular Work Hours

Regular workdays shall be from Monday to Friday. A regular workday shall consist of eight (8) hours of work or at
least 40 hours in a week.

In general, staff is required to report for work either

 For night shift - 8:00 AM to 5:00 PM*

 For half-half shift - 6:00 AM to 10 AM and 6:00 PM to 10:00 PM*

*Central Standard Time, United States of America.

Please take note that since we follow US time. We are to follow it and adjust to it since we need to be around at
the start of US business hours to make sure that we are available for our clients.

Attendance and Punctuality

Employees are required to be accessible on the company’s preferred IM (Skype) and to promptly answer all chat
and phone communication during their shift. Consistent and predictable attendance of the employee is vital to Company
operations in order to meet production schedule and output, as well as meet customer requirements. When unexpected
circumstances occur, employees are expected to notify their immediate superiors of their absence, tardiness, or intent to
go on leave or under time as soon as possible. This gives the superior an opportunity to plan for coverage for critical
operations and provide products and services to its customers on schedule.

Thus, and employee who does not follow the work schedule as assigned to him by immediate superior shall be
subject to disciplinary actions, sanction of which shall be determined by the immediate superior.

ZALLAS Procedure for Monitoring Work Hours

In order to ensure the accurate and honest reporting of hours worked by each employee and to better monitor the
whereabouts of staffs during agreed working hours, the following shall be observed:

 ALL staff/consultants are required to register the time they logged for work using OrangeCRM HR.

 It is also required of everyone to make task logs in zProject for each project where work is tendered.

Overtime work

We do not pay and we do not encourage overtime. An employee who goes out of his way to give his best , which
results to exemplary performance will instead be given a bonus, at the discretion and recommendation of his immediate
superior.

Suspension of work due to emergencies

If after the commencement of a workday an employee is unable to continue rendering services for causes beyond
his/her control and cannot ascertain resuming work within the day, he/she must, at all times, inform the immediate
supervisor of the delay and its causes.

This action is also needed when there is a need to go for an undertime. A staff who, after logging into the system
has to leave and attend to other matters during work hours agreed for any justifiable reason other than official business,
whether or not will come back to the system to work, must inform and obtain the approval of his/her immediate supervisor
or Project Managers. Undertime shall be allowed only on exceptional cases and for justifiable reasons.

Work hours will be computed the same, unless he/she is willing to cover the hours by working extra on other days
or carryover of working hours.

No regular work hours will be required to be observed, but everyone must be on call during the entire break. Do not forget to
set your Skype accounts on call forwarding modes to your mobiles. Failure to do this will be given a memo for violation of a
company policy.

The list is to enable employees to celebrate these very important holidays with their families. The no work – no pay policy , will
apply.

Moving forward, annual holiday schedule list for the succeeding years, keeping the dates movable in accordance to when the
holiday falls.

Break Time

An allotted time of 60 minutes per work shift of 8 hours is observed generally, taken at the time prescribed by an
HR officer or the staff’s project manager when his/her shift schedule is determined. This break time may not be taken at a
different time unless his/her project manager has been informed and has given express permission. During the break, an
employee shall still remain online via Skype and must indicate when he/she is not available to answer, i. e. away from
keyboard, as normal during work hours.

Resignations

Resignations

Employees who will to leave the employ of Zallas Technologies are required to observe at least a two week period
notice so that proper turnover can be done, as well as allow the Human Resources ample time to find your replacement.
Failure to observe this notice period shall result to automatic forfeiture of terminal pay.

Once the resignation of an employee is accepted, he shall be considered to have severed his employer-employee
relationship with the company. He is still bound to observe the terms of his employment contract, while in the process of doing
turnover and clearance procedures. As is required under the Labor Code, the employee must at least 2 weeks notice, to allow
his employer ample time to find his or her replacement, and violation of which may hold the employee liable for damages. The
said notice may however be shortened or waived, if the employer finds a suitable replacement on an earlier date.

Should a regular employee, whose resignation has already been accepted, wishes to return to his post, may only do so by
applying as a new employee. His terminal pay shall be paid to him, effective on the date of the effectivity of his resignation, as is
confirmed by his superior.

As such an employee is required to fill up his exit interview form, as well as commence getting his employee clearance
signed before he will receive his terminal pay. Failure to observe this policy shall also result to forfeiture of terminal pay.

Payroll Policies

Employees and contractors shall receive their salary at least five (5) to ten (10) business days from the time of the
submission of the complete and properly accomplished timesheets. Deadlines for the submission of weekly timesheets are
Friday EOD, and the day after last working day of the month for monthly timesheets. Remittances are done via Xoom.
Billing for internet connection must be submitted together with the monthly timesheet.

Benefits

HMO

At the end of the employees six month tenure at Zallas, he becomes entitled to HMO coverage. Should the
employee resign, he must surrender his HMO ID before his clearance will be cleared by HR.

Use of Zallas Technologies’ Name and Resources

You are responsible for exercising good judgment regarding appropriate use of the company’s name and resources
in accordance with Zallas policies, standards, and guidelines; these may not be used for any unlawful or prohibited purpose.

Employee Record Update

All employees are responsible for updating their information in the employee records.

Confidentiality

Zallas considers its confidential and proprietary information, including the confidential and proprietary information
of our customers, to be one of its most valuable assets. As a result, employees must carefully protect and must not disclose
to any third party all confidential and proprietary information belonging to Zallas or its customers. Such protected
information includes, but is not limited to, the following: matters of a technical nature, such as computer software, product
sources, product research and designs; and matters of a business nature, such as customer lists, customer contact
information, associate information, on-site program and support materials, candidate and recruit lists and information,
personnel information, placement information, pricing lists, training programs, contracts, sales reports, sales, financial and
marketing data, systems, forms, methods, procedures, and analyses, and any other proprietary information, whether
communicated orally or in documentary, computerized or other tangible form, concerning Zallas or its customers’
operations and business. Employees should ensure that any resources containing confidential or proprietary information
are secure from malicious third party software (spyware, viruses, etc.) or anyone who may have access to their work
terminals. Employees are required to keep this information within the company unless otherwise specified. The release of
such information is prohibited while rendering services to Zallas or anytime thereafter.

Conflict of Interest

Employees must not engage in any activities or communications with clients or employees that are a conflict of
interest, or where the employee or his next of kin stands to benefit financially or materially. Accepting payments, favors, or
gifts from clients is strictly prohibited.

The company will not permit any employee to take an outside job with a company in the same or related business
as the company, or which is in any way a competitor of the company. Employees are not permitted to work for any client of
the company outside of the regular working hours.

IT POLICY

Code of Conduct-Computer, Internet and Email

Zallas provides and maintain digital electronic communications facilities and services including email and
company’s intranet to consultants for the benefit of the company.

 Staff/consultants shall not use such facilities or services for anything that are :

 Is illegal

 Is contrary to the interest of the company

 May offend or disrupt others

 Is unauthorized.

Staff shall compose emails in a professional manner and shall not use offensive, derogatory or unprofessional
language or incorporate attachments which have some content. Staff shall also take reasonable steps to deter others from
sending those emails which may contain such words or attachments.

 Threatening or derogatory words

 Undesirable words/content

 Chain mails, hoax virus and the like

Staff who receives any such mail should promptly advise the postmaster or network manager by email so
appropriate action can be taken to prevent any repeat messages entering the email system.

Disciplinary Action and Termination of Employment

Employees who fail to follow established company policies shall receive appropriate disciplinary actions. Such
disciplinary sanction may range from verbal warnings to termination of employment. A memo shall be served for each
instance that an offense is committed, which will be attached to the employee’s personal files.

Your Manager or any employee has the right to file a complaint for any those listed, and other analogous
instances. When a complaint or report is sent, HR will conduct an investigation to determine the truthfulness of the claim.
HR will conduct an administrative hearing when necessary.
